Grant Agreement 20XX-20XX Sample Grant Great Lakes Higher Education Guaranty Corporation (Great Lakes) is pleased to award to [Grantee] (Grantee) up to $[Grant amount] to support two full years of extra educational services to help more at-risk students reach college readiness benchmarks in math and/or English, under the terms and conditions set forth below. Notify the assigned Great Lakes Program Manager within two weeks of any personnel changes with respect to Program Contact or grant-funded positions, including resignations, hires, and layoffs. 4. Notify the assigned Great Lakes Program Manager in advance of changes to the activities or timeline included in the Application. 5. 6. Meet the following three requirements by mm/dd/yyyy (grant funding may be reduced otherwise): a. Recruit the full proposed cohort of eligible 11th graders b. Administer initial benchmark test(s) in math and/or English to the full proposed cohort c. Ensure that this cohort is comprised of students in the academic middle with a majority below standard benchmark scores for college readiness in math and/or English, but with a realistic chance of reaching or moving closer to such scores with the two years of extra academic help the program will provide. 7. Ensure that 75% or more of the original cohort of participants as of mm/dd/yyyy, are continuing in the funded program for Year 2, as measured by the reported total number of students in the program as of mm/dd/yyyy. 8. Use grant funds only for the specific activities described in the approved Application. Use of grant funding for any other activities must be requested via a Modification Request form and approved in advance by the assigned Great Lakes Program Manager. 9. Request prior approval in writing, via a Modification Request form, from the assigned Great Lakes Program Manager for all budget reallocations/modifications cumulatively totaling $5,000 or more. 10. Return any unused grant funds to Great Lakes at the conclusion of Year 1 under the grant, and again at the conclusion of the 2-year grant period, unless alternative arrangements have been made with the assigned Great Lakes Program Manager and documented in an approved Modification Request form. Unused grant funds from Year 1 do not automatically roll over to Year 2. 11. Issue a press release to relevant media announcing receipt of the Great Lakes grant and the program s impact on area students after mm/dd/yyyy, and before mm/dd/yyyy, upon completion of the review outlined in item 12 below. An electronic media kit will be supplied by the assigned Great Lakes Program Manager to support your announcement efforts. 12. Before distribution, request review of and receive approval from the assigned Great Lakes Program Manager for any material using Great Lakes name or logo. This includes, but is not limited, to press releases, brochures, fliers, announcements, or other materials. a. In any communication, when referring to Great Lakes for the first time, use Great Lakes Higher Education Guaranty Corporation. In subsequent references within that same communication, use Great Lakes. b. GREAT LAKES AGREES TO: 1. Subject to Grantee performance of all required actions under this Agreement, disburse grant funds according to the schedule outlined below: a. Up to $[30% of Year 1] upon receipt of a signed copy of this Agreement. b. Up to $[30% of Year 1] by mm/dd/yyyy, if Grantee successfully meets all three of the following requirements outlined in item 6 above by mm/dd/yyyy. c. Up to $[40% of Year 1] by mm/dd/yyyy, subject to receipt of the Interim Report due mm/dd/yyyy, showing progress (as determined by the assigned Great Lakes Program Manager) toward agreed-upon grant outcomes. d. Up to $[60% of Year 2] by mm/dd/yyyy, subject to receipt of the Interim Report due mm/dd/yyyy, showing that 75% or more of Year 1 participants are continuing in the funded program for Year 2, and progress (as determined by the assigned Great Lakes Program Manager) toward agreed-upon grant outcomes. This disbursement may be reduced if fewer than 75% of Year 1 participants return to the program for Year 2 or withheld if fewer than 50% of participants are retained for Year 2. e. Up to $[40% of Year 2] by mm/dd/yyyy, subject to receipt of the Interim Report due mm/dd/yyyy, showing progress (as determined by the assigned Great Lakes Program Manager) toward agreed-upon grant outcomes. 2. Reserve the right to rescind grant funds (i.e., reduce the amount of funds initially awarded) if Grantee does not implement the program as outlined in the Application and this Agreement. Examples of circumstances that may result in a rescission include, but are not limited to, situations in which the program serves fewer students than proposed, does not perform proposed activities, or modifies program activities/budget without prior approval of the Great Lakes Program Manager. 3. Provide a link to Great Lakes media kit materials to support Grantee s public announcement of grant receipt and ongoing promotion of program successes. 4. Reserve the right to highlight the successes achieved by [Grantee] in periodic reports, publications, press releases, and on the Great Lakes website. 5. Reserve the right to request additional reports and supporting documentation as Great Lakes, in its sole discretion, determines necessary to assess program performance. TERMINATION: Great Lakes may immediately terminate this Agreement upon one or more of the following: 1. Grantee s failure to meet the three requirements for Year 1 grant funding by mm/dd/yyyy, as outlined in item 6 on page 2 of the Agreement. 2. Grantee s failure to meet the requirements for Year 2 funding, as outlined in item 1d on page 3 of the Agreement. 3. Grantee s violation of any federal, state, or local law or regulation. 4. Grantee s breach of any of the terms or conditions of this Agreement or any unapproved deviation from the Application which has not been cured within 30 days of written notice of such breach. 5. If Great Lakes determines that further disbursements would violate any applicable law. In the event the Agreement is terminated under this section, Great Lakes reserves the right to require Grantee to refund any or all grant funds awarded to Grantee under this Agreement, and Grantee agrees to refund to Great Lakes any or all grant funds awarded under this Agreement as requested by Great Lakes. EQUAL OPPORTUNITY AND AFFIRMATIVE ACTION Grantee agrees to comply will all applicable equal opportunity and affirmative action laws including, as appropriate, Executive Order 11246, as amended; Section 402 of the Vietnam Era Veterans Readjustment Assistance Act, as amended; and Section 503 of the Rehabilitation Act of 1973, as amended: and the regulations at 41 CFR Parts 60-1 through 60-50.5, 60-300, and 60-741. The affirmative action clause and regulations contained in the preceding sentence are incorporated by reference in this agreement. LIMITATION OF LIABILITY In no event shall Great Lakes be liable for any indirect, special, incidental, or consequential damages or expenses for any negligence, breach of contract, or any other act arising out of or relating to this agreement or the activities covered herein. INDEMNIFICATION Each party shall indemnify, defend, and hold harmless the other party and the other party s officers, directors, board members, employees, agents, and other representatives from and against any and all claims, demands, losses, liabilities, damages, expenses and causes of action (hereinafter Claims ) to the extent such Claims are caused by or result from the fault, negligence, gross negligence or recklessness of the party, its officers, directors, board members, employees, agents, contractors, licensees or invitees in the performance of services or obligations defined in this Agreement. GENERAL PROVISIONS 1. Any assignment of this Agreement by Grantee shall be void without the prior written consent of Great Lakes. 2. If any parts of this Agreement are held to be invalid, the remaining parts of the Agreement shall continue to be valid and enforceable. 3. This Agreement shall be construed and the rights and obligations of the parties shall be determined in accordance with the laws of the State of Wisconsin, without regard to its choice of law rules and principles. 4. No waiver by either party or any breach, default, or series of breaches or defaults, and no failure, refusal, or neglect of either party to exercise any right, power, or option given to it under this Agreement or to insist upon strict compliance with the terms of this Agreement shall constitute a waiver of these provisions with respect to any subsequent breach or waiver by either party or its right at any time thereafter to require exact and strict compliance with provisions of this Agreement. 5. Any notice or other communication required or permitted to be made or given by either party pursuant to this Agreement will be in writing and sent to the addresses provided in the signature area of this Agreement. 6. Grantee agrees that no funds awarded under Great Lakes grantmaking program shall be used directly for religious, lobbying, or political activities.
