Matters involving not just litigation in aid of discovery in arbitration but also complex cases, parts of which may or may not be arbitrable and/or litigable, present a host of strategic considerations, as do private dispute resolution proceedings not denominated in contracts as arbitration but bearing some but not all of the hallmarks of arbitration and, therefore, complicating review by vacatur under federal and state arbitration acts. Speaker(s): Del. Christopher R. West, Esq. (and possibly others) 8:45 a.m. 10:30 a.m. PART II: CYBERSECURITY AND DATA PRIVACY WHAT BUSINESS LAWYERS NEED TO KNOW The news is full of reports of data breaches at large companies, such as Sony, Wyndham, Target, and Home Depot. But according to Visa, 85% of data breaches occur at small businesses, many involving insiders. Small businesses process financial transactions, maintain databases of social security numbers or medical records, and have other valuable data cyber thieves would love to steal. Why attack a large corporation when you can attack a non-profit, small business, or even a law firm representing these types of entities? And what if an employee leaves an unencrypted laptop at Starbucks? As more businesses, including law firms, store more information about individuals and move to decentralized storage such as Cloud Systems, the challenge of stopping hackers grows more important. Lawyers need to know best practices for data protection and what the law requires in response to the alarm: we ve been hacked! The panel of speakers will address: cybersecurity risks with which businesses are threatened, current case law developments and pending legislation, preventative measures, including appropriate contract provisions and cyber-insurance, and notice obligations and data breach remediation. Come learn how lawyers should respond to an information economy where ever-increasing threats are subject to an increasingly vigilant legal environment. Speakers: William McComas, Esq., Chair, Business Law Section Committee on Privacy and Technology; Susan Stobbart Shapiro, Esq. and Howard Feldman, Esq., Certified Information Privacy Professionals; Allen Harper, EVP and Chief Hacker, Tangible Security; and Special Agent Daniel A. The EEOC reports that the number one type of discrimination claim filed in charges last year was retaliation. Virtually every state and federal employment law contains some form of anti-retaliation provision, as well as many laws geared towards other issues, such as the Frank-Dodd Act and Sarbanes Oxley securities laws. This program will explore the various anti-retaliation and whistleblower laws that apply in the workplace. The panel also will provide strategies for attorneys representing both employers and employees to avoid unlawful retaliation and for addressing claims of retaliation. Although there was a flurry of activity on the Section listserv about the proposal, the majority of the comments were optimistic, although there was some trepidation expressed as well. Consequently, we have gathered the innovators and a commentator from the local Bar to explain how the pilot program is progressing, what glitches (if any) it has experienced, and where it may go from here. Speakers: Judge Vicki Ballou-Watts, Circuit Court for Baltimore City; Judge Julie Ensor, Clerk of the Circuit Court for Baltimore County; Barbara Hansman, Judicial Information Systems, Administrative Office of the Maryland Courts; Henry I. FRIDAY, JUNE 12, 2015 9:30 a.m. 10:30 a.m. WILL YOU BE READY? IMMINENT FEDERALLY-MANDATED CHANGES IN REAL ESTATE SETTLEMENT PROCEDURES AND DISCLOSURES The federal Consumer Financial Protection Bureau's final rule for integrated mortgage disclosures goes into effect August 1, 2015. The rule effectively combines the HUD-1 Settlement Statement and the Truth in Lending disclosures and establishes strict timing guidelines that will apply to most consumer mortgages. These changes are compounded by the voluntary standards being adopted through the American Land Title Association s Best Practices initiative. Our presenters will walk you through these new requirements affecting the real estate closing process. Speakers: Michael N. Russo, Esq., Council Baradel Kosmerl & Nolan, PA (Annapolis); William A. O Connell, Esq., First American Title Ins. Co. (Columbia) Sponsored by: Real Property Section Program Chairs: Judge Glenn T. Harrell, Jr. and Joseph F. Devlin, Esq. Room: Banquet Hall #2-A 8:00 a.m. 10:30 a.m. DIVORCE TAX JEOPARDY In the typical domestic case, taxes will certainly not be the prime issue, however tax planning in the context of a divorce proceeding can be mutually beneficial to both sides. In addition, if one side is aware of the tax ramifications and the other side is not, it can be disastrous to the unaware party. This Program will demonstrate these issues through our version of the game show, Jeopardy. The contestants will be a tax attorney, a CPA, and a domestic lawyer. The game will be supplemented by short lectures on the various categories such as alimony and child support, the martial home, innocent spouse relief, retirement plans, and other topics. PLEASE JOIN US FOR A FUN AND INFORMATIVE PROGRAM. Host/Moderator: David J. Polashuk, Esq. Contestants: Larry Epstein, CPA, Hertzbach & Company; Robert A. Rombro, Esq., and David S. Goldberg, Esq. FRIDAY, JUNE 12, 2015 EDUCATIONAL PROGRAMS II 11:00 a.m. 1:00 p.m. 11:00 a.m. 1:00 p.m. AGRICULTURE IN THE TWENTY-FIRST CENTURY: WORKING WITH AG CLIENTS TO DIVERSIFY THEIR OPERATIONS "Agritourism" is a growing trend on Maryland farms, including such diversified activities as breweries, cideries, corn mazes, and discovery centers. Some of these avenues allow visitors the opportunity to experience an authentic (and fun) farm experience; others educate the public on agriculture's impact on the Maryland economy. Other opportunities into more non-traditional markets, such as aquaculture, also can create a new revenue stream for the producer. Yet, diversification comes with a myriad of issues and problems to address: increased liability exposure, additional regulatory compliance (e.g. Health & Mental Hygiene Dept), as well as zoning requirements. The panel will discuss working with clients looking to diversify their operations and how attorneys can serve this emerging class of clientele. Speakers: Sean Morris, The Morris Law Firm LLC, Kathleen Tabor, Esq, Law Offices of Kathleen JP Tabor, LLC, Patrick McMillan, Assistant Secretary of Agriculture, Maryland Department of Agriculture, and A.L. That is great news, unless you happen to have parents who may not be aging as gracefully as you would hope. Now it is your turn to look after your folks affairs, spotting issues, assisting them with decision making, perhaps even being the child who is responsible for managing their health care and financial needs. As the responsible person, either alone or with a sibling, what should you be looking for as you advise your family (you are, after all, THE LAWYER!)? Using a case study approach, a panel of attorneys, care managers, and a financial planner will show participants how to spot issues parents may be facing and identify some steps a caring family can take and tools that can be put in place to help parents as they move into this period in their lives. 16 P a g e
