Quick-Start Guide Creating a Grant FOR PLAN ADMINISTRATORS Last Updated: 2/13/15
This quick start guide is intended as a fingertip reference for adding a new grant into the Shareworks application. Please consult Online Help for more detailed instructions and information. This process can be completed in a few simple steps, which can be broken into adding the grant and allocating that grant to employees. Step 1 Add the Grant Select a Language Begin by logging into Shareworks and clicking on the Plans tab. Click the name The of the first plan step where is to you visit want to add the http://www.solium.com/activate. grant. Click Add Grant. The next step is to enter all of the required information for the grant you are adding. The selections displayed on this screen will vary based on the type of grant you are creating. Grant Name: Indicate the name of the grant that will be displayed in the participant s account. Award Type: Select the applicable award type for the grant using the dropdown. The award types found within the drop-down field are based upon the available award types for your company. Grant Date: Enter the grant date of the award. Grant Expiry Date: Enter the expiry date for the awards within the grant. Total Number of Awards in Grant: Indicate the number of awards in the grant. This number should equal the total number of awards to be allocated across all participants receiving the grant. Share Pool: Indicate the share pool reserve from which this grant will draw. Fund: Indicate the fund for the awards. The selected fund indicates the stock symbol and exchange against which the awards will be valued. Grant Price: Indicate the strike price of the grant. You must also select a currency from the drop-down field provided. Market Price at Time of Grant: Indicate the market price at the time that the grant is awarded. Indicate if this is the same as the grant price or specify the price in the currency of the grant. If this is left blank, it will be automatically calculated based on the grant date and your company s pricing method, such as most recent close. Market Price Capture Parameter: Indicate which market price capture parameter to use for the grant. The market price capture parameter is used to price cash SAR, net withheld and stock swap portions of exercises and will not display for restricted awards or units. FMV Configuration: Indicate which fair market value configuration to use for the grant. Send Messages 5 and 30 days prior to vest: Indicate if automatic vesting messages should be sent to participants five days and 30 days prior to the vest date. If this is not checked, participants will not receive any reminders in advance of vesting. Release Configuration: Indicate which release configuration to use for the grant. This option will be available only if the award allows for bulk releases. Exercise Configuration: Indicate which exercise configuration to use for the grant. This option will be available only if the award is exercisable. Use Grant Agreements: Indicate if the grant should use online grant agreements, presented to participants who receive a new grant upon their next login to the Shareworks application. If this is selected, an additional Allow Electronic Acceptance checkbox will appear. You can indicate if participants may accept or disagree with the grant agreements online by selecting this box. Please note that the option to enable grant agreements for the grant will only appear if your company subscribes to the Shareworks online grant agreement module. Step 2 Allocate Employee Awards If you are creating a grant that is being awarded to 100 employees or less, you can choose to allocate those employee grants during the grant creation process. To do this, click the Grant to Employees button. If you do not wish to allocate the grants to employees at this time, or if you have more than 100 employees to allocate the award to, you may allocate the awards by uploading a file through the Imports tab or per employee basis. The Custom Employee Search tool will open, allowing you to select up to 100 employees who should receive this new grant. Search for the participants you wish to award this grant to and move them to the selected section of this screen using the arrow icons provided. Click Continue once you have selected the applicable participants. If you would like assistance using the Custom Employee Search Tool, please refer to Online Help. As you allocate awards to employees, the screen will update with the total number of awards granted as well as the total number of awards remaining in the grant. You can apply the same grant quantity and vest rule to all the employee grant allocations in a single step by using the Set for all employees links. If a vest rule you need is not available you can select Add Vest Rule on this screen. The grant does not need to be fully allocated. However, you cannot allocate more awards than are available in the Total Awards in Grant field. Step 3 Save the New Grant Once you have entered all the information, click Verify Add and Confirm Add to save the new grant. Click Login.
