VidCon 2017 Video Contest Official Rules Important Deadlines: Opening of Contest: Close of Entries: Video Submission Deadline: May 12, 2017 at 12 noon PT May 26, 2017 at 11:59:59pm PT June 17, 2017 at 11:59:59pm PT 1. Purpose: The VidCon 2017 Video Contest, sponsored by the Bill & Melinda Gates Foundation ( Foundation ), VidCon, and bgc3 (collectively, the Sponsors ) and administered by GoFundMe, Inc., which operates a crowdfunding platform called CrowdRise ( CrowdRise ) is intended to inspire great storytelling and foster support for the fight against global poverty by encouraging VidCon participants and other members of the public to create videos in support of non-profit organizations working to alleviate poverty around the world and by encouraging the public to donate to these organizations. This Contest is void where prohibited by law. NO MEMBERSHIP, DONATION, PURCHASE, OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER THE CONTEST. 2. Entry: To enter the Contest go to Crowdrise.org s VidCon 2017 Video Contest website ( Website ) at http://fundraising.crowdrise.com/global-poverty-application; read and agree to the Official Rules; and then follow the instructions to submit your original entry ( Entry or Entries ). Entering the Contest involves three steps: (1) completing and submitting an entry form which indicates your intent to create a video answering the question how do we tackle global poverty? highlighting an NGO doing work to address global poverty, (2) creating the video for submission, and (3) uploading the video to a publicly available site as described below. Entry Form. To begin the entry process, you must complete the entry form which includes your first and last name, email address, link to publicly available example of your previous video work, 100 word description of the video you intend to create, and the name of the NGO you wish to support. You must submit your entry form through the Website to participate no later than 11:59 PM PT on May 26, 2017 in order be eligible for the Contest. Video Submission To complete the entry process, you must have a Youtube.com or other publicly accessible video upload site ( Upload Site ) account. You must then access the Contest website, available at http://fundraising.crowdrise.com/global-poverty-application, complete the entry form which includes disclosure of the Video URL on the Upload Site, and then submit the completed entry form prior to the video submission deadline of 11:59:59 PM PT on June 17, 2017. Stipend for First Fifty Entrants Contingent on completing their video submission, the first fifty (50) participants who submit their entry form will be eligible for a $1,000 stipend paid by bgc3. Eligibility for the stipend will be determined solely by bgc3. Stipends will be paid by bgc3 upon receipt of a final video that meets the Contest requirements as described in these Official Rules. Entry into the Contest represents your acknowledgement that you have read, understand and agree to be bound by the Official Rules in all regards, and that all decisions of the Sponsors and Administrator about the Contest are made in their sole discretion and binding in all respects.

3. Eligibility: The Contest is open and offered to individuals who are legal residents of the fifty (50) United States and the District of Columbia, at least eighteen (18) years of age or older by May 12, 2017, who agree to comply with all terms and conditions of these Official Rules. Entries submitted by persons under the age of eighteen (18) will not be considered. The Sponsors and Administrator reserve the right to require evidence of age. Employees, officers, and directors of the Foundation, GoFundMe, Crowdrise, VidCon, or bgc3 or their affiliated companies, agents, distributors, advertising, promotion, and production agencies, or members of their respective immediate families (parents, spouse, children, siblings) or individuals residing in their household (whether or not related) are not eligible to enter the Contest. 4. Entry Period and Award: Entries must be submitted in two phases to be eligible for the award and US$1,000 stipend: Intent to Participate: Intent to participate may be submitted beginning May 12, 2017 at 12 noon PT. Intent to participate entries must be received by 11:59:59 p.m. PST on May 26, 2017. Entries must be received during the Entry Period to be eligible for the Contest and the $1,000 stipend. The first 50 eligible participants who submit their intent to participate in the Contest will be eligible for a US$1,000 stipend paid by bgc3 upon final submission of their video. Video Submission: Final video entries may be submitted beginning May 26, 2017 at 12 noon PT. Final video entries must be received by 11:59:59 p.m. PST on June 17, 2017. For those participants eligible for the US$1,000 stipend, the stipend will be paid following final submission of the eligible video. 5. Content and Form of Entry Restrictions: Entries must answer the question how do we tackle global poverty? and include a clear call to action to donate to an eligible NGO of your choice that is addressing these issues. See http://fundraising.crowdrise.com/global-poverty-application for a list of suggested NGO s. Maximum Video Length: The maximum duration of a Video which is eligible for entry into the Contest is two (2) minutes. Videos with a duration of more than two (2) minutes will not be eligible to enter the Contest. NGO Beneficiary: If the participant does not choose an NGO from the suggested list, the NGO must be a U.S.-based 501(c)(3) organization dedicated to alleviating poverty around the world. The NGO Beneficiary s work and mission must focus on addressing global poverty in one of the following ways: o Health: Work focuses on improving the health and wellbeing in the developing world including combating infectious diseases, providing access to vaccines and other medicines, providing access to family planning, improving maternal, newborn and child health outcomes, ensuring access to proper nutrition, ensuring access to clean water, sanitation and hygiene o Education: Work focuses on improving access to primary and secondary education for all children in the developing world. o Economic Opportunity: Work focuses on providing access to job training, tools, financial services, and information that empower the world s poorest to lift themselves out of poverty.

o o Women and Girls Empowerment: Work focuses on providing women and girls with equal access to health, education, and economic opportunities and/or addresses the unique challenges that women and girls face in the developing world. Advocacy: Work focuses on engaging the public to advocate for policies and funding that benefit that improve health, education, economic opportunities, and empower women and girls in the developing world. NGO beneficiary s work and mission align to the charitable goals of the Foundation. Determination of an NGO beneficiary s eligibility will be determined at the discretion of the judging committee based on the criteria above. Entries may not: 1) promote alcohol, illegal drugs, tobacco, firearms/weapons; 2) contain name, voice or likeness of celebrities or other public figures, nor individuals without legal permission to use any individual s name, voice or likeness; or 3) promote any political agenda, specific legislation or any candidates for political office. Entries may not contain material that violates or infringes another s rights, including but not limited to any privacy, publicity or intellectual property rights, or that constitutes copyright or trademark infringement; Entries may not disparage the Foundation, GoFundMe, Crowdrise, VidCon, bgc3, the relevant NGO or any other person, entity or organization. Entries may not contain material that is inappropriate, inconsistent with the charitable goals of the Foundation, violent, indecent, obscene, hateful, tortious, defamatory, slanderous or libelous, or that degrades or demeans the human form, image or status of women, men or the members of any group based on race, religion, ethnic background, sexual orientation or any other minority status. 6. Original Work and Legal Right to Submit Work: By submitting an Entry to the Contest, you represent and warrant that, consistent with the terms of the Official Rules: (a) the entry is your original work; (b) you own the copyright in the Entry; (c) the Entry does not violate, in whole or in part, any existing copyright, trademark or intellectual property of any other person, organization or entity; (d) any third party content included in your Entry (such as music or content) is not protected by copyright or you have a license to use the music or content for any purpose, specifically including the Contest; (e) you are unaware of any agreement that is inconsistent with the consent provided herein; (f) you are not disclosing the confidential or proprietary information of any person or entity; and (g) you have full power and all legal rights to submit an Entry. You further represent and warrant that you have legally secured the rights to publicity for any individuals named, heard or shown in any Entry and that all such persons are over the age of 18. 7. License and Right to Use Likeness to Foundation: By submitting an Entry, you grant permission and a worldwide, perpetual, royalty-free nonexclusive license to the Foundation, GoFundMe, Crowdrise, VidCon, or bgc3 to use, reproduce, creative derivative works, perform, display, distribute, copy, post on YouTube, Facebook, and/or post or on other websites or social media the Entry. The Foundation, GoFundMe, Crowdrise, VidCon, or bgc3 shall have the right to use the Entry in any manner, and at their sole discretion, and to promote the Contest in any manner they choose for charitable purposes. The Foundation, GoFundMe, Crowdrise, VidCon, or bgc3, however, have no obligation to use or otherwise promote or distribute any Entry. By submitting an Entry, you agree and consent that the Foundation, GoFundMe, Crowdrise, VidCon, or bgc3 may use your name, likeness, statements, Entry, city and state of residence, biographical information, voice, photo and/or video to promote its VidCon 2017 Video Contest and the charitable goals of the Foundation related to your Entry, worldwide and in perpetuity, in any and all forms of media and print, now known and hereafter devised, including without limitation on the Internet, without restriction as to frequency

or duration, and without compensation, consideration, notification or further permission, except as prohibited by law. Such use may include, but is not limited to use on the Foundation, GoFundMe, Crowdrise, VidCon, or bgc3 s social media pages, the Website, use in press releases, use on other social media web sites, VidCon 2017 conference, and use in connection with any events or activities associated with the Foundation, GoFundMe, Crowdrise, VidCon, or bgc3. By submitting an Entry, you agree and consent that any ideas, suggestions, and/or concepts included in your Entry will be publicly disclosed. As such, you waive all rights, claims and any cause of action that you may have against the Foundation, GoFundMe, Crowdrise, VidCon, or bgc3 or any third parties related to any ideas, suggestions and/or concepts that may be disclosed in your Entry. 8. Sponsorship and Operation of Contest The Sponsors and Administrator have the right to remove and disqualify any Entries without notice to the entrants in its sole discretion. The Sponsors and Administrator are not responsible for illegible, lost, stolen, late, damaged, incomplete, mutilated or misdirected Entries or for any problems or technical malfunctions related to the electronic submission of Entries. If all required information is not provided or Entry is illegible, or technically inaccessible, the Entry will be disqualified. Any Entries that do not comply with the Official Rules can be withdrawn and/or rejected, and deemed ineligible. If, for any reason, the Contest is not capable of running as planned, the Sponsors and Administrator reserve the right in their sole discretion to cancel, terminate, modify, or suspend the Contest at any time. By entering the Contest, you acknowledge that no joint venture, partnership, employment, or agency relationship exists between you and the Foundation from your Entry or the Foundation featuring or publicizing your Entry. 9. Winner Selection: There will be five winners of the Contest (each a Winner and collectively, the Winners ), The Winners will be determined through judging process. The Sponsors will appoint judges ( Judges ) who are appropriately qualified to review and to judge the Videos in this Contest. The judging process will be as follows: within four days after the end of the Entry Period, a panel of Judges composed of internal representatives from the Sponsors will review all of the Videos and identify Winners Videos based upon the judging criteria described in these Official Rules ( Judging Criteria ) and in the exercise of their own judgment. The Judges will review each of the Videos and score the Videos based the following Judging Criteria: (a) (b) (c) (d) (e) Impact (50%): how motivating and insirpriational is the Video likely to be in encouraging the public to get involved and support the selected NGO Design and Presentation (25%): overall quality of the video production and presentation Creatitvity (25%): howe creative was the Video in it s of interpretation of the contest prompt and in answering the question how do we tackle global poverty? NGO Beneficiary Eligiblity: The judging committee will determine the eligibility of the NGO Benficiary based on alignment to the criteria outlined above and alignment with the charitable purpose of the Foundation. Winning entries must support an eligible NGO beneficiary. NGO Diversity: The final set of five Winners must each support a different NGO beneficiary. This will be factored into the judges final selection of winners. On June 22, 2017, the Winners will be notified. On June 24, 2017, the Winners will be announced on the mainstage at VidCon in Anaheim, California on June 24, 2017. Portions of the Winner s Videos may be

played at the VidCon conference during the announcement of the Winners. At the same time, the Winner s Videos will be published on Crowdrise.org [LINK] along with a call to action to donate to each of the NGO s highlighted in the Winner s Videos. The Foundation will match all donations made to the winning Entry s NGO up to a total of US$100,000. 10. Contest Stipend and Approximate Retail Value ( ARV ): A US$1,000 stipend will be awarded to the first 50 eligible participants who submit an eligible intent to participate by 11:59:59 PM on May 26, 2017. No additional prizes or stipends will be awarded to the Winners. The total ARV for the contest stipends is US$50,000. Stipend recipients will be determined solely by bgc3 based on submission of intent to participate and all stipend payments will be made by bgc3 upon receipt of the final video submission. 11. Odds of Winning: The odds of winning a stipend in the Contest depend upon the number of eligible Entries received during the Entry Period and the quality of the Entry. There is no element of chance in the determination of a stipend recipients or Winners. Each eligible Video will be judged on its individual merits. 12. Release By entering the Contest, you agree to these Official Rules and the decisions of the Foundation, GoFundMe, Crowdrise, VidCon, and bgc3 on behalf of yourself and each of your respective heirs, executors, administrators, legal representatives, successors and assigns ( Releasing Party ), and by entering, you release, defend and hold harmless the Foundation, GoFundMe, Crowdrise, VidCon, and bgc3, its parent companies, subsidiaries, affiliates, distributors, and professional advisors, and their respective officers, directors and employees and any Upload Site used to display your video ( Released Parties ) from any and all causes of action, suits, debts, dues, sums of money, accounts, reckonings, bonds, bills, covenants, contracts, controversies, promises, lost profits, indirect or direct damages, consequential damage, incidental damages, punitive or exemplary damages, judgments, claims and demands whosoever, in law, or equity, whether known or unknown, foreseen or unforeseen, which any Releasing Party has or may ever had, now or hereafter, arising from or related to the Contest, the preparation of any entry materials, or delivery, misdelivery, acceptance, possession, use of or inability to use any prize. Further, the Releasing Party hereby expressly waives all rights afforded by any statute or doctrine, including but not limited to Section 1542 of the Civil Code of California that limits the effect of a release, such as the one provided for, with respect to unknown claims. In this regard, Section 1542 of the Civil Code of the State of California provides as follows: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR SETTLEMENT WITH THE DEBTOR. By submitting and Entry to this Contest, you acknowledge and accept that YouTube, any other Upload Site or any other entity or organization associated or involved with the Contest shall not be liable to you in any way for any matter in relation to this Contest. 10. Indemnification By entering the Contest, you agree to indemnify, defend, and hold harmless the Foundation, GoFundMe, Crowdrise, VidCon, and bgc3, their respective officers, directors, employees, owners, agents and licensees from and against any and all claims, actions, demands, and liabilities, including those raised or brought by third parties, and any costs and expenses, including, without limitation, reasonable attorney and professional fees and costs and other expenses of any nature incurred in the investigation and defense of

any such claims resulting from your breach of any provision of these Official Rules, or any representation or warranty you provide herein, or otherwise arising in any way out of your Entry into the Contest, whether now known or unknown, or anticipated or unanticipated. The Foundation, GoFundMe, Crowdrise, VidCon, and bgc3 reserve the right to take exclusive control and defend any such claim otherwise subject to indemnification by you, in which event you will cooperate fully with the Foundation, GoFundMe, Crowdrise, VidCon, and bgc3 in asserting any available defenses. 11. Choice of Law The Contest shall be governed by and interpreted under the laws of the State of Washington without regard to conflict of law provisions. By entering the Contest, you agree that any disputes, claims, causes of action or controversies arising out of or in connection with this Contest shall be resolved by the State and Federal courts covering Seattle, Washington, which shall have sole jurisdiction of any controversy regarding or arising from the Contest or these Official Rules. BY ENTERING THE CONTEST, YOU WAIVE ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THE COURTS COVERING SEATTLE, WASHINGTON AND SUBMIT TO THE JURISDICTION OF THE COURTS. Further, you acknowledge and agree that you may only assert claims on your own behalf and not on behalf of any other person or entity arising from or in connection with this Contest or these Official Rules. 12.
