REQUEST FOR PROPOSALS Review Draft Patent Applications derived from Workshops for the Accelerated Development of Patents in Panama Carried Out by CAF and SENACYT and Preparation and Submission of Applications through the National Intellectual Property Office (DIGERPI) and the PCT CAF development bank of Latin America is a regional multilateral organization that promotes a sustainable development model through credit operations, grants and technical assistance, and provides financial structuring of projects in the public and private sector of Latin America and the Caribbean. CAF has implemented the Regional Initiative of Technological Patents for Development, aiming to increase high-tech exports and royalty s receipts derived from licensing industrial properties through the accelerated development of patentable technologies in the region. The Regional Initiative developed an effective training tool to accelerate technology conceptualization and patent application preparation: the CAF s Method for the Accelerated Development of Patents. Tested at several intensive training workshops in Panama, Colombia, Paraguay and Mexico, these workshops produced approximately 700 patentable conceptualizations. In Panama, the participants of three workshops carried out by CAF and SENACYT have drafted over 300 patent applications in the last 12 months. Of these, around 80 have been registered through the National Patent Office (DIGERPI) and 51 of those through the Patent Cooperation Treaty (PCT). In this order of ideas, CAF invites you to present a proposal for the registration of up to 114 patent applications through the National Patent Office (DIGERPI) and through the PCT. 1 GENERAL INFORMATION 1.1 Terms of Reference of the Service Required The terms of reference of the services required are in Annex 1. 1

1.2 Submission of Proposals The Main Contractor shall prepared two proposals. One proposal regarding the technical part and one separate proposal regarding the economic part. The technical proposals shall be filled and sent in digital format (PDF) by email to patentes@caf.com by November 18 th, 2017 5:00pm, Panama time. The economic proposals shall be filled in digital format (PDF) and sent in physical with a digital copy (USB Memory, CD, or DVD) to CAF- development bank of Latin America, to the following address: Boulevard Pacífica P.H. Oceanía Business Plaza, Torre 2000, piso 27. Punta Pacífica. Código Postal 0832, Ciudad de Panamá. CAF shall received by November 18 th, 2017 5:00pm, Panama time, a scanned copy of the shipping guide (voucher) (DHL, UPS and FedEx are recommended services), by email to patentes@caf.com. 1.6 Expected Profile of Consultants/IP Agent Extensive experience in the preparation and submission of PCT international applications (international phase) for the private sector; Extensive experience in the preparation and submission of PCT international applications (international phase) for public and private universities; Experience in the preparation and submission of PCT international applications (international phase) for public and/or private Latin American universities; Experience in the review and preparation of patent applications in Spanish submitted through National Patent Offices in Latin America; Experience submitting patent applications through Panama s National Patent Office (DIGERPI); Experience in the review and preparation of international phase patent applications submitted through the PCT in English utilizing the USPTO as the International Searching Authority; Capacity to review descriptive memory drafts and prepare up to 40/month patent applications in Spanish and in English; Minimum number of professionals dedicated to patent drafting and reviewing of the proponent (including its Panamanian Correspondent): 40 Capacity to communicate with draft patent owners in Spanish; Capacity to prepare patent applications in English; The IP agent to be retained must have an IP correspondent or agent in Panama in order to represent the patent owners (i.e., companies, universities and research centers) before the DIGERPI, and obtain all necessary authorizations and powers to carry out the registrations through the PCT. 1.7 Estimated Time for Carry Out the Work The IP agent shall have up to five (5) months to complete the required patent applications in both offices (DIGERPI and PCT), starting from the date of signature of the contract. Therefore, the IP agent shall achieve the work described in the terms of reference in Annex 1, Section 3 Description of the Services to be retained in the established time. 2 PREPARATION OF PROPOSALS The technical proposal shall be submitted in a separate document from the economic proposal. 2.1 Technical Proposal (see Annex 6) 3

In a separate document, the technical proposal should include: Letter of Submission of the Proposal according to Form B-1 (Annex 2); A description of how the requeriments established in the Terms of Reference attached to these guidelines (see Annex 1) will be accomplished, including a detailed description of the work plan to be implemented, identifying the main milestones of the service. Curriculum Vitae of the proposed team. Each Resume shall be presented in accordance with Form B-2 (Annex 3); Supplier full registration form in digital, one for the main contractor and one for the IP correspondent in Panama (Annex 5). Both documents shall be completed filling the blue boxes with the legal person s information. When a requirement does not apply to the company, the blue box shall be filled with NA or Not Applicable. An explanation shall be required on the Observations field regarding why the information does not apply to the company; Copy of the document that constitutes the company (main contractor), where is stated the legal responsibility of the company representative; Copy of the passport of the legal responsible/representative of the company (main contractor); Copy of the document where the current legal responsible/representative of the company (main contractor) is entitled or signed in; Copy of the document where the Board is constituted and the current members are signed in; Two (2) latest Annual Audited Financial Statements In the case of necessary changes of the proposed personnel that will carried out the work: a) The person who replace the personnel must have the same or greater experience than the originally proposed; b) CAF shall approve in advance any change proposed by the IP agent. 2.2 Economic Proposal (see Annex 7) In a separate envelope, the economic proposal should include: Letter of Presentation of the Economic Proposal Form B-3 (Annex 4); An estimated cost in United States Dollars (USD) to register a patent application following the procedures described in Section 3 of the terms of reference in Annex 1 Description of the Services to be Retained ; The total cost to carry out the proposed work in United States Dollars (USD). 4

CAF will use the same currency (USD) for the payment method, made upon delivery of the products established in the Terms of Reference and the conditions stipulated in the contract with the selected Consultant approved by CAF. Form B-3 shall be the guide-to-follow in order to summit the economic proposal. 3 QUALIFICATION CRITERIA AND SELECTION PROCESS 3.1 Selection Process The selection process will be as follows: a) The technical proposals shall be evaluated according the table criteria described in Section 3.2; b) All the technical proposals that score 70 points or more shall be pre-selected to evaluate their economic proposals; c) The economic proposal of the highest pre-selected technical proposal shall be opened; d) The Proponent shall be selected to carry out the work if, in the economic proposal: i. The proposed budget and estimation of the corresponding technical proposal is within 5% above our estimated budget, or ii. Is up to 10% below of our estimated budget. e) Once the Proponent is selected to carry out the work, a final economic negotiation shall take place in order to sign the contract; f) If the proposed budget and estimation in the economic proposal of the corresponding technical proposal with the highest score does not meet the criteria just mentioned above, the economic proposal of the corresponding technical proposal with the second highest score will be opened and the same budget review criteria and negotiation mentioned above will be carried out; g) The selection process of the economic proposals described in the last few paragraphs will be carried out for the rest of the pre-selected technical proposals until either of the budged selection criteria are met (see section 3.1- d.i and d.ii); h) If none of the economic proposals of the pre-selected technical proposals met the criteria, or the individual negotiations does not conduce to an award of the contract, the request for proposal shall be declared desert. 5

3.2 Technical Proposal and Work Team (100 Points) It refers to how the IP Agent will develop the theme and will use the technical resources to obtain the products. In this part, CAF evaluates how the IP Agent will elaborate the methodological processes, considered as necessary for the development of the work. The team of the IP Agent should be composed by professionals who possess academic training and experience in the areas of knowledge applied to the work. The evaluation of the technical proposals will be as follows: Evaluation Criteria: Main Contractor (i.e, not including the Panamanian Correspondent) (value in the technical proposal: 80%) Top Score 1. Experience (The company shall provide quantitative data for requirement 1.2 to 1.6 supporting their claims). 70 1.1. Description of how the requeriments established in the Terms of Reference attached to these guidelines (see Annex 1) will be accomplished, including a detailed description of the 15 work plan to be implemented, identifying the main milestones of the service. 1.2. Extensive experience in the preparation and submission of PCT international applications (international phase) for the private sector. 15 1.3. Experience in the preparation and submission of PCT international applications (international phase) for public and private universities (excluding Latin America 10 universities). 1.4. Experience in the preparation and submission of PCT international applications (international phase) for public and private Latin American universities. 10 1.5. Experience in the review and preparation of patent applications in Spanish to be submitted through National Patent Offices in Latin America. 5 1.6. Experience in the review and preparation of PCT (international phase) patent applications submitted in English utilizing the USPTO as the International Searching 15 Authority. 2. The main objectives of CAF`s Regional Initiative are: Contribute to an accelerated increase in the very short-term of the volume of patents generated by Latin American countries through PCT, USPTO, and EPO; Establish patentable technology incubators/accelerators in the region; Support governments and other institutions in member countries in defining strategies for accelerating the development of patentable technology; Contribute to increase royalty receipts and high technology exports from the LAC region in the medium - long term. CAF`s Initiative also has the following characteristics: Complements science, technology and innovation programs of member countries; Decouple scientific activities from technology development and innovation activities, allowing people without third and fourth educational level to participate in technological development;

Generates patent applications before engaging in research and development activities in laboratories; Empower more people to participate in a faster process by creating engineering and software technology without a required formal education. Key elements of the Initiative are: 1. Proposes to divide the identification/conceptualization of patentable technologies in two areas: Development of patentable technological solutions to problems identified from now on; In addition, development of new markets through patented technologies. 2. Proposes to lower the patent prosecution costs through a low bono program with IP agents that considers training the inventors, researchers and innovator to prepare well written patent applications; 3. Considers that patent applications must have a minimum geographical coverage of one billion people (including always the US, and Europe); 4. Strongly recommends a market research and technological prospecting before starting any patenting process. During the implementation of its Regional Initiative of Technological Patents for Development, CAF has created an effective training method or tool to accelerate technology conceptualization and corresponding patent application preparation: CAF s Method of Accelerated Patent Development. CAF is in the process of registering this method, which has been tested at several intensive training workshops in the region and has achieved the following results: Between 2016 and 2017, fourteen intensive workshops were held for the accelerated development of patents in four countries: Panama (Panama City), Colombia (Medellin), Mexico (Monterrey) and Paraguay (Asuncion) were 600 professionals were trained and 700 descriptive memories of technological concepts were obtained with the possibility of patenting. Over 80 patent applications have been submitted in Panama`s National Intellectual Property Office (DIGERPI) and 52 PCT patent applications submitted through the International Bureau of WIPO.

In just in six months of intervention, CAF helped a pilot Latin American public university to become the first Latin American university to be among the top 50 universities in the world generating applications via the PCT 1 ; Also within a year (2016), CAF has strengthened Panama s capacity for patent applications generation (both national and through PCT), converting Panama the first generator of patent applications through PCT per million inhabitants in Latin America (with over 15 PCT patent applications per million inhabitants). 16 Panamá Chile 15 14 12 México Brasil 10,9 10 8 6 4 2,8 2 0 2000 2001 2002 2003 2004 2005 2006 2007 2008 2009 2010 2011 2012 2013 2014 2015 2016 Años 2,2 In 2016 CAF and the Science, Technology and Innovation Secretary of Panama (SENACYT) signed a MOU and a Specific Accord in order for CAF to help strengthening Panama`s capacity to generate patentable technologies and register them internationally, especially through PCT, the USPTO and EPO offices. The objective of the Specific Accord was that CAF would help to register both in Panama`s National Intellectual Property Office (DIGERPI) and through the PCT up to 114 patent applications drafted in the Workshops for the Accelerated Development of Patents delivered in Panama by CAF and SENACYT during 2016-2017. 1 51 patent applications were developed and submitted to PCT by the Universidad de Panama (UTP) between September-November 2016 including a request for early publication. These PCT applications were published by WIPO between January and March 2017. The Universidad Tecnologica de Panama (UTP) should be in the list of the top 50 universities that submit PCT applications in the Patent Cooperation Treaty Yearly Review of 2017 that will be published mid 2018

2. Objective of the Services to be retained The objective of the service is the registration of up to 114 patent applications generated during CAF`s Workshops for the Accelerated Development of Technological Patents through the National Intellectual Property of Panama (DIGERPI) and through the PCT. 3. Description of the Services to be retained The services to be retained would include the following: a) Review (in Spanish) the descriptive memories of technological concepts (draft patent applications) provided by CAF, including the summaries in the corresponding cases; b) For each draft patent application reviewed, carry out a preliminary prior art search and make an opinion about its novelty; c) For each draft patent application reviewed that it is considered novel, write or reformulate the claims (minimum 5 claims) as appropriate; d) For each drafted patent application considered as novel, to write the abstract; e) For each drafted patent application considered as novel, review the drawings and generate regulatory drawings, if necessary; f) Prepare and submit (in Spanish) the reviewed patent applications through the National Intellectual Property of Panama (DIGERPI); g) Translate into English the texts of the patent applications submitted through the National Intellectual Property of Panama (DIGERPI); h) Prepare a PCT application based on the patent applications translated into English and deposit in the World Intellectual Property Organization (WIPO). For this step, consider the USPTO as the International Searching Authority; i) For all the above steps and activities, work with the IP correspondent or agent in Panama in order to represent the patent owners (i.e., companies, universities and research centers) before the National Intellectual Property of Panama (DIGERPI) and help in obtaining all necessary authorizations and powers of attorneys to carry out the registrations through PCT.

4. Additional Requirements of the Services to be retained Extensive experience in the preparation and submission of PCT international applications (international phase) for the private sector; Extensive experience in the preparation and submission of PCT international applications (international phase) for public and private universities; Experience in the preparation and submission of PCT international applications (international phase) for public and/or private Latin American universities; Experience in the review and preparation of patent applications in Spanish submitted through National Patent Offices in Latin America; Experience submitting patent applications through Panama s National Patent Office (DIGERPI); Experience in the review and preparation of international phase patent applications submitted through the PCT in English utilizing the USPTO as the International Searching Authority; Capacity to review descriptive memory drafts and prepare up to 40/month patent applications in Spanish and in English; Minimum number of professionals dedicated to patent drafting and reviewing of the proponent (including its Panamanian Correspondent): 40 Capacity to communicate with draft patent owners in Spanish; Capacity to prepare patent applications in English; The IP agent to be retained must have an IP correspondent or agent in Panama in order to represent the patent owners (i.e., companies, universities and research centers) before the DIGERPI, and obtain all necessary authorizations and powers to carry out the registrations through the PCT 5. Form of Payment of the Services to be retained The form of payment will be: 15% after the signing of the contract; and Up to five monthly payments reflecting the amount derived from: a) The number of previous art searches carried out the corresponding month;

b) The number of reviews of draft applications that survived the previous art search carried out the corresponding month; c) The number of applications submitted though the DIGERPI carried out the corresponding month; d) The number of applications translated into English and submitted though the PCT carried out the corresponding month. CAF is expecting that the cost proposed by the IP Agent will cover, among others: 1) The fees/honoraries for the prior art search of each patent; 2) The fees to submit the application through DIGERPI; 3) The fees 2 to submit the patent application through the PCT; 4) The fees/ honoraries to review the applications in Spanish, including the writing of the claims and the translation into English of the patent applications submitted through DIGERPI. 6. Schedule of the Services to be retained CAF preliminarily estimates the following time schedule per each draft patent application review: One week for the prior art search for each patent reviewed and the giving of an opinion about its novelty; One week for the review in Spanish each draft patent that is considered novel One week for preparing and submitting the patent application for each patent reviewed in Spanish through the National Intellectual Property of Panama One week to translate into English the patent application submitted through the National Intellectual Property of Panama One week for preparing and submitting the patent application for each patent translated into English through the PCT system. 2 Application fees, transmission fees and international search report fees.
