COMPETITION GUIDELINES These Competition Guidelines summarize the requirements of the WATER ABUNDANCE XPRIZE Competition. Further specifications are provided in the Rules and Regulations, which will be updated from time to time during the Competition. COMPETITION OVERVIEW The Water Abundance XPRIZE challenges Teams from around the world to revolutionize access to water by creating a device that extracts a minimum of 2,000 liters of water per day from the atmosphere at a combined operating and capital cost of no more than 2 cents per liter. The Water Abundance XPRIZE will create decentralized access to water, giving people the power to access water whenever and wherever they need it. Teams will compete in two rounds for a total prize purse of $1,750,000. OFFICIAL LANGUAGE AND CURRENCY The official language of the Competition is English. All communications with the XPRIZE Foundation must be in English unless a Team has received prior written permission from the XPRIZE Foundation. All references to currency are expressed in United States Dollars(USD). PRIZE PURSE The one million, five hundred thousand dollar ($1,500,000) Grand Prize will be awarded to the winning Team of the Competition. Milestone Prizes maybe awarded after the first round of testing in November, 2017. MILESTONE PRIZES A purse of $250,000 is available to the Judging Panel to award as Milestone Prizes at the end of Round 1. There is no restriction of the number of prizes the Judging Panel may award from this purse, and the full $250,000 may not be awarded. WHO CAN PARTICIPATE? XPRIZE believes that solutions can come from anyone, anywhere. Scientists, engineers, academics, entrepreneurs, and other innovators with new ideas from all over the world are invited to form a Team and register to compete. To participate, a Team may need to recruit additional experts and can add new members at any time throughout the Competition. TIMELINE The Water Abundance XPRIZE is a 2-year Competition launched on 24th October, 2016.There will be two sequential rounds of the Competition. Round 1: Prototype Testing, with water extraction thresholds as defined in Table 1. Round 2: Final Testing, using no fossil fuels; judging conducted on water output, extraction efficiency and cost parameters as defined in Table 2. After Round 1uptofive qualifying Teams, as determined by the Judging Panel, will be eligible to compete in Round 2.

REGISTRATION To compete in the Water Abundance XPRIZE, the participant must be a registered Team. To complete your registration, you must: Create a Team Profile at https://waterportal.xprize.org, Complete the registration process, and Pay the non-refundable $250 registration fee. COMPETITION STRUCTURE After the end of registration, all registered Teams will move to the next two Rounds of the Competition: Round 1: Teams will create a prototype that can extract water from the atmosphere. Prototypes will be tested through a live online demonstration. The top five (5)Teams chosen based on the Round 1 Score Card will then move to Round 2. All will be required to sign a binding agreement to protect the interests of all parties involved in the competition. Round 2: All Teams chosen from Round 1 will submit revised solutions to be tested at locations specified by the Judging Panel. One Grand Prize Winner will be announced in August 2018 based on overall score by the Judging Panel. DEFINITION OF JUDGING TERMINOLOGY a. Division-based : A continuous based on the best-performing Team s score. The points assigned to each Team are calculated by dividing the total points of the test by the best performing Team s test measurement then multiplying that by the Team s measurement. For example, in the case of a test with 30 total points, if a Team produces 85 liters and the highest value by any Team is 120 liters, the points assigned to that Team will be equal to (30/120) x 85 = 21.25. b. Water output (WO):The total amount of water extracted from the atmosphere during a specified period of time. c. Extraction efficiency: The percentage of moisture extraction from the atmosphere from the total moisture present in the atmosphere in a unit of time. d. Cost of the Device(CD): The manufacturing cost of the device when manufactured in production volumes. e. Operating Cost(CO): The annual cost of operation and maintenance of the device. f. Device Lifetime(L):The number of years during which the device will be functional after it has been put into operation. g. Affordability Index(I):The annual cost of water extraction per liter of water. This is calculated by dividing the Cost of the Device (CD) by the Device Lifetime plus the Operating Cost (CO) by the annual Water Output (WO). I = ((CD / L) + CO) / WO h. Normalized Weather Conditions: XPRIZE will normalize the daily output of individual Teams in different geographical locations using an output normalization, a non-linear function of different weather conditions and factors affecting the daily water output at a given geographical location. The output normalization formula will be designed with the help of an independent consultant appointed by the Judging Panel. XPRIZE will propose remote testing guidelines and a normalization framework in a January release of the Rules and Regulations. Public comments will be accepted and a revised version will be released. These

Rules and Regulations will also provide details about the measuring devices to be used for remote testing and data collection. COMPETITION ROUNDS Solutions will be evaluated based on their technological capability to extract maximum amount of water at a minimum cost and highest efficiency to meaningfully address the Grand Challenge. The solution must use no fossil fuel energy source in the final round of testing. There will be two (2) rounds of testing to select the Grand Prize Winner. Round 1 Prototype Testing Round 1 testing will test each Team s ability to efficiently produce water. The five Teams with solutions that produce the greatest amount of water under the test conditions will progress to Round 2. All Teams must submit detailed documentation of their design to XPRIZE to be considered by XPRIZE for testing and physical validation. This documentation must be submitted to XPRIZE at least 3 months prior to the testing. Teams must specify their testing locations as part of the submission of their design documentation. The testing locations must be approved by the Judging Panel to ensure they do not represent extreme environmental conditions. Round 1will be scored based on the Score Card in Table 1. All testing must be performed in accordance with the Test Conditions defined in the Water Abundance XPRIZE Rules and Regulations. The top five (or more) Teams demonstrating the highest water production rates will be physically verified by an XPRIZE representative. Up to the top five verified performers will proceed to Round 2 testing. The Judging Panel will also award Milestone Prizes (if any) at the end of Round 1.

Round 2 Final Testing Round 2 testing will use the following criteria to select a single winner: Water Output Extraction Efficiency Affordability Round 2 Testing will be conducted at locations specified by the Judging Panel. No location will be more than 500 kilometers from each Team s Round 1 test site. Teams will be responsible for all costs of transporting their equipment and Team members to the test site. Round 2 Testing will be conducted in the presence of an XPRIZE representative. The Teams for Round 2 Testing will be scored based on the Score Card in Table 2 below. Testing will be conducted over a minimum of three consecutive days in which the teams will have to demonstrate their technology of water extraction in the presence of XPRIZE representatives. The Affordability Index will also be calculated based on a pro forma Bill of Materials and estimated NRE and tooling costs. A more detailed description of this calculation will be provided in the Rules and Regulations. The Affordability Index must be less than $0.02 (two cents). No prize will be awarded to a Team that does not meet that criterion. Any results may be verified by a Judging Panel representative.

TEAM SUMMITS Two (2)in-person Team Summits will also be held to support Teams during the different stages of the Competition. An online Team Conference will be held in the first week of April, 2017 to formally introduce the Competition to registered Teams and answer any initial questions. The first in-person Team Summit is planned just after the end of Round 1 Testing in December, 2017. The second in-person Team Summit is tentatively planned for April 2018.At least one representative of each Team must attend each Team Summit. External stakeholders may also be invited to attend the Team Summits. Team Summits will be an opportunity for Teams to interact and collaborate with each other, industry, academic, government, other stakeholders involved in atmospheric water extraction and allied technologies, and potential investors and partners. The specific dates and locations of Team Summits will be determined well in advance of the event. OPERATING COSTS Teams will be responsible for funding their own technology development, travel, legal, insurance, permitting, and other costs of competing. XPRIZE ADVISORY BOARDS AND JUDGING PANELS To implement the Water Abundance XPRIZE and support the validity and integrity of the Prize process, XPRIZE will convene Advisory Boards and a Judging Panel. ADVISORY BOARD SELECTION OF ADVISORS XPRIZE will form a panel of relevant subject matter and technical experts to serve as the Advisory Board (AB)for the Competition. The AB will remain in place throughout the Competition to advise XPRIZE regarding the scientific and other elements of the Competition. INDEPENDENT ADVISORY BOARD The AB will be independent of XPRIZE and all teams and team members. No Advisor, nor any member of the Advisor s immediate family, shall participate, nor have any financial or other material interest, in XPRIZE or any team or team member. All members of the AB shall promptly disclose to XPRIZE any such current, former, or expected future conflict of interest with XPRIZE or any team or team member. ROLE OF THE ADVISORY BOARD The duties and responsibilities of the AB may include, but not be limited to:(i) assisting with the establishment of qualifications for prospective Judges; (ii)recommending members of the Judging Panel;(iii) assisting with development of testing protocols and judging criteria;(iv)and providing input towards the development of these Competition Guidelines. JUDGING PANEL SELECTION OF JUDGES The Judging Panel (as defined in the Competitors Agreement) will be comprised of highly qualified and impartial Judges. XPRIZE, in its sole and absolute discretion, will recommend Judging Panel candidates to the SAB for its review and consideration. The SAB will select the candidates it believes are best suited to serve on the Judging Panel.

INDEPENDENT JUDGING PANEL The Judging Panel will be independent of XPRIZE, the Title Sponsor, and all teams and team members. No Judge, nor any member of Judge s immediate family, shall participate, nor have any financial or other material interest, in XPRIZE, the Title Sponsor, and/or any team or team member. All members of the Judging Panel shall promptly disclose to XPRIZE any such current, former, or expected future conflict of interest with XPRIZE, the Title Sponsor, and/or any team or team member. ROLE OF THE JUDGING PANEL The duties and responsibilities of the Judging Panel will include, but not be limited to: (i) evaluating teams compliance with the Competitors Agreement, these Competition Guidelines, and the Rules and Regulations for the purposes of the Competition; and (ii) the awarding of points and selection of teams that will proceed to each subsequent round of the competition. GROUNDS FOR JUDGING PANEL DECISIONS Official decisions made by the Judging Panel will be approved by a majority of the Judges that vote on each such decision after careful consideration of the testing protocols, procedures, guidelines, rules, regulations, criteria, results, and scores set forth in the Competitor Agreement, these Competition Guidelines, Rules and Regulations, and all other applicable Exhibits to the Competitor Agreement. If any vote of the Judges results in a tie, then the Judging Panel shall determine, in its sole and absolute discretion, the mechanism to settle the tie. Similarly, if one or more teams are tied at any stage during the competition, the Judging Panel shall have the sole and absolute discretion to settle the tie. DECISIONS OF THE JUDGING PANEL ARE FINAL The Judging Panel shall have sole and absolute discretion: (i) to allocate duties among the Judges; (ii) to determine the degree of accuracy and error rate that is acceptable to the Judging Panel for all competition calculations, measurements, and results, where not specified in the Rules and Regulations; (iii) to determine the methodology used by the Judging Panel to render its decisions; (iv) to declare the winners of the competition; and (v) to award the prize purses and other awards. Decisions of the Judging Panel shall be binding on XPRIZE, teams, and each team member. XPRIZE and teams agree not to dispute any decision or ruling of the Judging Panel, including decisions regarding the degree of accuracy or error rate of any competition calculations, measurements, and results. Teams shall have no right to observe other teams testing or evaluation, or to be informed of other teams calculations, measurements, and results, unless such information is made publicly available by XPRIZE. INTELLECTUAL PROPERTY RIGHTS Teams will retain ownership of their intellectual property. The information that Teams provide to XPRIZE as part of judging the Competition will only be shared with the Judging Panel, XPRIZE employees, contractors, technicians and any other persons involved in administering and/or judging the Competition on a need-to-know basis. All such persons will be under nondisclosure agreements with XPRIZE with terms comparable to the nondisclosure terms and conditions between XPRIZE and Team. Teams will not have any access to non-public information about other Teams or their technology or performance during the Competition.
