1 OHIO DISTRICT KIWANIS FOUNDATION ANNUAL MEETING Minutes August 15, 2015 President Kathryn Karpus called the meeting to order at 9:00 a.m. She reminded those in attendance that all Kiwanis members in good standing are members of the Foundation and can participate and vote in this meeting. PRESIDENT S REPORT President Kathryn Karpus reviewed the work of the Foundation Board and the progress made during the 2014-2015 year in the growth of assets of the Foundation. She described the membership and organization of the board. Members of the board and staff were asked to stand for recognition. The Foundation has experienced significant asset growth over the past year with total assets growing from $1,285,846 at June 30, 2014 to 1,301,658 as of June 30, 2015. The asset growth was achieved as a result of market improvement, additional donations and the continued growth and expansion of our various fundraising programs. Topping the 3 million dollar mark of funds under management is one of the goals proposed for the Foundation to achieve within the next 4-5 years. Some of the benefits of reaching this milestone include additional funds creating more earnings, enabling the awarding of more grants, and reduced investment fees, which are shared with the club advised funds. One of the primary purposes of the Foundation is to provide grants to assist Kiwanis clubs and sponsored organizations with their civic projects. The Foundation provides two categories of grants, general grants and grants associated with pediatric trauma projects. The support of Foundation programs and initiatives by club and individual members is crucial to the growth of the foundation. Club support of the Club Birthday Fund is an important source of revenue. The Ambassador Program allows individuals to begin with a gift as small as $50 and continue to give regular donations to the Foundation to receive awards at higher levels. Recognition was given to the individuals who are members of the Foundation Ambassadors. The Legion of Honor Society recognizes Kiwanis members who have achieved 25 or more years of service. Members of the Legion of Honor Society were recognized. The support of the Pediatric Trauma Fund provides direct pass though of funds for Grants. These grants have represented 60% of the grant monies given out over the years. Pediatric Trauma Prevention and Support is the defining mission of the Foundation. This coming year Governor elect Amy Zimmerman will be giving support to the Pediatric Trauma initiative by providing modified bicycles for persons with disabilities. Support of the Pediatric Trauma program is appreciated by the Foundation and by Ohio clubs who have received Pediatric Trauma grants to support their community. This year the Board has worked on a special program entitled Planned Giving to give Kiwanians an opportunity to leave a legacy of their service as example for others to follow. Board members are available to talk to Kiwanians about this opportunity.

2 Governor Craig Wallace initiated our Ohio License plate program and 500 of our Kiwanis members agreed and signed a petition for Ohio BMV to create a Ohio Kiwanis License plate to show off our support and pride of Kiwanis. For each plate purchased the Foundation receives $25. All Ohio Kiwanis members whether you signed the petition or not are encouraged to get these plates. President Kathryn thanked those who have participated in the District Golf Outing which benefits the Foundation. The proceeds this year were $6,200, with other $50,000 raised for the Foundation since 2008. She recognized the committee who have organized this event. President Kathryn announced that the board is seeking applications for the positions of Secretary and Treasurer for the Foundation. Interviews will be held in the next month. She announced that the Board took action yesterday to make Jean Forbes Secretary/Treasurer Emeritus. BUSINESS ITEMS FOR CONSIDERATION: ELECTION OF NEW BOARD MEMBERS Nominating Committee Chair Jennifer DeFrance reported on the process of the Board in accordance with the Bylaws to seek candidates for election to the Board. Six candidates submitted the required information. Jennifer announced that due to a resignation from the Board at the meeting yesterday, the Board has determined that four members should be elected for three year terms and one member will be elected for a one-year term. As a result of this action, ballots should be marked for five candidates. Jennifer moved that the report of the Nominating Committee be accepted and the names of the following candidates be placed into nomination: Rosalie Beers, Division 4, Charles Holtzman, Division 13, David Kuhn, Division 20, Michael Payton, Division 9, Gary Stumpf, Division 22, Hasani Wheat, Division 15. Motion passed. President Kathryn asked if there are any additional nominations from the floor. There were none. Ted Barrows made a motion to close the nominations, seconded and passed. Each candidate was given two minutes to introduce themselves. Rosalie Beers, David Kuhn, Gary Stumpf and Hasani Wheat were present to speak. The Foundation policies do not allow another member to speak for one who is absent. Instructions were given to cast ballots for five candidates and only five candidates. The five receiving the highest number of votes will be elected. Questions were raised about the instructions on the printed ballots which said to vote for four and only four candidates. Some had voted for four candidates and some had voted for five candidates. Tim Mohr moved that all ballots submitted in this meeting shall be accepted and counted whether there were votes for four or five candidates. Seconded and passed. The ballots were collected by the Election Committee of the Foundation.

3 TREASURER S REPORT Treasurer Jean Forbes announced that the Financial Data presented here and in the Annual Report are current through June 30 of this year. They represent nine months of the current administrative year. The total assets of the Foundation as of June 30, 2015, were $ 1,301,659. Of these assets, 36% are restricted funds. These include the Club Advised Funds of $444,471 invested by 25 clubs, and funds designated for the KICK Fund, Pediatric Trauma Fund, Key Leader, and Disaster Relief Fund. 64% of the assets are in the permanent endowment of the Foundation. The board operates under the guidelines established in our bylaws that no more than 5% of those funds would be used for operating and grants of the Foundation. The expenses of the last nine months total $37,310. Operating expenses of $16,406 included such things as the cost of liability insurance, financial review and consultation by independent accountants, website improvements and maintenance, promotion costs, postage, office supplies, printing, and investment management fees. Grants and donations of $20,904 in this nine months included seventeen grants and one scholarship. Not reflected in these grants are the 21 grants made from clubs using their Club Advised Funds which totaled $45,578. The Foundation has provided a way for Kiwanis generosity to be put to use across the state and world through these gifts from Club Advised Funds. It was noted that there are no expenses for the Foundation for salaries or facilities. Your staff and board serve as Kiwanis volunteers contributing their time and efforts on your behalf. Where do our funds come from? In the past nine months, $30,859 came from interest, dividends and realized gains on our investments and bank accounts. $21,203 came from donations including Past International Presidents Awards, Ambassador Program, Legion of Honor Society, Memory and Honor Gifts, Club Birthday Gifts and undesignated donations. Restricted Fund donations of $9,782 came from donations to the Pediatric Trauma Fund, Kiwanis license plates, Walk the Magic Mile, and KICK Fund which supports the District Circle K. Administrative fees received from Club Advised Funds and License Plate sales totaled $5,534. These receipts total $74,568 in the last nine months. Golf outing expenses and income have mostly occurred in the month of July so they are not reflected in the June 30 report. This Outing is sponsored by the Foundation and draws sponsors and golfers from all over the District. The total numbers reported to the board yesterday show an operating profit of about $6,000 from this year s event. The Foundation is pleased to have donations of over $49,000 to our endowment funds being made by this event in the past 9 years. In calendar year 2014 our investments provided 4.6% in returns. This was less than the previous year due to market fluctuations. The average return since January 2010 has been 6.76%. Our board stays in close contact with our investment managers and monitors our performance in comparison to other stock market indices. We have done slightly better than those indices throughout the past year which was in keeping with the Investment Policy of the Foundation board. Our investment policy and investment advisor have provided a good basis for successful investment of your funds. Peter Gaughan is our investment adviser from Raymond James and Associates and is providing the assistance we need as a board.

4 In keeping with our policies, our independent accountants at Meaden and Moore completed a financial review for last year and reported no findings to the board. Jean moved that this report be accepted and filed subject to audit committee review, seconded and passed. ALBERT AND IRIS GILBERT HUMANITARIAN AWARD Kathryn Karpus invited Alan Penn and Albert Gilbert to the podium to announce this year s winner of the Albert and Iris Gilbert Humanitarian Award.- Executive Director Alan Penn reported that Past Governor Albert Gilbert and his wife Iris have given the Foundation an endowment to sustain an award that recognizes an individual who has given exemplary Kiwanis service to significant humanitarian causes. Al and Iris Gilbert have expressed their wishes in this way: Caring & Sharing is the motivation for the Humanitarian award. A gift or lifetime of acts and memories that help all to view and understand the many outstanding deeds performed each day by the unsung humanitarians in Kiwanis and throughout our communities. The Humanitarian Award is an ongoing expression of thanks, honoring the recipient and making him or her aware of our appreciation in ways that go far beyond words. This award is more than provision, leadership and guidance it is a part of who we are; what we are; what we become; and the way we serve others with our lives. This year s recipient of this award is Thomas Borror and he was called forward at this time with his wife. Alan Penn shared that Thomas Borror has been a member of the Medina Breakfast Kiwanis Club for 32 years. He is recognized for his work in the Medina community and in Guatemala. In addition to leadership of his Kiwanis Club and many community organizations, Tom has been a leader in providing Medina Creative Housing for persons with disabilities and many of the facilities and programs for Medina Creative Housing. He coordinated and supervised the construction of the horse barn and a large fenced in riding area for that program. To demonstrate his leadership ability, it is worthy to note that the day the fenced in riding area was to be constructed, it poured down rain, yet 20 volunteers, mostly Kiwanis members, still showed up to finish the task. Over more than five years, Tom worked to provide his time, talent and resources for Casa Guatemala Orphanage and Way-Bi/Tecpan children s medical center and hospice. Whether it was fundraising, securing medical equipment and medical supplies, coordinating flights of materials on US Army C-5 transports, or arranging for local doctors to visit the orphanage, Tom has been there. Past Governor Albert Gilbert assisted in presenting the Albert and Iris Gilbert Humanitarian Award to Thomas Borror for his significant contributions to caring and sharing through humanitarian service. Along with the plaque for Tom, the Foundation also presented a check for a $200 grant for the Medina Creative Housing to assist Tom s continued humanitarian work.

5 REPORT OF THE GRANTS COMMITTEE Grants Committee Chair Ralph Nolfi reported that requests for grants are reviewed three (3) times during the administrative year: December grants - deadline for consideration is October 31; May grants - deadline for consideration is March 31; August grants - deadline for consideration is June 30 The Grant categories are - Pediatric Trauma Grants and General Community Grants. In the past administrative year the Ohio District Kiwanis received a total of fourteen (14) grant requests in these two categories. Of the twenty-four received, nine (9) were approved. A few were not approved due to incomplete applications and they were invited to resubmit during the next round and a few were not granted because the projects expenses were not sustainable. This year we have provided a total of $20,904 to support Kiwanis Clubs in the Ohio District for projects in their communities. They ranged from $400 to $5,000. Examples of items provided to communities throughout Ohio by Kiwanis Clubs with the assistance of Foundation grants include Replay Toy project, Park improvement project, Healthy Kids Fair, Five playground projects, Literacy project. This is only a sampling of the tremendous service that has happened this year as a result of Kiwanis clubs and the Foundation working together. We did not receive as many grant requests this year and provided fewer grants than we had wished to. As you go back to your clubs and continue to provide service to your communities please think of the Foundation as a way to leverage your fundraising dollars through our grant program and club advised fund program. Ralph Nolfi presented the check for the grant of $4,500 which was approved by your board yesterday to Chillicothe Kiwanis Club is awarded for a playground project. A club representative received the check. This year s Grant Committee Members were thanked for their diligent work to make the best possible use of the funds you have provided for grants. RECOGNITION OF OUTGOING BOARD MEMBERS President Kathryn Karpus presented certificates of appreciation to each 0utgoing board member: Faith Levine, Ralph Nolfi, Rosalie Beers, Dave Kuhn, Dick Brulotte, Ted Clutter, Tyler Milburn, Jennifer DeFrance. RECOGNITION OF FOUNDATION DONORS President Kathryn Karpus invited Alan Penn forward to assist in recognizing some of this year s donors to the Foundation. Alan Penn announced that the Ambassador Program recognizes those who have made continuing gifts to the Foundation starting with a minimum of $50. The Alan Penn Award honors Past Kiwanis International President Alan Penn. The plaque and medallion are presented for a donation of $1,000 to Kathryn Karpus. The Past International Presidents Award honors the five Ohio Kiwanians who have served as Kiwanis International President. The plaque and medallion are presented for a donation of $500 to Bill Flinta and Michael Metzger

6 REPORT OF THE ELECTIONS COMMITTEE President Kathryn Karpus announced the report of the Elections Committee. Elected to three year terms are Rosalie Beers, David Kuhn, Gary Stumpf, Hasani Wheat. Elected to a one year term is Chuck Holtzman. EXECUTIVE DIRECTOR S REPORT Executive Director Alan Penn presented a plaque to President Kathryn Karpus for her service as president of the board for the 2014-2015 year. He reported that the Kiwanis license plate program is providing income for the Foundation. All members are asked to show their Kiwanis pride by purchasing this specialty license plate. He recognized Executive Director Emeritus Ted Coons and Leroy Martin for their work on behalf of the Foundation. He announced that the Board members will meet immediately following this meeting to elect officers for the coming year. ADJOURNMENT President Kathryn Karpus announced this concludes the business of our Annual Meeting. She thanked those in attendance for their support of one or more of the ways offered by the Foundation to support our Ohio communities and for attending this meeting.
