I. Objective The purpose of the Marathon Petroleum Volunteer Incentive Program ( VIP or Program ) is to encourage employees to perform service at local charitable organizations while further demonstrating the Company s community outreach and support in the form of volunteer recognition and a grant or cash contribution made to eligible charitable organizations when an eligible volunteer completes a minimum number of volunteer hours. II. III. IV. Eligibility Regular employees working on a Full-time or Part-time basis and the legal spouse of regular full time and part time employees. For purposes of eligibility, Regular Full-time basis means the employee has a normal work schedule of at least 40 hours per week or at least 80 hours on a bi-weekly basis or a normal work schedule which has been reduced to 20 or more hours per week to accommodate a bona fide health problem or disability. Regular Part-time means the employee is a non-supervisory employee employed to work on a part-time basis (minimum of 20 hours but less than 35 hours per week), and not on a time, special job completion, or call when needed basis. Eligible Volunteer Service Eligible volunteer service includes volunteer activities that benefit the general community including, but not limited to, committee work, fundraising, tutoring, mentoring, or neighborhood revitalization. Ineligible Volunteer Service Volunteer Service performed by a family member other than the employee and employee s spouse or volunteer service that directly benefits the eligible participant and/or their families is not eligible. Anticipated volunteer service, or volunteer service not yet performed, and/or participation and/or pledges for thon-type activities (examples: walk-a-thons, bike-a-thon, etc.) are also not eligible. V. VIP Grant for Eligible Volunteer Service If an eligible participant performs a minimum of 24 hours of volunteer service during a calendar year at a single eligible organization, they may apply for a Marathon Petroleum-VIP grant in the amount of $500. Each participant can apply for one (1) grant per calendar year. The number of volunteer service hours performed by both the employee and the employee s spouse at a single organization may be combined to meet the 24-hour minimum. The total grant amount paid out by Marathon Petroleum per eligible couple will not exceed $1,000. 1
VI. Eligible Organizations Eligible organizations must be located in the United States and recognized by the Internal Revenue Service as tax-exempt and designated a public charity under Section 501(c)(3) of the IRS Code or an instrumentality of a federal, state or local government as provided by section 170(c)(1) of the code. In addition, eligible organization must fit into one of the following categories; arts and culture, health and human service agencies, civic, and environmental organizations. VII. Ineligible Organizations Ineligible organizations include educational organizations, religious organizations such as churches, mosques, and synagogues (except when the activities being sponsored by a religious organization are nonsectarian, such as soup kitchens or shelters), and political and labor advocacy organizations. VIII. Participation by Associated Companies and Organizations Upon specific authorization and subject to such terms and conditions as it may establish, Marathon Petroleum Company LP may permit subsidiaries and affiliated organizations to participate in this Plan. Currently, these participating companies include Marathon Petroleum Company LP, Marathon Petroleum Corporation, Marathon Petroleum Service Company, Catlettsburg Refining LLC, Marathon Petroleum Logistics Services LLC, and Blanchard Refining LLC. The term Company and other similar words shall include Marathon Petroleum Company LP and such affiliated organizations. The term employee and other similar words shall include any eligible employee of these companies. IX. VP Human Resources Approval for Minor Amendments In addition to the other methods of amending the Marathon Petroleum Company LP employee benefit plans, practices, and policies (hereinafter referred to as MPC Employee Benefit Plans ) which have been authorized, or may in the future be authorized, by the Marathon Petroleum Corporation Board of Directors, the Marathon Petroleum Corporation Senior Vice President of Human Resources and Administrative Services may approve the following types of amendments to MPC Employee Benefit Plans: i. With the opinion of counsel, technical amendments required by applicable laws and regulations; ii. With the opinion of counsel, amendments that are clarifications of plan provisions; iii. Amendments in connection with a signed definitive agreement governing a merger, acquisition or divestiture such that, for MPC Employee Benefit Plans, needed changes are specifically described in the definitive agreement, or if not specifically described in the definitive agreement, the needed changes are in keeping with the intent of the definitive agreement; iv. Amendments in connection with changes that have a minimal cost impact (as defined below) to the Company; and v. With the opinion of counsel, amendments in connection with changes resulting from state or federal legislative actions that have a minimal cost impact (as defined below) to the Company. 2
For purposes of the above, minimal cost impact is defined as an annual cost impact to the Company per MPC Employee Benefit Plan case that does not exceed the greater of: i. an amount that is less than one-half of the one percent of its documented total cost (including administrative costs) for the previous year, or ii. $500,000. Further Information While Marathon Petroleum Company LP hopes that this Plan may be continued indefinitely, conditions may change. Marathon Petroleum Company LP, therefore, reserves the right to modify or terminate this Plan, in whole or in part, in such manner as it shall determine, either alone or in conjunction with other plans of the Marathon Petroleum Company LP under the Internal Revenue Code or to comply with applicable state or federal regulations. Such modification or termination can be applied, at the sole discretion of the Company, to any or all members. 3
