The ComEd Student Innovation Contest Official Contest Rules October 16, 2017 NO PURCHASE NECESSARY TO ENTER OR WIN Commonwealth Edison Company, 1919 Swift Drive, Oakbrook Terrace, IL 60523 ( ComEd or Sponsor ) desires to spur innovation and has created the Student Innovation Contest for undergraduate and graduate students attending universities or colleges (or recent graduates thereof as described below). The Contest is for a student or team of up to five students to envision and submit an idea for a product, service or software application that will present ComEd customers who own or partially own a solar generation system to better understand both its impact on their energy use and cost, as well as their energy production ( Solar Dashboard ). All ideas are welcome and submissions are not limited to software applications. For the purposes of these Rules, the words you and your shall mean any eligible individual student who registers and participates in the Contest as a sole entrant or as a member of a student team of no more than five (5) students. Each individual or team that properly and timely registers to participate in the Contest is referred to as a Solver. Eligibility Requirements : To qualify to enter the Contest and be eligible to win, you must meet the following criteria: (1) you must attend a college or university on a full-time or part-time basis or have received an undergraduate or graduate degree from such school on or after January 1, 2017; (2) you must be at least eighteen (18) years of age at the time of registering to participate in the Contest; (3) you must not participate in the Contest more than once; and (4) your contest submission must be entered no later than 4:00 PM CST on 12/29/2017. You are not eligible to participate in the Contest if you are currently an employee or intern of, or a contractor or an employee of a vendor or contractor that does business with, ComEd or its parent Company, subsidiaries or affiliates. If you are not eligible to participate and still provide a Solution to this Contest, you will be disqualified from winning however your Solution shall still be subject to the terms and conditions set forth below. Capitalized terms that are not defined in these Rules shall have the same meanings as in the Mindsumo Terms of Use as updated January 30, 2017 ( MindSumo Terms ). Your submission of a Solution to this Contest is an acknowledgment and agreement to be subject to both the MindSumo Terms and these Rules. All determinations of qualifications, eligibility, prize winners shall be made by ComEd in its sole and absolute discretion, and are final and non-appealable. Phase I Phase I of the Contest requires each Solver to submit their idea or Solution through the MindSumo website. Your submission should contain (1) The visual component of your idea can be anything from a pen and paper drawing to a PowerPoint presentation, a video, or a professional software prototype; and (2) An explanation of the design choices behind your idea: what components of the dashboard deserve to be where, and why? Give us a detailed reasoning of why the user will value the design.

Recommendations for your dashboard idea include: Offer an easy to use user interface (UI) a simple, uncluttered layout will help users process content quickly without distractions. Contain useful and simple to understand gauges and charts visual representations of information help users understand trends, comparisons, and targets. Be dynamic and engaging keep the information fresh with new content and include elements with which users can interact to promote ongoing engagement. Contain detailed reasoning of why the user will value the design Features that must be included (we strongly encourage more features): Display of energy generation and usage over time Tally of finance information like credits and offsets Alerts for expiring credits or energy spikes Quarterly reports on usage, generation and financials Goal-setting and rewards for energy efficiency For additional solar information, Solvers can visit: http://www.comed.com/smartenergy/innovationtechnology/pages/solarenergy.aspx http://www.futureenergyjobsact.com/ If you choose to submit a slide presentation, the maximum number of single page, standard size slides that you can submit is fifteen (15). The slide presentation must be in either Microsoft PowerPoint or Adobe PDF form. The written text document must be in either Microsoft Word or Adobe PDF form. If, instead, you choose to submit written text, the maximum number of single-sided, 1.5 spaced, 8.5 x 11 pages that you can submit is fifteen (15). Please use 12 pt type and the font of your choosing, and assure that your submitted text is easily legible. Both documents may include graphics, pictures or other illustrations at the Solver s discretion. All questions regarding the Contest must be submitted through MindSumo no later than 4:00PM CST on 12/29/2017. Questions will be answered directly through the MindSumo website. Should an answer conflict with what is stated in this version of the Official Rules, the answer shall prevail. ComEd shall have full discretion to require modification and may at any time reject or prevent participation of any Solver whose Solution violates copyright or any other applicable law, contains obscene or controversial information or for any other reason is deemed unacceptable, as determined by the sole and exclusive discretion of ComEd. ComEd s decisions will be final and non-appealable. In the event that two different students or student-teams each submit a proposal that is identical, or essentially identical according to the opinion of ComEd, the student or student-team that submitted their proposal first according to the time-stamp associated with the email submission of their Solution shall receive preferential ranking. Furthermore, no such perceived duplicate idea or proposal may move forward into Phase II, even though its criteria score may exceed another non-similar proposal that was allowed to advance to Phase II. ComEd s decision regarding these types of duplicate entries are final and at the sole discretion of the Company. Phase I Judging : ComEd shall judge all eligible Solutions that satisfy the Phase I requirements in accordance with the following criteria and weighting:

Weigh t Promotes understanding and awareness of using solar technologies Innovation factor Phase I Prizes : The judging by ComEd will result in a ranking of all Solutions, and the award of Phase I prizes to be announced and provided by MindSumo. The top 10% of Solutions share $1,000 in prize money, the next 15% share $400 in prize money, and the next share $200 in prize money. For any Phase I prize winning Solution submitted by a team, the team shall designate a single representative for receipt of the award (and if one is not designated, ComEd shall choose a representative in its sole discretion) and the full award for the team shall be made to the representative on behalf of the team. The representative shall be responsible for distributing any of the prize money awarded to the team for such Solution, and ComEd shall not be responsible for any such allocations or distributions. In addition, on or after January 8, 2018 ComEd will announce the top 5 Solutions (the Finalists ). The Finalists will be eligible to move on to Phase II. If at any time before the start of Phase II, any of the Finalists or their Solutions become ineligible or disqualified or a Finalist (or any member of a Finalist team) does not want to participate in the Phase II portion of the contest then such Finalist will forfeit the opportunity to compete for the Phase II prizes outlined below, and the next highest scoring Solution shall take its place as a Finalist and be eligible to participate in the Phase II portion of the contest. Odds of Winning : Your odds of winning any cash awards during Phase I depend upon the number of Phase I qualified Solvers as of December 29, 2017. Phase II The Finalists will be invited to continue into Phase II of the Contest. The second phase of the Contest provides each Finalist an opportunity to further improve its idea or the presentation of its idea. Additional details regarding Phase II presentation criteria and requirements will be communicated no later than the beginning of Phase II. Phase II Judging : ComEd (or its designated panel of judges) shall judge all eligible submissions Solutions that satisfy the Phase II requirements. A breakdown of Phase II judging criteria will be communicated no later than the beginning of Phase II. The highest-scoring Finalist shall be the Grand Prize winner, the second highest-scoring Finalist the Second Place winner, the third highest-scoring Finalist the Third Place winner and the remaining two Finalists shall be the Honorable Mention winners. In the event of a tie among the top five Finalists, ComEd will decide the Grand Prize, Second Place, Third Place and Honorable Mention winners. Phase II Prizes : All qualified Finalists that fully participate in Phase II and receive a final Phase II score will be awarded a Phase II prize. Each Phase II prize shall be awarded in its entirety to any individual Solver, or evenly

divided among each Solver if a Finalist consists of a team of Solvers. The Phase II Prizes, as a minimum, shall include the following: Grand Prize: Five Thousand dollars ($5,000) Second Place: Two Thousand five hundred dollars ($2,500) Third Place: One Thousand five hundred dollars ($1,500) Two Honorable Mention Awards: Five hundred dollars ($500) to each of the Fourth place and Fifth place Finalist Solvers Terms and Conditions of Contest Rules Original/Non-Infringing Work : All Solutions and work product composing any submission in this Contest shall be the original work of the Solver and not reflect any input from any paid consultant, advisor, or other party retained to influence or affect the submission. Each Solver represents and warrants that the proposed Solution will not (a) infringe any third party s copyright, trademark, patent or other proprietary rights or rights of publicity or privacy, (b) violate any law (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising), or (c) be libelous, unlawfully threatening, or unlawfully harassing. Taxes : All taxes for any and all prizes awarded in this Contest, including federal, state and local taxes, are the sole responsibility of each winner (including each representative). If applicable, the winner will be issued an IRS 1099 tax form. Prize Award and Acceptance : Prizes are not transferable, not assignable and may not be partially awarded. All winners and Finalist Solvers may be required by ComEd to sign and return an Affidavit of Eligibility ( Affidavit ) and Agreement of Publicity, Intellectual Property, and Release of Liability ( Agreement ) within seven (7) days of their winning notification in order to receive prize money. If a prize winner cannot be contacted within three (3) business days after the first attempt to contact him or her, or if the potential winner does not sign and return the Affidavit and Agreement in the required time period, the prize will be deemed forfeited and an alternate winner may be selected from among all remaining Solutions, if any. Conditions : THIS SECTION IMPOSES LIMITATIONS OR CONDITIONS THAT AFFECT THE OBLIGATIONS OF THE SOLVERS AND FINALISTS. By accepting a prize, each Solver: Consents to the use of his or her name, photo and submission, state of residence, and likeness, for advertising or Contest purposes in any media worldwide in connection with the Contest, without limitation and without additional compensation worldwide, except where prohibited by law. This consent is referred to as the "Licensed Rights." Hereby gives ComEd permission to obtain, utilize and share all information, commentary, video, submission, photographs with ComEd partners or suitable, interested parties (as determined by ComEd) as well as in any marketing communications mediums now known or yet to be invented.

Conveyance of Ownership of Intellectual Property: If you submit a Solution in response to this Contest, you agree that you (and, if applicable your team members) are the sole owner(s) of the submitted Solution and that you are legally free to make the representations and warranties in these Rules, and to convey the intellectual property rights being offered to ComEd. By submitting a Solution, all Solvers agree to grant, and hereby grant and assign to ComEd, all of the intellectual property rights contained within their Solutions, regardless of whether any such Solution is a winning Solution or determined to be ineligible, and understand their Solutions may be used by ComEd in any way it wants. Conditions : ComEd and its agents are not responsible for any incorrect or inaccurate information, whether caused by MindSumo, Solvers, printing errors, or by any of the equipment or programming associated with or utilized in the Contest; computer, online, or technical malfunctions; delays or human errors that occur in the processing, transmission or receipt of entries, or delays caused by computer transmissions; or any injury or damage to persons or property, including but not limited to entrants computers, hardware and/or software, which may be caused directly, or indirectly, in whole or in part, from entrants participation in the Contest or receipt, redemption or use of any prize. If, for any reason, the Contest is not capable of being conducted as planned, including but not limited to infection by computer viruses, bugs, tampering, unauthorized intervention, fraud, technical failures, customer outages, weather, or other causes beyond the control of ComEd, ComEd reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest. ComEd also reserves the right, in its sole discretion, to disqualify any individual (or team the individual may be a part of) found to be violating these Official Rules, the MindSumo Terms, or applicable law or suspected of attempting to disrupt or defraud the entry process or the operation of the Contest, and ComEd may prosecute or seek other legal redress against anyone suspected of engaging in these acts. No automated entry devices and/or programs are permitted. ComEd is not responsible for lost, late, illegible, incomplete, invalid, misdirected, mutilated, technically corrupted or garbled entries (which will be disqualified) or for problems of any kind whether mechanical, human or electronic. Internet Specific Terms : In the event of a dispute, entries made by Internet will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. The "authorized account holder" is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide ComEd with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry. If for any reason the Contest is not capable of running as planned, including due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, human error, customer outages, weather, or any other causes beyond the control of ComEd that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, ComEd reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest, notice of which will be posted on ComEd s Student Innovation Challenge web site. ComEd assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. ComEd is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by ComEd on account of technical problems or traffic congestion on the Internet or at any web site, any combination thereof, or otherwise, including any injury or damage to entrant's or any other person's computer related to or resulting from participation or downloading any materials in the Contest. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, COMED RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Names of Winners : To obtain the names of the winners (available after January 12, 2018), send a self-addressed, stamped envelope to: ComEd Student Innovation Contest, ATTN: Business Strategy and Support, 1919 Swift Drive, Oakbrook Terrace, IL 60523. Requests must be received no later than March 31, 2018. Entrant s Personal Information : In addition to any prize notifications, ComEd may use entrant s name, address and email address to publicly announce prize winners or for future Contests, but will not sell this information to any third party.
