Terms of Reference: The Tripura electricity Regulatory Commission (TERC) is vested with the responsibility vide Section 62 of EA 2003 for the determination of Tariff against the Petition of the Licensee i.e. Tripura State Electricity Corporation limited (TSECL). The (TSECL) is expected to file its Tariff and true up Petition for the financial year 2014 15 and aggregate revenue requirement (ARR) for the financial year 2014 15. 1. The description of the assignment is detailed below: 1.1 Preparation of concept papers in respect of the Petitions filed by the TSECL to facilitated TERC during process of Tariff preparation. 1.2 Prudence check and analysis of : 1.2.1 Tariff Petitions for the financial year 2014 15 vis avis the Annual Accounts of TSECL and its Tariff adjustment in respect of uncontrollable parameters. 1.2.2 Aggregate revenue requirement for the financial year 2014 15 and consequent Tariff adjustment. Validation of Data provided by the Licensee including obtaining data analysis of expenses, analysis of fixed cost and variable cost parameters, Power purchase and sale plans. 1.3 To calculate the cost of Supply to different categories of Consumers and adjustment of subsidies and cross subsidies. To suggest alternative for reduction of cross subsidies. Cost allocation issues and Tariff design. 1.4 Examine the measures to meet the additional revenue requirement through increase in Tariffs and other measures including subsidies from Government. Computation of generation cost, of Power purchase cost Transmission and Distribution costs and costs to serve. 1.5 Formulate financial model for category wise Tariff with provision to carry out sensitivity analysis of the Electricity cost to change in different components of Tariff. Values of fixed assets, depreciation, consumers contribution, interest charges on working capital and other related expenses. 1.6 Provide a comparative study of the Tariff rate and structure of other State as with the one proposed now for distribution Licensee. 1.7 Drafting of Tariff Order and revenue proceedings, if any and rendering assistant till completion of Tariff Order including preparation of Final approved Tariff Order. 1.8 Tariff Order will be drafted more or less in the same pattern as of the last tariff Orders of 2013 14 prepared by the TERC. 1.9 To make a demand estimation for each category of Consumers with regard to the demand for previous years. Analysis of increase in demand, demand and sells forecasts and analysis of the Transmission, Distribution and AT & C losses. 1.10 To attend Public hearings and to assist the Commission in preparation of replies to the objections / suggestions receipt on the proposal of ARR and Tariff Petition. 1.11 Examine various measures for efficiency gain; calculate additional revenue and / or reduction in expenditure by such measure. 1.12 Any other work incidental to the filing and approval of the ARR and Tariff proposal relating to the financial year 2013 14. 1.13 The Consultant also to assist the Commission in the activities related to the assignment, which could not be expressly indicated in the terms and reference. 2 Review Petition /Appealed in respect of Tariff Order 2014 15 Assistance in analysis of Review Petitions, if any, that may be filed before the Commission /Appeals before the Hon ble ATE i/c discussion with the Commission /Commission s legal advisors, support during the hearing before the Commission /Hon ble APTEL, preparation of review Order /response to be filed with the Hon ble APTEL for the Order under review/appealed, giving effect to the review /appeal order. 3 Qualification/ Eligibility of Consultant: 3.1 The Consultant must have a sound understanding of. (i). Technical aspect of Power sector Generation, Transmission and Distribution. (ii). The Economics of Power sector Generation, Transmission and Distribution. (iii). Linkages of the assignment with the financial analysis and accounting and Tariff determination of Public Utilities and analysis of Regulatory policies. 3.2 Legal framework governs in the Power sector. 3.3 Consultants who can commit full time man power deployment exclusively for the assignment of the Commission, as on when required, will be eligible for consideration. 3.4 Bidders can either be a consultant or a consortium with more than one Consultant may constitute with another /others for submitting their proposal. Where the Bid is submitted by a consortium, the written consent of each member of the consortium to participate in the Bid on the basis of joint and several liabilities to the Commission for the performance of the services shall be provided along with Bid. 3.5 Consultants shall not be hired for any assignment that would be in conflict with their prior or current obligations to other clients or that may place them in a position of not Page 2 of 15
being able to carry out the assignments objectively and impartially. The Consultant shall have to give an undertaking to this effect. 3.6 The majority of the key professional staff proposed must be regular employees of the firm(s). No alternative to key professional staff be proposed. 4 Procedure for Bidding: 4.1 Collection and submission of Bid documents 4.1.1 A set of Bid documents and terms and condition of the Bid may be purchased by any interested eligible consultant on payment of the non refundable fee Rs.500.00through cash or demand draft in favour of Secretary, TERC payable at Agartala. Separate sealed cover shall be submitted for the financial (three copies) and technical Bids (three copies).the envelop should be mentioned the name of the assignment and nature of the Bids (Technical/Financial) at the top and the name of the submitting Bidder at left hand corner of the envelops.the Bid shall enclosed formats (Form 1 to 9) duly filled up. 4.3.2 The technical Bids shall not indicate any particulars of the financial Bids otherwise the Bids shall be liable to be rejected. 4.3.3 The proposal shall clearly indicate the names and designations of the persons who will be available to the Commission on full time basis along with the time schedule Page 3 of 15
of availability of the other team members showing the exact times of their availability for each assignment. 4.3.4 Each page of the Bid should be numbered and signed by the authorized signatory with the seal of the firm and the forwarding letter must indicate the details of the enclosures attached. 4.3.5 Proposals and all connected documents and subsequent reports (in case of selection of consultant) should be submitted in English only. 4.3.6 Consultants are required to state local cost in the Indian currency only. 4.3.7 Proposals must remain valid 180 days after the last dater of submission. 4.4 The Bid schedule: i). The technical Bids shall be opened at 16.30 hrs on 24/01/2014 (if possible)in the office of Secretary, TERC by the Evaluation Committee in the presence of the Bidders or authorized representative if any who wish to participate 5.Method of Selection of Bidder: 5.1 The method of selection is QCBS (Quality Based System). 5.2 The evaluation of Bids shall be done by an Evaluation Committee as may be constituted by the Commission. 5.3 Technical Evaluation 5.3.1 The technical evaluation will be done on the basis of the following criteria with Max m marks of 100 for each criterion.the weight for each factor of the criteria shall be as follows: A. The Consultant relevant experience 40 B. The quality of methodology 20 C. Qualifications and competence of the key staff for the assignment 35 D. Methodology of transfer of knowledge to Commission staff 5 Page 4 of 15
5.3.2 The minimum qualifying total score, for the technical bid shall be 65. The financial bids of only those bidders shall be opened whose score is 65 or above in technical bids. After technical evaluation is completed the Commission shall inform those consultants whose proposals did not meet the minimum qualifying mark or were considered non responsive to the terms of reference and the Financial proposals will be returned unopened after completing the selection process. Selected Bidders, whose have scored more than qualifying score shall be informed about the date of opening of financial Bids and they may attend the opening of financial Bids at the office of the Secretary, TERC. 6 Financial Evaluation: 6.1 The financial proposals of the technically qualified Consultants will be opened by the Evaluation Committee in presence of those consultants or their representatives whose Bids are shortlisted for financial evaluation. 6.2 The proposals with lowest evaluated cost will be given a financial score of 100 and other proposals will be given financial scores that are inversely proportional to their prices. 6.3 Finalization of Bids will lead to selection of consultant after adding of scores in technical and financial proposals with respective weightages, which shall be 50% for Technical bid & 50% for Financial bid. 7 Engagement of Consultant: 7.1 After evaluation of Bid the Commission will discuss the detailed work plan with the Bidder with highest score. Any suggestions that the Bidders has made to improve the TORs, staffing details, activities to be undertaken by the consultants, reporting etc., as also the inputs required from the Commission to ensure satisfactory implementation of the assignment will then be discussed with the Bidder and finalized. These discussions will be on the strict understanding that the amount quoted in the Bid document will not be increased for any reason whatsoever. 7.2 Having selected Consultants, amongst other things, on the basis of an evaluation of the proposed key professional staff, the Commission shall award a contract on the basis of the staff named in the proposal and, prior to the award of contract, will require assurances that these staff will be actually available. The Commission will not consider substitutions during the contract period except in cases of genuine hardship subject to the satisfaction of the Commission. 7.3 The successful Bidder shall enter into a contract Agreement (in Non Judicial Stamp Paper of Rs.100.00) with the Commission in the prescribed format writing 15 days after issuing of LoA and shall commence the assignment as per schedule assigned by the Commission. 7.4 The successful Bidder shall furnish a Performance Bank Guarantee equal to 10% of the value of contract writing 15 days after issuing of LoA which shall be valid for 180days after the completion of the assignment. 7.5 If the Consultant, finally selected for award of contract on basis of above procedure, fails to enter into a contract within the time limit as prescribed by the Commission, the Commission will invite the consultant who has scored the second highest score on consideration of Financial and Technical Bids for award of the contract. 8 Other Conditions: 8.1 The Commission may hold weekly review meeting fortnightly, or more frequently if so needed, with the Consultant during which senior/key personnel of Consultant shall be present. 8.2 The Consultant shall not utilize or publish or disclose or part with any statistics, data/proceeding or information collected for the purpose of Commission, without the express written consent of the Commission. The Consultant shall be duly bound to hand over the entire record of assignment to the Commission before the expiry of the contract. 8.3 The Commission reserves the right to award the assignments to one or more Bidders on the basis of the selection criterion or reject any Bid or to cancel the assignment(s) without assigning any reasons for the same. Failure to provide all information or conceal any information material to award of contract shall be at Bidders own risk and may result into rejection of the proposal. 8.4 Past experience certificate for carrying out in similar job need to submit. 9 Completion Period: The assignment should be completed in all respect within 45 days which shall be reckoned from the 15 day of placement of letter of Award (LOA).
