Medtronic Philanthropy Matching Grant FAQs ELIGIBILITY Who is eligible to participate in the Matching Grant Program? Any Medtronic employee or retiree worldwide can participate. Eligible Participants: *Active full- and part-time employees worldwide Medtronic Retirees worldwide Ineligible Participants: Contractors Interns Employees on leave of absence *Employee must be listed as active in HR Systems on both the original date of donation AND at the time of the Medtronic match request. Employees must comply at all times with the Medtronic Code of Conduct and Ethics and other Medtronic policies, standards, and guidelines. Employees who violate any laws, policies or these standards are subject to disciplinary measure, up to and including termination. What will Medtronic match? Any personal monetary donation made to an accredited and approved charity/ NGO/501(c)3 organization will be matched by Medtronic Philanthropy. A minimum donation of US$25 for credit/debit card and offline contributions (including stock gifts) is required to be eligible for a match. The minimum donation for a payroll donation is US$10 one-time or US$1 recurring. Medtronic Philanthropy has the right to deny any match request. What types of monetary donations are not eligible for a Matching Grant? The following financial payments are not eligible for the match: contributions that result in you or a family member receiving a benefit (auction items, dinners, raffles, tickets, sponsorships, booster clubs, memberships, etc.), tuitions, tithes, dues, subscription fees, grouped or pooled donations among a team of people, GoFundMe fundraisers, deferred gifts, bequests, insurance premiums that name Matching Grant FAQs_V2 1

an organization as the beneficiary, loan repayments, payments in lieu of tuition, travel, personal property or other gifts in kind. I donated items to a nonprofit. Will you match my donation? No. Matching Grants are available for monetary contributions only. I am participating in a walk/athon or race. Can you match what I raise? The Matching Grants program matches individual monetary contributions only. If fellow employees or retirees donate to the organization, they are able to designate to your team and funds will be matched accordingly. However, an individual cannot submit funds from a collective group of people to be matched. I sit on the board of a nonprofit. Will you match my board dues? If you personally pay for 100% of your board dues, the funds will be matched. The matching dollars cannot count for a portion of your dues. I bid on an item in a charity auction. Will you match my bid? No. Services/goods received for funds do not qualify. Can I make a donation to a charity out of my personal Donor Advised Fund? Donations made using a personal DAF in 2016 will be matched when distributed directly to an eligible charity from the DAF. Due to the complexity of these gifts, please contact RS Mission in Motion before applying for a match. Will you match into my personal Donor Advised Fund? Effective January 1, 2016, Medtronic will not match into a personal Donor Advised Fund. What types of organizations are eligible to receive a matching grant? Eligible organizations must be nonprofit or non-governmental organizations. In the United States, the organization must be a 501(c)3 registered on Guidestar (www.guidestar.org). Outside the United States, it must be registered on ammado or CanadaHelps, our international processing partners, to accept donations on the Mission in Motion website. Eligible organizations include, but are not limited to: civic, arts, cultural, health, human services and environmental organizations, colleges, universities, and private and public schools, and non-sectarian efforts of religious organizations. In addition, in order for an organization to be eligible and as a condition of a Matching Grant from Medtronic, Grantee certifies that it is currently in full compliance with all human rights statutes and ordinances designed to prohibit discrimination on the basis of race, color, creed, religion, ethnic or national origin, gender, marital status, disability, status with regard to public assistance, sexual orientation, gender identity and/or expression, and age. Grantee and personnel shall comply with all applicable labor laws, rules and regulations, including but Matching Grant FAQs 2

not limited to, all laws forbidding the solicitation, facilitation, or any other use of slavery or human trafficking. Are all donations to eligible organizations matched? Not necessarily. Even if an organization is eligible, certain types of donations are not. Types of donations that are not eligible for matching include, but are not limited to: Donations made by or through Community Trusts or similar organizations, including Charitable Remainder Trusts, or Family Foundations. Supporting organizations defined as 509a3 (specifically Type III or undefined). Donations that provide a direct benefit, to the donor or donor s family. Any portion of a donation that is not tax deductible to the donor. Donations made in lieu of tuition payment for services. Fees for service or tuition payments. Membership fees for which benefits are received. Donations for political or fraternal organizations and purposes. Undesignated donations or payments to sectarian institutions: churches, mosques, synagogues or temples. Tithes or other religion-related financial commitments are not eligible. Extremist, terrorist or hate groups. Subscription fees for publications. Insurance premiums. Bequests or life income trust arrangements. Donations of real or personal property. Cumulative gifts from several individuals reported as one contribution. What if my organization is not listed online or not accepting online donations? All U.S. organizations must be listed on GuideStar (www.guidestar.org) and optin to accept online donations through Network for Good in order to receive your online donation through the Mission in Motion website and match dollars. All Canadian organizations must be listed on CanadaHelps (www.canadahelps.org). All other organizations must be registered on ammado (www.ammado.com). Instructions are available for download on the Matching Grants page to provide to your organization so they can be added to the Mission in Motion database or add the online donation functionality. NOTE: Depending on where the organization is based, an automated update occurs regularly to include newly incorporated nonprofits on the Mission in Motion website. If the organization is listed on Guidestar, it is updated on the 16th of each month. If the organization is listed on Ammado, the update occurs weekly on a Monday. If the organization is listed on CanadaHelps, it s updated monthly on the 15th. Matching Grant FAQs 3

Any registered 501(c)3 organization (tax-exempt charitable organization) is eligible for a Volunteer Grant. Eligible organizations include, but are not limited to: civic, arts, cultural, health, human services and environmental organizations, colleges, universities and private and public primary grade schools. Medtronic has the right to deny any Volunteer Grant request. FAITH BASED ORGANIZATIONS Will my donation to a religiously affiliated organization be matched? Donations to religiously affiliated organizations will be matched as long as they are in accordance with all other requirements in the Company's guidelines. Medtronic Philanthropy will only consider matching donations to religious organizations when the gift is designated to a secular community service program sponsored by the organization which does not advocate or advance any specific religious view or result in congregational benefit. Eligible examples include: soup kitchens, feeding programs, home-building efforts, international humanitarian work, affiliated schools, etc. Will my donation to my place of worship be matched? There are several ways donations are made to places of worship. Not all are eligible to be matched: Donations must have a nonsectarian designation Tithing (weekly or monthly donation in support of the organization s general operating expenses) is not eligible for a match. Capital improvement campaigns are not eligible My place of worship runs a Food Pantry, Homeless Shelter, etc. Is my donation eligible for a match? Donations made to a Food Pantry or other program run by a place of worship may be eligible as long as the program is specifically designated. These donations are only eligible if the place of worship offers these services to anyone in need regardless of their religious affiliation and there is no requirement for the recipient to pray, participate in organized religious education, convert to a specific belief, or be subject to proselytizing in order to receive the services. My place of worship is running a special monetary collection to help people hurt by a natural disaster (Haiti Relief, Katrina, etc.). Is my donation eligible for a match? Yes. Medtronic supports natural disaster relief efforts through product and monetary donations through specific partners - U.S.-based nationally and internationally known organizations. Employee donations will be matched if they are designated directly to a humanitarian relief agency provided that agency meets all other Medtronic criteria. Matching Grant FAQs 4

Medtronic Philanthropy will only consider matching donations to religious organizations when the gift is designated to a secular community service program sponsored by the organization which does not advocate or advance any specific religious view or result in congregational benefit. My child attends a religiously affiliated school. Are donations to the school eligible? Tuition payments are not eligible. Donations in support of the Parent Teacher Association (PTA), book funds and general expenses may be eligible. The school must accept students regardless of religious affiliation and must be aligned with our policies. Is my donation to a missionary organization eligible for a match? Donations to organizations that run missions around the world are not eligible for a match if recipients of the services are required to pray, participate in organized religious education, convert to a specific belief or are subject to proselytizing. If the services are provided without this requirement and the agency meets all other Medtronic criteria it may be eligible. TIMING AND PROCESS When will my donation be processed and sent to the organization? Credit/debit card donations are processed on a monthly basis. Payroll donations are processed on a quarterly basis, operating on a calendar year. Payroll funds are sent from YourCause approximately 6 weeks from the end of each calendar quarter. View this processing schedule for an estimated timeline for credit card and offline match processing. When will the Medtronic match check be sent to the organization? Matches for credit/debit card and offline matches are processed on a monthly basis. It is most cost-effective to approve and pay these gifts at one time. The match is sent within 6 weeks of the end of the month in which the match was approved. The match is sent from YourCause (note: this is processed separately from your initial contribution). Payroll donations and respective matching dollars are processed on a quarterly basis and are sent on the same check within 6 weeks of the calendar quarter end. When will the organization receive my money? Detailed processing schedule coming soon. How long do I have to request a match once I have made a donation? Matching Grant FAQs 5

Requests must be received by the Matching Grant program within three months of the date of payment by cash, check, credit card or traded securities. Match requests received after that time will not be eligible for a match. How will I know the status of my matching grant request? You will receive automatic emails notifying you of the status of your match request. If your matching grant is ineligible, you will be notified. You can also view the status of a matching grant request by logging into Mission in Motion, click on the Giving tab, and then Donation History or view your Messages box on the Mission in Motion site. MINIMUMS AND LIMITS How much will Medtronic match per year? Medtronic will match your donations dollar for dollar up to a maximum of US $50,000 per employee per calendar year. Financial gifts are matched on a 1:1 basis. Medtronic Philanthropy has the right to discontinue or suspend this matching program at any time, should the demand exceed the budgeted resources. How is the annual donor limit determined? The annual donor limit is tied to the calendar year in which the donation was made. For example, if you make a donation of US$50,000 on December 31, 2015 to an eligible institution, and you submit your matching gift form in January 2016, if approved, the matching gift award will be "charged" to your 2015 limit. A donation made in January would be applied to your 2016 limit. Is there a minimum donation to receive a Matching Grant? Yes. The minimum for any credit/debit card or offline donation to be eligible for the match is US$25. One-time payroll donations of $10 are eligible for a match. What if I want to give less than US$25? You certainly can. However, due to the processing and administrative costs involved with this program, the minimum for an online credit card donation via the Mission in Motion website is US$10 and payrolls are US$1 recurring or US$10 one-time deduction. Only credit/debit card donations of US$25 or more are eligible for a Matching Grant, while all payroll deductions will be matched in full. RECEIPTS Will I receive a receipt for my credit card donation? If your donation was processed via Network for Good (all U.S. credit card transactions), a donation confirmation will be emailed to you upon submission of donation and available for download under Donation History. For an official receipt for tax purposes, you can contact Network for Good or your organization. Matching Grant FAQs 6

If you donated via an ammado or CanadaHelps organization, you will receive an email confirmation, and will need to contact the charity directly for a tax receipt. Will I receive a receipt for my payroll deduction donation? Due to the repetitive nature of payroll deduction donations, receipts are not available. However, you can print off a yearly giving summary off the Donation History page and use this along with your paystub for tax purposes. MISCELLANEOUS Why does Medtronic offer a Matching Grants Program? To encourage and support the generosity and community involvement of employees, Medtronic Philanthropy offers the Matching Grant Program, which provides matching funds to the charitable organizations employees personally support. Through the Matching Grant program, we can support your tax-deductible donations to nonprofit organizations, agencies and schools throughout the world and extends the reach of Medtronic's corporate giving beyond our site communities. By matching employee gifts dollar for dollar, employee and company resources are leveraged for maximum community benefit. By using the Matching Grant Program, together, we can double your impact in the community. Matching Grants is designed to make charitable giving easy, convenient and meaningful for you. By matching your donation, our combined resources can help transform our communities. By participating in the Matching Grants program, you can double your contribution and impact on the nonprofit organizations to which you are most committed. How do I determine the tax-deductible portion of my donation? You should refer to the tax rules within your own country to determine if any part of your donation is tax-deductible. In the United States a charitable gift for which the donor receives nothing in exchange is 100 percent tax deductible. The portion of a charitable gift that covers any goods or services received in exchange for a donation is not tax-deductible. Examples include tickets, dinners, golf tournaments, promotional items, subscriptions, dues, etc. The agency can tell you what portion of your gift is considered tax-deductible if you are in doubt. Are there any processing fees on my donation? Processing fees are absorbed by Medtronic Philanthropy for US charities - 100% of your donation will go to your organization. Donations to non US charities (CanadaHelps and ammado) are charged processing fees. How do I match a stock donation? Stock donations are treated similar to off-line donations. You can work directly with your financial advisor for the best way to execute a stock donation. Once a Matching Grant FAQs 7

stock donation has been completed, please upload the receipt from the charity and apply for a matching grant. Why do I have to submit separate matching grant requests for each donation made over a period of time to the same institution? Each donation is a separate transaction. One request per donation helps ensure that every donation is matched appropriately. Separate requests also facilitate record keeping and comply with Medtronic's audit requirements. Can I make my donation and match anonymously? Yes, for credit card donations only. You can select Anonymous on the credit card donation page when submitting your donation. You will still be able to view your donation information on the Donation History page, even though the charity will not be made aware of your name upon receipt of funds. One thing to consider when making an anonymous donation is that the charity will have no record of your donation by name for tax purposes at a later date. Will my personal information be shared? Any personal information collected by the Mission in Motion website, YourCause or Medtronic Philanthropy is used for the sole purpose of administering the program and ensuring a safe and secure transaction. This information will not be shared or sold for any reason. Can other employees see my financial donations? If you have chosen a private profile, none of your activity on the Mission in Motion website is visible by other employees. If you have chosen a public profile, none of your personal donations are visible. We encourage you to consider a public profile for the purpose of volunteering so that event organizers and your colleagues can see who you are instead of just anonymous. Can I access the Mission in Motion website from home/mobile to make donations? Yes! You can donate at home or with your mobile device to make it easy to donate when you receive a reminder in the mail or if you are attending a community fundraising event.
