3 Annual General Meeting - Agenda Notification of the meeting of Butterfly Conservation 1 To receive any apologies for absence 2 To approve the minutes of the last AGM held on 17 November Matters arising 4 Annual Report Chair s report to members 5 Treasurer s Report to members and adoption of the Annual Report and Consolidated Accounts and Balance Sheet for the year ended 31 March To appoint Buzzacott LLP as Auditor and to authorise Council to fix their remuneration for the ensuing year 7 Chief Executive Officer s Report 8 Council Elections The longest serving five members of Council are required to stand down from office at each AGM. If they have served for less than nine years they are eligible for re-election along with any other BC members wishing to stand for election. Please see the election addresses on pages 4 and 5. Members have the right to appoint a proxy. Forms can be found on page 6. Completed proxy forms must be received at BC s Head Office no later than 48 hours before the AGM. The minutes of the last AGM, Annual Report and Consolidated Accounts and Balance Sheet are available on the Butterfly Conservation website Additional Information There is no requirement to book or pre-order lunch for this year s AGM and Members Day. Lunch: Coffee/Tea: Parking: Raffle: Accommodation: How to get there: A carvery (meat, fish, vegetarian option and seasonal vegetables) plus dessert at Coffee/ tea and biscuits will be available to purchase throughout the day at 2.55 per serving. There is complimentary parking at the hotel for AGM/Members Day attendees. Wiltshire Branch will organise a raffle to be drawn during the afternoon refreshment break. Tickets can be purchased from the Branch stand during the day. A special rate of 65 (single) and 75 (double) including breakfast has been agreed with the Swindon Marriott. 4 Council Election Addresses Jim Asher Proposed by David Dennis I am passionate about butterflies and other wildlife in what is left in our natural landscapes. A physicist by background, with many years of experience in a wide range of technical, business and management roles, I hold a senior position in a specialist professional services company. As a Trustee, Chair of Conservation Committee and a member of Executive Group, it has been my privilege to be involved in strategic discussions and policysetting in BC. I have been actively involved, locally and nationally, with the Butterflies for the New Millennium project, data collation, analysis and publications since it began. I enjoy being out and about in the countryside, watching, recording and photographing butterflies, and helping with conservation work. If re-elected, I would welcome the opportunity to continue to assist Council in driving the development of BC and our 2020 vision. Andrew Brown Proposed by David Dennis I have been a director of commercial companies and run my own design and contracting business. I have raised grant funds for several charities and voluntary groups. I am a trustee of Butterfly Conservation and presently serve on its Governance Committee. I have been a trustee of six other charities, three of them in environmental conservation, one in grant giving for environmental conservation and one in charity governance. I have been a Chairman for three charities, Company Secretary for two, Chief Executive for one and a volunteer for all of them. I was the Chair and am now a Vice President of The Conservation Volunteers. I have knowledge of charity management, governance and law. I hold the ICSA Certificate in Charity Management and am a member of the Charity Law Association. I occasionally write, lecture and mentor on charity governance matters and have written a book on charity regulation. Kathryn Dawson Proposed by Mike Gittos I am a would-be lepidopterist, passionate about butterflies/moths since I was five when I d spend hours watching them fly. Years later with a career in finance risk, audit, governance & compliance, corporate and investment banking I was lucky to have time to do more than send cheques to BC (member for c.22 years), volunteering as a Conservation Officer, Publicity Officer and currently Branch Treasurer. The funding landscape keeps changing with increasing competition for grants, donations, and ridiculously low interest rates forcing charities to find creative strategies to survive. With a background in financial, project and change management in commercial and charity sectors, currently higher education where we face similar issues, I want to use my experience and skills to help BC find those strategies and ensure that future youngsters, who ll never see some of the butterflies I took for granted as a child, will at least see those flying today. 4

5 Council Election Addresses David Dennis Proposed by Michael Dean I am 65 years old, and my working life was spent mainly in Personnel Management and Communications with Marks and Spencer plc. I became a trustee of BC 8 years ago, and was elected your Chair in It is a privilege to hold this responsibility with such a friendly and well-respected organisation. As Chair, I try to encourage the most effective possible partnership between trustees, volunteers and staff. There are big challenges ahead as we work towards our 2020 vision, so we must all try to achieve more in our various roles, and discover new ways of doing things. If re-elected, I will try my hardest to help this process to move ahead swiftly and smoothly in order to maximise our conservations successes for butterflies and moths. Michael Johnston Proposed by Roger Dobbs I have been fortunate to serve Butterfly Conservation's Council for two years, a period of enormous progress despite a very inclement economy. BC has grown membership, strengthened its finances and purchased spectacular Rough Bank reserve while delivering world class conservation work. Alongside my Council responsibilities and role as Link Trustee for Cumbria and NE England Branches, I have worked with your Scottish Director to raise BC's profile north of the Border. I have used my experience of running Scotland's biggest newspaper business to lobby government and public sector bodies on BC's behalf, meeting regularly with Scottish politicians and senior figures within key conservation organisations. Because of my strong business background, I am a director of four Scottish not for profit organisations including Edinburgh Festival and a hospice, where I sit on the audit and investment committees, so I am familiar with the issues facing all charities. I am applying again for Council with the hope I can continue to use this experience and knowledge to advance BC's crucial conservation work. Ian Small Proposed by Elizabeth Goodyear I have been active in the Society for nearly 30 years, intially with Hampshire Branch, for whom I established (and for many years ran) the scheme to computerise butterfly records and generate distribution maps, and was Branch Chairman before relocating to Hertfordshire in From I was Vice Chairman of the National Society undertaking several roles, e.g. leading reserve acquisition activities, particulary dealing with funding and all the legal aspects, for reserves such as Catfield Fen, and the Bill Smyllie Reserve. I was also the Society s unofficial personnel manager as we made the transistion to a professional organisation. I have edited and produced the newsletter for the Herts and Middx Branch for the past 18 years and 6 years ago was re-elected to Council. I would welcome the opportunity to continue contributing to the future direction and governance of the Society. 5
