1 AVAILABLE TO THE PUBLIC PURSUANT TO NEW YORK STATE OPEN MEETINGS LAW REQUEST TO AMEND AND EXTEND CONTRACT WITH WINSTON & STRAWN LLP FOR LEGAL SERVICES RELATING TO 130 LIBERTY STREET AND AMEND PARTIAL ACTION PLAN S-2 Proposed Budget and Contract LMDC staff requests Board authorization to amend its contract with Winston & Strawn LLP (Winston) for legal advice and services in connection with ongoing litigation relating to the abatement and deconstruction of 130 Liberty Street. We are requesting authorization to (1) extend the contract term through March 31, 2015; (2) to fund and cap the value of the contract at $ million (an increase of $7.425 million) through a final judgment at the trial court level; and (3) agree to a fee arrangement for potential actual eligible costs incurred above the capped $ million contract value contingent on a significant recovery by LMDC. In order to provide funding for this proposed amendment, LMDC staff requests Board authorization to issue an amended Partial Action Plan S-2 in order to allocate an additional $7.425 million to 130 Liberty Street from unallocated funds within the Other World Trade Center Area Improvements Program. In October 2009, Bovis Lend Lease (Bovis) sued LMDC in New York State court seeking over $80 million. Bovis claimed, in substance, that LMDC should be required to compensate Bovis for higher than expected costs incurred in connection with work on the 130 Liberty Street project. In March 2011, LMDC asserted counterclaims in excess of $100 million against Bovis seeking, in substance, return of certain advances made to Bovis during the course of the project and compensation for damages suffered by LMDC resulting from Bovis s breach of its obligations to LMDC. On LMDC s motion the court dismissed a substantial portion of Bovis s claims, but certain claims remain. On Bovis appeal the First Department largely affirmed the lower court s ruling and dismissed additional portions of Bovis claim. Bovis has now requested leave for further appeal to New York s highest court the Court of Appeals. Discovery in the case expects to be complete by the end of November. Winston replaced Dewey & LeBouef ( Dewey ) as LMDC s litigation counsel following that firm s bankruptcy filing, using the same key personnel that represented LMDC at Dewey. In September 2012 and April 2013 the Board authorized a total of $11 million for Winston, bringing the total authorized spending for the litigation to $17.65 million including prior spending of $6.65 million by Dewey. This requested additional $7.425 million authorization would bring the total amount to $25.1 million. As noted above, Winston has agreed that this increase will fund all remaining costs of the Bovis litigation including all aspects of a trial. Winston is willing to enter into this agreement because of the significant amount of trial related work which has been completed as part of the discovery process and because Winston had previously represented to the Board that the total costs associated with the project, not including the cost of experts, would be approximately $22.5 million. Included in the $25.1 million cap is $2,325,000 which is dedicated to fund experts who have also agreed to cap their fees. The total Winston fee will therefore be as represented in the budget presented in December 2011 and February /31/13 Board Meeting 1 of Liberty Legal Services
2 LMDC staff believes that this outcome is favorable for LMDC because it limits LMDC s exposure to cost overruns in the event of a costly and lengthy trial. Note that the cap is not a fixed fee. LMDC would be liable only for the actual hours expended by Winston and the expert witnesses. Scope of Services The services of Winston & Strawn will be needed for all remaining aspects of the litigation process including completion of discovery, briefing motions for and in opposition to summary judgement, oral argument for and in opposition to summary judgment, trial preparation (including preparing witnesses, preparation of exhibits and trial graphics, conducting a mock jury exercise) and an estimated eight week trial. The requested authorization includes capped expenses of experts during this period, as well as document management services to be provided by Winston s sophisticated internal document management department. The key personnel that represented LMDC in the litigation related to 130 Liberty Street are now employed at Winston following Dewey s bankruptcy. While at Dewey, the key attorneys involved in the representation were selected after a specialized search for counsel to assist with commercial litigation related to the abatement and deconstruction of 130 Liberty Street. Jeffrey Kessler, a highly regarded commercial litigator, serves as lead counsel. An exemption from requirements to publicly advertise this procurement in the New York State Contract Reporter is concurrently being sought from ESD. 3 AVAILABLE TO THE PUBLIC PURSUANT TO NEW YORK STATE OPEN MEETINGS LAW REQUEST TO AMEND AND EXTEND CONTRACT WITH RICHARD DAVIS FOR LEGAL SERVICES Proposed Budget and Contract LMDC is requesting Board approval to amend its contract with Richard J. Davis to serve as LMDC s Acting General Counsel and Board Secretary extending the term for an additional oneyear period through December 31, 2014 and to authorize an additional $50,000 in contract funds bringing the contract value to $99,500. The proposed contract amendment will be funded from LMDC s fiscal year end 2014 Legal Affairs budget and the anticipated FYE 2015 budget, LMDC s settlement with the prior insurers of Deutsche Bank and Partial Action Plans 7, and S-2 as may be appropriate. Mr. Davis has provided counsel to LMDC since 2004, first in his capacity as a partner at Weil, Gotshal & Manges LLP, and then, since 2011, in his capacity as a sole practitioner. In 2011 and 2012 Mr. Davis served as counsel to the LMDC Board. In August 2012 LMDC s then General Counsel, Brad Sonnenberg, left LMDC. Rather than hire a full-time General Counsel, LMDC elected to contract with Mr. Davis for legal services on an as-needed basis. In January 2013 LMDC contracted with Mr. Davis for legal services in an amount up to $49,500 through December LMDC will continue to require Mr. Davis services through December Mr. Davis has agreed to provide legal services at the $400 per hour rate established by Empire State Development, a rate that is significantly lower than his market fees. Scope of Services LMDC will require the continued legal services and expertise of Richard Davis in connection with a variety of legal matters. In particular, Mr. Davis provides advice in connection with 130 Liberty Street litigation matters and with anticipated land transfers at the World Trade Center site. Mr. Davis may also be required to advise LMDC on other legal matters as needed. For the extended term through December 31, 2014, LMDC will apply the existing fee cap representing a significantly reduced hourly rate. The amount of increased expenditures is based on an estimate of the level of effort that will be associated with the continued legal services. Fees (including reimbursables) for work requested by LMDC are billed on an hourly basis. From , as a Partner at Weil, Gotshal & Manges LLP, Mr. Davis represented LMDC in connection with disputes concerning the World Trade Center Memorial and Redevelopment Plan and the deconstruction of 130 Liberty Street. In 2011 and 2012 Mr. Davis served as counsel to the LMDC Board. No other legal practitioner has had as much experience with the full breadth and depth of LMDC legal matters. 4 Firm Description Richard J. Davis is an accomplished and experienced attorney who has been involved in numerous high profile matters. Mr. Davis was a Task Force Leader in the Watergate Special Prosecutor s office, the Chief Trial Counsel in two Watergate trials and served as Assistant Secretary of the Treasury (while in that position he was part of the group that crafted the Iran- U.S. Hostage Release Agreement). For six years, under Mayor Giuliani, Mr. Davis served as Chair of the Mayor s Commission to Combat Police Corruption. He has also served as Weil Gotshal s General Counsel, represented numerous corporations, senior executives and Boards of Directors in investigations, has been involved in significant bankruptcies and has served as an arbitrator and court-appointed Special Master/Mediator in a variety of matters. Mr. Davis is also active in the civic life of New York City. Among other things he has served as Chair of Citizens Union, Chair of the Randall s Island Sports Foundation, Chair of the Legal Aid Society, Chair of the City Bar Association s Criminal Justice Council, as a member of the New York City Campaign Finance Board and as a member of the boards of various charities. 10/31/13 Board Meeting 2 of 2 Richard Davis
5 AVAILABLE TO THE PUBLIC PURSUANT TO NEW YORK STATE OPEN MEETINGS LAW REQUEST TO EXTEND THE AUTHORIZATION AND FUNDING OF CERTAIN PRE-QUALIFIED COUNSEL AGREEMENTS FOR LEGAL SERVICES Proposed Budget and Contracts LMDC staff requests Board authorization to enter into and/or extend the term of contracts with one or more law firms on the Empire State Development (ESD) Pre-Qualified Counsel List established in September 2012 for terms through December The Board has previously authorized funds of up to $2.825 million and no additional funds are needed at this time. Funds for the proposed contracts and amendments are to be provided in the fiscal year end 2014 Legal Affairs budget and the expected FYE 2015 budget, LMDC s settlement with the prior insurers of Deutsche Bank, and the appropriate project-related Partial Action Plans. LMDC has retained the services of a number of law firms in connection with the many federallyfunded planning and development programs in Lower Manhattan. LMDC has required extensive legal advice and services on complex environmental, land use, and real estate matters relating to World Trade Center Memorial and Redevelopment Plan and the related General Project Plan for the World Trade Center Memorial and Cultural Program (WTC GPP). Legal advice and services have also been needed in connection with construction, environmental, and real estate matters concerning the 130 Liberty Street project. Environmental and other regulatory matters have also arisen in the context of numerous off-site projects, requiring the assistance of outside counsel. To provide such advice and services, LMDC has utilized several firms that historically provided services to ESD given their familiarity with similar issues. The Board previously authorized a total $2.825 million for law firms included in the 2008 and 2012 ESD Pre-Qualified Counsel List for contract terms through December Approximately $825,000 of these funds remain unexpended as of September 2013 and are expected to be used in the period through December The Board previously authorized $3.575 million for law firms included in the ESD Pre-Qualified Counsel List. Scope of Work LMDC will continue to require legal services in the following areas of law: (1) construction, (2) environmental, and (3) real estate and land use, as well as any related litigation. In addition, LMDC may require legal advice and services in other areas of the law given the diverse nature of LMDC s work. The need for legal services will arise in connection with the Lower Manhattan Community and Cultural Enhancement Program, the implementation of the WTC GPP, the East River Waterfront Esplanade and Piers Project, and disputes related to the 130 Liberty Street abatement and deconstruction project. 6 agreements with the following firms adding funds from the existing $2.825 million as needed: (i) Carter Ledyard & Milburn LLP, for matters related to environmental compliance in connection with off-site projects (including new projects under the Community and Cultural Enhancement Program), implementation of the WTC GPP (including environmental compliance and planning for the Performing Arts Center), and compliance with historic preservation obligations related to the WTC Ship Remnant; (ii) Venable LLP, for project-specific environmental and insurance matters and real estate matters including matters relating to the anticipated WTC site land transfers. LMDC may need to retain additional firms on the ESD Pre-Qualified Counsel List in the event that new legal issues arise on any of the Community and Cultural Enhancement Program grants or with respect to other new or existing projects. At all times, fee caps will be in place representing substantially lower rates as compared to market billing rates, and fees will be paid for actual work performed and expenses incurred, as requested by LMDC on an as-needed basis. On September 20, 2012, ESD established a list of pre-qualified counsel to provide legal services in the areas of expertise noted above and authorizing selection and contracts and this authorization is still in effect to date. This pre-qualified counsel list facilitates the procurement of legal services by identifying firms particularly qualified in these areas of law to permit the prompt and timely provision of such legal services. LMDC has reviewed the list and recognizes the distinguished history of the firms, many of which have already provided or currently do provide legal services to LMDC, including Carter Ledyard & Milburn LLP and Venable LLP. LMDC will consider the particular firm and partner experience and expertise before retaining such firm to represent LMDC on a particular matter. By drawing from ESD s pre-qualified counsel list, LMDC will be able to continue to utilize firms which it has previously engaged, while also expanding the number and scope of firms available to respond promptly and effectively to LMDC s needs. When LMDC requires legal advice and services in any of the aforementioned expertise areas, LMDC will identify and select a firm from this list, and retain the selected firm pursuant to a written contract. 10/31/13 Board Meeting 2 of 2 Pre-Qualified Counsel
7 AVAILABLE TO THE PUBLIC PURSUANT TO NEW YORK STATE OPEN MEETINGS LAW REQUEST TO AUTHORIZE EXTENSION OF CONTRACT WITH DUANE MORRIS FOR LEGAL SERVICES IN CONNECTION WITH 130 LIBERTY STREET Proposed Budget and Contract LMDC is requesting Board approval to amend its contract with the law firm of Duane Morris LLP ( Duane Morris ) for legal services in connection with 130 Liberty Street to extend the term for an additional one-year period through December 31, No additional funds are needed at this time. The proposed contract amendment will be funded through funds provided from LMDC s settlement with the prior insurers of Deutsche Bank and Partial Action Plans 7 and S-2 as may be appropriate. Duane Morris has representing LMDC in certain of the disputes relating to the 130 Liberty Street project since From 2008 through September 2012 LMDC contracted with Duane Morris through Empire State Development s Pre-Qualified counsel list. ESD established a new pool of Pre-Qualified counsel in September 2012, and Duane Morris was not included among those selected. In January 2013 LMDC sought and received specific Board authorization for a contract amendment with Duane Morris and is now requesting such authorization be extended through December 2014 so that LMDC may have continuity in representation going forward. Duane Morris has agreed to continue to adhere to the ESD fee caps in place for Pre-Qualified counsel. Scope of Services LMDC will require the continued legal services and expertise of Duane Morris in connection with certain active litigation matters arising out of the 130 Liberty Street project. For the extended term through December 31, 2014, LMDC will continue to apply existing fee caps representing significantly reduced hourly rates. These fee caps will remain the same as those established by ESD in its Pre-Qualified counsel pool. The amount of increased expenditures is based on a reasonable estimate of the level of effort that will be associated with the continued legal services. At all times, the fees payable will reflect actual work performed (including reimbursables), as requested by LMDC on an as-needed basis. The legal team currently at Duane Morris was originally selected when they were part of Thelen Reid Brown Raysman & Steiner LLP, a firm on the ESD s Pre-Qualified counsel pool. When that firm closed the legal team moved to Duane Morris. An exemption from requirements to publicly advertise this procurement in the New York State Contract Reporter is concurrently being sought from ESD. 8 Proposed Budget and Contract LMDC staff is requesting Board approval to amend the contract with Studio Daniel Libeskind (SDL) for planning services relating to the World Trade Center Memorial and Redevelopment Plan (WTC Plan) to extend the term for an additional two years through April 30, The Board previously approved a contract and amendments for up to $7,250,000 and over $665,243 remains available under this contract. No additional funds are being requested at this time. This contract with SDL was originally approved by the LMDC Board in May 2003 and was subsequently amended in 2004, 2005, 2006, 2007, 2008, 2009, 2010, 2011 and SDL has served as master planner for the World Trade Center site since spring 2003 after his design was selected and developed into the WTC Plan. SDL participated in further refinements to the WTC Plan. The refined Plan was the subject of an environmental review that culminated in a Record of Decision and Findings Statement in June Since then, the WTC Plan has been modified and described in technical documents, including the General Project Plan for the World Trade Center Memorial and Cultural Program, as amended February 14, Scope of Services SDL s services may be needed in relation to ongoing analysis and evaluation of issues relating to the WTC Plan. Additional services by SDL may also be required to study alternatives for various components of the WTC Plan and to document and reflect any plan modifications. SDL was selected by the LMDC pursuant to a Request for Qualifications that initiated a worldwide search for design and planning professionals to propose a plan for the World Trade Center area. LMDC received 406 submissions from around the world. On February 27, 2003 LMDC announced the selection of the master plan by SDL. The continued retention of SDL is necessary because the firm is uniquely qualified to perform tasks relating to the WTC Plan as a result of having been selected as the master planner for the WTC site as well as its extensive prior experience and detailed knowledge of the WTC site and adjacent areas. The New York office now has permanent staff of approximately 60 persons offering a diverse array of urban, architectural, and cultural services. 9 AVAILABLE TO THE PUBLIC PURSUANT TO NEW YORK STATE OPEN MEETINGS LAW REQUEST TO AUTHORIZE EXTENSIONS OF CONTRACTS FOR ENVIRONMENTAL SERVICES FUNDING Proposed Budget and Contract LMDC staff is requesting Board approval to extend the term of contracts with one or more of the following four consultants to provide environmental services: (1) AKRF, Inc., (2) BEM Systems, Inc., (3) LIRO Engineers, and (4) TRC Companies, Inc. for a one-year period through September 30, No additional funding is sought. Funds will be allocated to individual firms through a competitive process on an as-needed basis and funding will be provided from the appropriate LMDC department budget or relevant Partial Action Plan. In September, 2011 the LMDC Board authorized $1,950,000 for contracts with these four consultants. Approximately $1.5 million of these funds remain available to be used during the requested term extension. LMDC is responsible for a variety of projects, which range from small to very large in scale, in Lower Manhattan. As the recipient of HUD Community Development Block Grant program funds, LMDC serves as the lead environmental agency under state and federal law and must complete the appropriate level of environmental review for each HUD funded project before implementation can begin. LMDC is also responsible for environmental compliance monitoring of both individual subrecipients and Lower Manhattan as a whole. Therefore, these environmental services must be continued to fulfill LMDC s obligations under the National Environmental Policy Act and the State Environmental Quality Review Act. Scope of Services The retained firms will be asked to provide environmental services over a period up to one year for services that include environmental assessment and review, compliance monitoring, and environmental consulting services associated with LMDC-funded projects in Lower Manhattan on an as-needed basis. These projects -- including the World Trade Center Memorial and Redevelopment Plan, community and cultural enhancement programs, Water Street improvements, West Thames Street Pedestrian Bridge, and the East River Waterfront Esplanade and Access Projects -- vary considerably in size, scope and stages of completion. Some of them require additional or supplemental environmental review as they progress. Therefore it will be necessary to maintain a group of firms who can undertake various tasks. Four different firms were retained after LMDC issued a Request for Qualifications (RFQ) in June AKRF, BEM, LIRO, and TRC were selected pursuant to a RFQ for Environmental Services issued on June 16, Proposals were received from 31 firms. A selection panel of two members of LMDC s staff and one member of LMCCC s staff reviewed the proposals and selected a total of four firms. 10 Firm Descriptions AKRF, Inc. is a leading environmental planning firm in New York City. They provide services in environmental analysis, land use planning, historic and archeological resources, and hazardous materials. They have extensive first-hand experience with the planning and rebuilding efforts in Lower Manhattan and have been supporting LMDC since Their team includes three WBE/DBE firms. BEM Systems, Inc. is a nationwide, employee-owned full-service environmental engineering and consulting firm. BEM has provided air- and noise-monitoring services to the LMCCC. They have also worked for the NYC School Construction Authority, MTA, and the Port Authority of New York and New Jersey. Their team includes a WBE firm. LiRo Engineers, Inc. is a professional engineering firm with expertise in environmental, civil, transportation and institutional projects. LiRo and provides program coordination services to assist LMCCC in its planning, coordination and administrative work in connection with Lower Manhattan redevelopment projects. Their team includes a MBE firm and an M/WBE firm. TRC Companies, Inc. is a wholly-owned subsidiary of TRC Environmental Corporation, a national environmental consulting, engineering, and remediation company. TRC has had direct relevant experience with Lower Manhattan related environmental, health and safety efforts, including providing support to both LMCCC and LMDC. 11 AVAILABLE TO THE PUBLIC PURSUANT TO NEW YORK STATE OPEN MEETINGS LAW REQUEST TO AMEND PARTIAL ACTION PLAN 2 AND THE SUBRECIPIENT AGREEMENT WITH EMPIRE STATE DEVELOPMENT CORPORATION FOR JOB CREATION AND RETENTION PROGRAM Proposed Budget and Contract In order to extend the date of grant availability for the Job Creation and Retention Program (JCRP) to December 31, 2015, LMDC staff is seeking Board authorization to issue an amended Partial Action Plan 2 and to amend the subrecipient agreement between LMDC and Empire State Development Corporation (ESDC). The proposed amendments would not change the authorized amount of the Partial Action Plan 2 or the Subrecipient Agreement. The JCRP provides discretionary incentive grants to companies making a commitment to retain 200 jobs or create at least 75 full-time permanent jobs in Lower Manhattan and maintain those jobs for a minimum of 10 years. The JCRP is managed by ESDC in cooperation with the New York City Economic Development Corporation (NYCEDC). A total of $313 million has been allocated to JCRP, including $170 million of ESDC s U.S. Department of Housing and Urban Development (HUD) grant and $143 million of LMDC s HUD grant in Partial Action Plan 2. Approximately $36 million of the $313 million allocated to the program remains available for new JCRP grant requests. The amount of each JCRP grant is based on several criteria, including the number of jobs, economic impact, creation of new employment in Lower Manhattan, industry diversification and the degree of risk of employment leaving Lower Manhattan. JCRP had initially focused on stabilizing the Lower Manhattan business community in the wake of September 11th by securing the commitment of the area s largest employers to remain in Lower Manhattan. This in turn helped to support local retailers with the foot traffic necessary to operate their businesses. JCRP has increasingly been used to attract New York firms to Lower Manhattan and create new employment. Through August 2013, under the JCRP program, 69 companies have committed to retaining 65,262 jobs in Lower Manhattan of which 13,023 jobs are jobs attracted from other parts of NYC. In addition, these companies have committed to creating 3,493 Lower Manhattan jobs. As part of the commitment of these companies, 15,652 NYC jobs outside of Lower Manhattan have been retained, some of which were WTC companies directly displaced by the 9/11 attacks. Initially, JCRP assistance was made available to businesses that made commitments not later than December 31, This was later extended to December 31, 2011 and then December 31, The current amendment request is essential to Lower Manhattan s continued recovery in light of the need to attract business to fill the new office space that will be constructed at the World Trade Center site in the coming years and the depletion of a major New York State incentive for new World Trade Center leases (Empire State Development s state-funded WTC Rent Reduction Program). 10/31/13 Board Meeting Page 1 of 2 Job Creation & Retention Program

The program was funded by a direct $170 million allocation from the U.S. Department of Housing and Urban Development. LMDC s initial allocation of $150 million was intended to supplement ESDC s program. 13 AVAILABLE TO THE PUBLIC PURSUANT TO NEW YORK STATE OPEN MEETINGS LAW CONTRACT FUNDING REQUEST FOR LMDC WEBSITE HOSTING, MAINTENANCE, AND SUPPORT SERVICES Proposed Budget and Contract LMDC staff requests Board approval to amend its contract with Something Digital Inc. extending it one year and increasing the contract value by $42,000 to an amount not to exceed $283,760. Funds are provided in the FYE 2014 budget and are expected to be provided in the LMDC operations budget for FYE LMDC s website communicates information regarding LMDC s mission to revitalize Lower Manhattan in the aftermath of September 11 and offers access to public documents relating to the environmental review process, board meetings, public meetings, press releases, study results and other relevant information relating to the memorial, rebuilding, and revitalization efforts. It also serves as an avenue for receiving public comment on partial action plans, studies, and other matters, ensuring the public is included in the process. The site is also used to present graphic images and other media related to the rebuilding, and serves as an archive for the rebuilding process, providing important historical information and images of the World Trade Center and other areas of Lower Manhattan. The Board previously authorized Something Digital contracts and amendments to host and maintain LMDC s website from November 2003 through December 31, 2013 for a total amount not to exceed $997,695. Something Digital Inc. has been paid almost $950,000 for their services. The annual cost to host and maintain our website had decreased each year from 2008 through 2013 and this proposal represents the same annual cost we have had for the past year. Scope of Services Something Digital will be responsible for hosting and general maintenance of the website. Something Digital will also create and maintain all comment forms and comment databases, assist LMDC with visual development and layout, and provide the capability to provide live broadcast of LMDC Board meetings. LMDC selected Something Digital through a Request for Proposals for Website Hosting, Maintenance, and Support Services issued in August Something Digital was rated highest by the selection panel to provide the services needed by LMDC based on criteria including quality of work, experience and price. Something Digital was determined to be the firm that could provide the highest level of technical expertise, comprehension, and responsiveness at the most reasonable cost. Firm Description Something Digital is a New York City based technology services company which specializes in software, networking, connectivity, and security services. It has previously provided website services to LMDC.
