1 Achievement Gap Summer Learning Loss Prevention Program Pledge Subject to the availability of funds, if selected to receive a 2017 Summer Learning Loss Prevention Program Grant, the following terms and conditions shall apply: General Compliance 1. The local Y shall remain in compliance with Article II, Section 2 of the National Council of YMCAs Constitution (Qualifications for Membership). 2. The local Y shall inform, for reporting purposes, the designated YMCA of the USA Technical Advisor and Research and Evaluation staff of any changes to staff positions and contact information related to the work being conducted, including but not limited to program leads and grants/development staff. 3. The local Y CEO (or his/her assigned alternate) shall: Ensure that the project is being carried out with fidelity Meet with the program lead to ensure the lead is fully informed and managing the program in accordance with the intentions of the model and Achievement Gap initiative Conduct periodic visits to the program site(s) and participate in any YMCA of the USA site visits, as requested Review and approve evaluation data and program reports prior to submission to YMCA of the USA Support solutions to challenges and lead improvement strategies 4. The local Y shall notify the designated YMCA of the USA Technical Advisor of any of the following: Vacancy in the site director, site manager, site director supervisor or Association program lead positions Any audit finding, including but not limited to government-funded programs and general a-133 (and notification of any media involvement associated with the findings) Criminal investigations associated with the YMCA or any key YMCA partners, including but not limited to school partner(s) (and notification of any media involvement associated with this event) If a child welfare or child care license becomes probationary or terminated (and notification of any media involvement associated with this event) Death or serious accident of a staff member or child associated with the YMCA program, a YMCA staff member, any YMCA partner facility/property, a YMCA

2 facility/property or in any other way involved with the YMCA (and notification of any media involvement associated with this event) Any changes in key local YMCA leadership positions (CEO, COO, etc.) or changes in key partnership leadership positions that may impact the fidelity or quality of the program, including but not limited to school principal or senior district leadership positions Funding and Use of Funds 1. The local Y recognizes that, subject to the availability of funds, funding for the Summer Learning Loss Prevention scaling grant will be disbursed in two (2) payments from YMCA of the USA. All payments are contingent on thorough and timely reporting as per YMCA of the USA s evaluation reporting schedule. Failure to submit thorough and timely reporting may require local Y repayment of grant funds issued to-date, termination of the current grant (including the cancellation of any remaining funding installments), and termination of program delivery (including any potential future years of funding). The first payment (80 percent of the total grant amount) shall be sent no later than April 15, 2017 The second payment (20 percent of the total grant amount) shall be sent by October 30, Funding allocations are both approximate and subject to change contingent upon availability of funding. 3. The local Y shall expend all grant funds by March 15, The local Y shall comply with the requirements stated in all of the Agreements in connection with this grant and will not redirect funds or sub-contract with any organization that requires the payment of indirect costs on these funds. In addition, these funds are not intended to fund the indirect costs of the local Y. 5. Funds shall not be used as grants or loans to other organizations. 6. The local Y shall submit a draft budget prior to program launch and shall submit final cost information by the requested deadline at the end of the program. In the case of unanticipated cost changes, the local YMCA will immediately contact YMCA of the USA, draft and submit a letter of explanation and a request for a revised budget for re-approval. 7. The local Y agrees to and understands that this sub-grant is meant to provide startup funding, to be matched as needed by the local Y. This funding shall support development and initial implementation of the program, and the local Y shall sustain the program through locally-raised, community-based funding once sub-granted start-up funding ceases.

3 8. The local Y shall allocate grant funding in a manner consistent with the terms of this pledge document and the required scope of work for this project. YMCA of the USA may visit, monitor, and/or conduct an audit of the local Y s records at any time. If YMCA of the USA should determine that further expenditure of funds would not produce beneficial results, the local Y will refund the balance of funds remaining and terminate the local Y s participation in the program. The local Y understands and agrees that YMCA of the USA has no obligation to provide funds other than those granted pursuant to the Application. If YMCA of the USA does not receive funds or such funds are cancelled, in whole or in part, YMCA of the USA may in turn cancel this agreement in whole or in part. Staffing and Trainings 1. The local Y program leader(s), anticipated and confirmed program staff (new and returning) and relevant school leader(s) and staff (as appropriate) shall have completed any required YMCA of the USA orientation webinars and web-based training and staff development sessions. Attendance at in-person YMCA of the USA National Achievement Gap training(s) is required for all new program sites. All associated travel costs for new program sites staff to attend the in-person training sessions are covered by YMCA of the USA. Returning local Y program staff interested in attending training are responsible for covering all associated travel costs to attend the in-person training sessions. YMCA of the USA will cover registration costs for local Y staff to attend the in-person training. 2. The local Y shall hire and maintain the required staff positions according to the program models: a. One Site Director to manage the implementation, daily operations, data management and evaluation process for each program site b. Certified teachers to plan, lead and deliver the identified daily literacy curriculum c. Staff to meet the 1:8 staff to student ratio for six consecutive weeks 3. YMCA of the USA may participate in the local Y s hiring of program leadership positions (local Y employees) including reviewing candidate resumes, having the option to participate in candidate interviews, and providing recommendations. The local Y will be responsible for making a final hiring decision, taking into account YMCA of the USA input. 4. The local Y will hire staff based on the core values and position competencies outlined in the trainings conducted by YMCA of the USA. Training dates and topics will be provided. 5. The local Y shall provide/deliver relevant training and supervision for all staff and volunteers involved in the program, ensuring the program is delivered with fidelity to the model. 6. The local YMCA shall complete background checks for all staff and volunteers working with or coming in contact with youth.

4 Participation and Reporting 1. The local Y shall comply with the following requirements: a. Fulfill the fidelity markers for the program b. Meet with each partner school, review all the guidelines/recommendation within the School Partnership Agreement (SPA) template provided by YMCA of the USA and provide verification of such agreement at the request of YMCA of the USA c. Develop a partnership with a local school that will secure/provide access to sufficient computers/workstations with the recommended minimum system capabilities (450 MHz, 250MB available, Windows XP/Vista) and any additional recommendations provided d. Complete an Achievement Gap Core Supports Assessment between April 1 and October 31 of each program year e. Accurately complete required YMCA of the USA financial and narrative reports pertaining to this program, including the drafting and submission of budgets to YMCA of the USA, along with work plans according to deadlines set by YMCA of the USA 2. The local Y shall comply with and participate in all impact measurement strategies provided by YMCA of the USA and submit data using measurement tools/systems provided by the deadlines established each program year. The local Y recognizes that all data submitted to YMCA of the USA may be used for program evaluation purposes and/or shared in aggregate with YMCA of the USA s partners. 3. The local Y shall comply with the following requirements specific to the program indicated in this section. The local Y shall: a. Draft and submit a Quality Improvement/Commitment Plan (and any requested revisions) as requested by and according to deadlines set by YMCA of the USA with the final report submitted at the end of the program year (subject to change) b. Submit program documents as requested by YMCA of the USA that may include, but are not limited to: lesson plans, curriculum, student work, handbooks, or other documentation utilized before, during and after program implementation; submitted documents may be used by YMCA of the USA for regional and national training purposes c. Submit a preliminary budget, due April 30 of each program year and a final budget (actual cost) 30 days after the last week of programming Resources and Technical Assistance 1. YMCA of the USA may provide the following to the local Y as a result of the Y s participation in the Achievement Gap initiative:

5 a. Designated Technical Advisor to provide support and coaching to the local Y program lead before, during and after the implementation of the program b. One or more program implementation and quality/technical support site visits during the program year. Site visits might be in-person and/or virtual. c. Full access to elearning courses, general resources and tools on the on-line community, including recorded webinars and program documents d. Full access to impact/measurement strategies, data collection and evaluation tools including, but not limited to the YMCA of the USA Program Data Management System (Y-PDM) e. Invitation to participate in support calls with YMCA of the USA Technical Advisors, Research and Evaluation staff and Program Managers f. Invitation to YMCA of the USA in-person trainings as needed/desired with the local Y covering associated travel expenses for local Y staff to attend g. Access to individual site and national evaluation data and reports h. Recognition as an official Achievement Gap program national partner, qualifying the local Y to be eligible for potential expansion grants, regional collaborations, funding collaborations, Achievement Gap Fellows engagement and connection to the national professional learning community i. Invitation to participate in program harvest feedback sessions and focus groups as scheduled by YMCA of the USA Media and Communications 1. The local Y agrees that any communications, print materials, reports, etc. will be submitted directly to YMCA of the USA and approved by YMCA of the USA prior to local distribution. 2. The local Y shall: a. Provide press clippings, photos, and feedback and success stories of the program to the designated YMCA of the USA Technical Advisor b. Participate in YMCA of the USA site visits, along with visits and inquiries from research and program partners 3. The local Y accepts that their organization has been selected to participate in scaling or expanding the Achievement Gap signature program at YMCA of the USA s discretion. The local Y shall not make any statement or otherwise imply to donors, media or other third parties that they are or were a direct grantee or contractor of the Margaret A. Cargill Philanthropies.

6 4. The local Y shall identify YMCA of the USA s Strategic Initiatives Fund as the source of the grant in any communication to its community. Applicant agreed to the following items:

7 PARTICIPATION AGREEMENT BETWEEN YMCA GRANT AWARD RECIPIENT AND THE NATIONAL COUNCIL OF YOUNG MEN S CHRISTIAN ASSOCIATIONS OF THE UNITED STATES OF AMERICA Introduction The National Council of Young Men s Christian Associations of the United States of America ( YMCA of the USA ) has obtained funds to support grant awards to local YMCAs. Subject to the availability of funds, YMCA of the USA will select Member YMCAs or a group of Member Associations ( Recipient ) for receipt of a 2017 Summer Learning Loss Prevention Program Year Three Grant Agreement (Scaling) (SIF) to be utilized for programs identified by YMCA of the USA or the applicable grantor. Each grant, in the amount of not less than ten thousand dollars ($10,000.00) shall be used in strict compliance with the criteria set forth in the 2017 Summer Learning Loss Prevention Program Year Three Grant Agreement (Scaling) (SIF) Pledge document. All successful Recipients agree to the terms and conditions of this Participation Agreement, and acknowledge that failure to strictly comply with its terms may disqualify Recipient from being eligible for future grants. Parties The Parties to this Participation Agreement are YMCA of the USA and ( Recipient ), their heirs, successors, and assigns. Award YMCA of the USA has awarded the Recipient a grant as described in the Introduction above. Recipient agrees to use this award only for the purposes set forth in the Application Criteria and the accepted Application, both of which are incorporated by reference. Compliance with Program Requirements Recipient agrees to comply with the Pledge agreed to in the Grant Application, which is incorporated in this Participation Agreement by reference. Recipient will cooperate as needed with YMCA of the USA in evaluating program objectives and accomplishments required by the grant program, and will provide orientation to any relevant staff and governance bodies concerning the goals and requirements of the program. Recipient will maintain accurate records of all deposits and withdrawals of grant funds from its bank account; interest earned on such funds; and all receipts and expenditures of such funds. Recipient will also maintain the necessary and accurate books, records, receipts, documents and other evidence that the funds were allocated and spent properly in accordance with the Application criteria. Reviews and Reporting; Cancellations and Refunds YMCA of the USA may visit, monitor, and/or conduct an audit of Recipient s records at any time. Recipient will file complete and accurate reports as requested by YMCA of the USA. If documentation, program and financial reports are not filed correctly or if Recipient is not performing program/project objectives, YMCA of the USA may require repayment of all or

8 part of the award amount. If YMCA of the USA should determine that further expenditure of funds would not produce beneficial results, Recipient will refund the balance of funds remaining and terminate Recipient s participation in the program. Recipient understands and agrees that YMCA of the USA has no obligation to provide funds other than those granted pursuant to the Application. If YMCA of the USA does not receive funds or such funds are cancelled, in whole or in part, YMCA of the USA may in turn cancel this Participation Agreement in whole or in part. Dispute Resolution Recipient agrees that any dispute between it and YMCA of the USA, and any interpretation of Recipient s performance of these terms and conditions, shall be resolved by the Chief Development Officer, YMCA of the USA, or the Chief Executive Officer, YMCA of the USA, in his/her sole discretion, and such decision shall be final and binding. Insurance and Indemnification Recipient represents that it is in compliance with Article II, Section 2 of the National Council of YMCA s Constitution. Recipient has provided proof of liability insurance with minimum comprehensive general liability coverage of at least $1 million per occurrence and $2 million in the aggregate, which coverage will extend to any alleged sexual molestation claims. Recipient will maintain such insurance coverage in effect and will add YMCA of the USA as an additional insured to its policy. Recipient agrees to indemnify and hold harmless YMCA of the USA with respect to any legal proceedings, including costs and attorney fees, which may arise from activities or programs covered by this Participation Agreement. Amendments and Interpretations; Choice of Law This is the entire Participation Agreement, and it cannot be amended without written consent of both Parties. All headings are descriptive only. Any dispute in a court of law shall be decided in accordance with the laws of the State of Illinois without regard to Illinois conflict of laws provisions. If any part of this Participation Agreement is held unenforceable, the remainder will nonetheless remain in full force and effect. For Federal Sub-Grants Only When the federal grant award is created, the federal government may allow certain entities applying for the grant to act as a Pass-through entity in order to provide the federal assistance to another recipient. The Pass-through entity is still considered a recipient, but the assistance assigned to it may be passed on or passed-through it to another recipient. The entity which receives the assistance from a pass-through entity is considered a sub-recipient. This is allowed because certain federal programs may not have the organizational structure to provide assistance directly to the final recipient and requires support from other entities.when a pass-through entity makes an award to a subrecipient, the subaward agreement must contain information that identifies the federal award, including: Catalog of Federal Domestic Assistance name and number; Award name and number; Award year;

9 Whether funds were awarded for research and development activities; and Name of the federal awarding agency. If any of this information is unavailable, the subaward agreement must provide the best information available to describe the federal award. The subaward agreement should describe the federal program requirements imposed on the subrecipient by program laws, regulations and the provisions of contracts or grant agreements, as well as any supplemental requirements imposed by the pass-through entity. Provisions of the Agreement In addition to the information described above, a subaward agreement should include the following information: the parties to the agreement, the amount of the federal funding awarded to the subrecipient, a description of the scope of work and any special conditions. It should address the duration of the award, how the parties can make amendments to the agreement and termination for cause or convenience. Pass-through entities that make many subawards should consider developing boilerplate agreements for each of the different federal grant programs that they administer. These agreements can be used for awarding funds to different subrecipients. As part of the boilerplate language, the agreements generally incorporate by reference the relevant federal laws and regulations, including program-specific laws, regulations and cross-cutting requirements, such as the Civil Rights Act of 1964, the Hatch Act or the Americans with Disabilities Act, with which subrecipients must comply. Pass-through entities should review the federal program statutes and regulations to ensure that they include all of the required cross-cutting and program-specific requirements in the agreement. For example, a pass-through entity that subawards Community Development Block Grant funds also might require its subrecipients to comply with the Davis-Bacon Act or the Uniform Relocation Assistance and Real Property Acquisition Policies Act of 1970 because they frequently buy land for and contract for the construction of Head Start facilities. Pass-through entities may also be required to comply with these statutes because they are specifically referenced in the program-authorizing statute. A pass-through entity that subawards funds under another program, such as the Job Training partnership Act, probably would not include references to these statutes because their subrecipients do not engage in construction activities or purchase real property. property.
