1 REQUEST FOR QUALIFICATIONS The Reno-Tahoe Airport Authority (RTAA) is seeking a qualified T-hangar Property Management Service Provider (Service Provider) with demonstrated property management service experience. The Service Provider will be responsible for managing RTAA-owned T-hangars located on the East and West sides of the Reno-Tahoe International Airport (RNO). The RTAA s current T-hangar Management Service Provider, Atlantic Aviation, is presently operating on a month-to-month contract. The intent of this Request for Qualifications (RFQ) is to open the T- hangar property management services contract to a public, competitive process in order to assess market opportunities. The RTAA and Atlantic Aviation have agreed to a 30-day transition plan, if necessary. The transition plan includes, but is not limited to: training on the leasing and marketing process, daily duties, reporting requirements, badging process, etc. (see current T-hangar Management Agreement). The Service Provider must be able to demonstrate expertise in hangar leasing, property management, marketing, and repair and maintenance. The Service Provider must also be able to obtain Authorized Signatory status for Airport Operations Area (AOA) Badging requirements. Criteria for Authorized Signatory status is detailed in Section 3. In addition to providing T-hangar Property Management Services as defined in Section 3, the Service Provider may also submit additional General Aviation (GA) Commercial Services targeting only T- hangar tenants. Limited Commercial Aeronautical Service Provider (L-CASP) or Single Commercial Aeronautical Service Provider (S-CASP) services are defined in the GA Commercial Minimum Standards (see attached). The RTAA will consider all offers for additional commercial services targeting T-hangar tenants. The cost of additional GA commercial services infrastructure improvements and/or equipment will be at the Service provider s expense. Revision of the GA Commercial Minimum Standards may be considered by the Board of Trustees, depending on the proposed additional GA Commercial Services. Page 1 of 26

3 Reno-Sparks Region SECTION 1 - INTRODUCTION & COMMUNITY OVERVIEW Located on the border of northern California, the Reno-Sparks region is centrally located on the West Coast, providing one-day truck distribution to the entire West Coast from Seattle to San Diego. The geographic position of Reno at the intersection of Interstate 80 and US-395 is helping to fuel e- fulfillment, logistics, and distribution growth. Nevada offers many advantages to companies based on its business-friendly laws and tax structure. Additionally, in 2012 Nevada was identified as the third best state in the nation for a friendly business tax climate according to The Tax Foundation, a nonpartisan research association. The local economy in the Reno, Sparks, and Lake Tahoe region has a significant impact on air service demand in this market. During the past year, local governments and businesses have taken proactive steps to improve the region s economic growth and invest in its long-term future. Additionally, the Region is home to the Reno-Stead Industrial Area, The Reno Technology Park and the Tahoe-Reno Industrial Center (TRIC), a massive 107,000 acre industrial park nine miles east of Reno-Sparks encompassing a developable 30,000 acre industrial complex. As evidence of Reno s strength in warehousing and distribution, Urban Outfitters, Inc. recently opened a new 462,000 square foot fulfillment warehouse-distribution center in Reno-Stead. Amazon has announced that it will be relocating its Northern Nevada warehouse-distribution facility from Fernley to a new 1 million-square-foot facility eleven miles north of Reno. Zulily, another e-commerce company, has broken ground on a new 707,000 square foot warehouse-distribution facility at TRIC. Recently, Tesla announced it has broken ground on a potential $5 Billion Lithium Battery Gigafactory at the TRIC. In addition Apple, Inc. completed construction on its first data center earlier this year and has begun construction on Phase 2 expansion. The data center houses its various online services, such as the itunes store, the App Store, and its icloud data storage and syncing services. Constructed on 350 acres at the Reno Technology Park located approximately eleven miles east of Sparks, the data center is expected to bring an additional $343 million of economic activity to the region. Recovery in the local Northern Nevada economy has taken place resulting in housing price stabilization. The unemployment rate in the Reno-Sparks area, which is one of the last indicators to improve during economic recovery, has dropped from its peak of 13.8% in December 2010 to an estimated 7.7% in July The increase in new industrial development, housing prices and job creation indicate the Reno-Sparks region has entered into full economic recovery. Reno-Tahoe Airport Authority The RTAA is a quasi-municipal corporation organized under Chapter 474, Statues of Nevada 1977, as amended, that began operation on July 1, The act creating the RTAA provides that it will serve a public use and will facilitate safe and convenient air travel and transport to and from the Reno-Tahoe area. The RTAA is an independent entity that is not part of any other unit of local government and does not use local property or sales tax revenue to fund its operation. Page 3 of 26

4 The nine-member Board of Trustees (Board) that governs the RTAA is appointed by the City of Reno, City of Sparks, Washoe County and the Reno-Sparks Convention & Visitors Authority. Four members are appointed by the City of Reno, two by the City of Sparks, two by Washoe County, and a ninth board member is appointed by the Reno-Sparks Convention & Visitors Authority. The Board members terms are staggered to ensure the presence of experienced members. The RTAA owns and operates both the RNO and Reno-Stead Airport (RTS). RNO is the 66 th busiest airport in the nation with 3.5 million passengers and 80,000 operations per year. RTS is a 5,000 acre general aviation facility that serves as a designated reliever airport for RNO. The RTAA operates and does its financial reporting on a Fiscal Year (FY) basis that begins on July 1 of each year and ends on June 30 in the following year. For example, FY 2015 represents the period of July 1, 2014 to June 30, The Authority has an A credit rating by Fitch Ratings (Fitch), a nationally recognized credit rating agency, with an outlook as stable. Reno-Tahoe Airport Authority Strategic Plan The RTAA Board of Trustees adopted the Airport s Comprehensive Five-Year Strategic Plan in The Strategic Plan was developed through a public process that involved the Airport Authority Board of Trustees, staff members, airport committee members, user groups, community business and tourism leaders, and the public. The plan identifies the Authority s priorities, goals and steps to achieve those goals for the next five years. The Strategic Plan is comprised of Five Strategic Priorities, including Strategic Priority #2: Optimize General Aviation Operations and Services. The RTAA Strategic Plan is available for downloading here: InterVISTAS General Aviation Opportunities Study In 2014, the RTAA contracted with InterVISTAS Consulting, LLC. to conduct GA market research with the focus on issues affecting GA and the identification of Service Provider opportunities. The research included surveying 200 GA-related tenants at both RNO and RTS. The survey had a 34% response rate. The full document can be downloaded here: The RNO responders to the survey were primarily business flyers (68%) and flew an average of 15.3 hours per month. The research revealed that 95% of surveyed GA tenants stated they would be interested in an Avgas self-service fuel option, and 67% stated they would use self-service fuel exclusively. A. Additional Fixed Base Operators and Fuel Options Additional Fixed Base Operators (FBOs) and/or fuel options are a stated desire at RNO by the GA responders to the survey, and thus the gap analysis identifies this as an opportunity. RNO has one FBO, Atlantic Aviation. The interviews and survey identified a desire by some tenants for an additional FBO and/or for additional fueling options, specifically a card lock selffueling facility for aviation gas (Avgas). 5 B. Other Aviation Services Businesses interviewed and tenants surveyed indicated a desire for additional maintenance and repair services for GA aircraft at RTAA airports. The types of desired new services include avionics, painting, and interior/upholstery. These services are important parts of maintenance and overhaul activities, and if a partial tax abatement program is passed by the Nevada State Legislature in 2015, demand for these services is expected to increase even more than the current survey results suggest. 6 SECTION 2 RENO-TAHOE INTERNATIONAL AIRPORT INFORMATION RNO is classified as category Class C Airspace by the Federal Aviation Administration (FAA), which requires pilots to maintain positive 2-way radio communication and be equipped with altitude encoding transponders within a 10nm (nautical miles) radius of the airport. RNO is a fully equipped Instrument Flight Rules (IFR) Airport, allowing aircraft to operate safely in marginal weather conditions. As a small hub airport, 40,000 air carrier/air taxi operations were conducted at RNO in FY , serving 3.43 million total passengers. Geographically, the airport covers 1,450 acres and lies 10 minutes east of downtown Reno. As of July 2014, 114 GA aircraft are based at RNO and during the 12-month period ending June 30, 2014 there were 25,145 GA Operations recorded. A total of 121,000 gallons of Avgas was sold in FY A. Airfield Information FAA staffs and operates a 24-hour Air Traffic Control Tower. Runway 16R/34L is 11,002 x 150 grooved concrete. Includes: Precision Approach Path Indicators (PAPI), Instrument Landing System (ILS) and VHF Omnidirectional Radio Range (VOR) Approach. Runway 16L/34R is 9,000 x 150 grooved concrete. Includes: PAPI, Runway End Identifier Lights (REIL s) and VOR Approach. Runway 7/25 (East-West) is 6,102 x 150 grooved concrete. Includes: PAPI and REIL s. 8 SECTION 3 T-HANGAR PROPERTY MANAGEMENT SCOPE OF WORK AND MINIMUM SERVICES REQUIREMENT RTAA is seeking a qualified T-hangar Property Management Service Provider (Service Provider) with demonstrated property management service experience. The Service Provider will be responsible for managing RTAA-owned T-hangars located on the East and West sides of RNO. T-Hangar Property Management Scope of Work The T-Hangar Property Management Services Plan (Services Plan) will consist of performing the required T-hangar Property Management Minimum Services listed below. Each responder to the RFQ (Responder) must submit a Services Plan that will be evaluated on three criteria: 1) qualifications to perform the required T-hangar property management minimum services; 2) scope of and qualifications to provide additional GA commercial services targeting T-hangar tenants, if any, and 3) business terms. The RTAA will consider all proposed business terms and options. Required T-Hangar Property Management Minimum Services A. Administrative duties to include: Market, advertise, and show hangars to prospective tenants (RTAA will continue to list available hangars on its website) Perform inspections and document hangar condition upon move in/out Execute lease agreements, collect deposits, evidence of insurance, aircraft record documents and any other certificates required by code or the lease Provide badging paperwork and assistance in the badging process Provide locks and keys for the hangars Terminate tenant access upon vacancy, retrieve badges and keys, reconcile accounts and refund deposits as necessary Perform minor repairs, coordinate with contractors for major repairs and maintenance issues, obtain estimates, and provide escorts as required Coordinate with service providers and the RTAA and provide access/escort (e.g. fire extinguisher inspection) Responsible for rent collection, default notices, evictions Provide income and expenditure reports with back up Point of contact for tenants regarding all tenancy issues Responsible for tenant relationships, communication and notices Available to tenants on call 24/7 for emergency repairs/issues B. T-Hangar repair/maintenance duties to include: Ensure facilities are clean and in general working order Ensure tenant compliance with leases, security and safety Make minor repairs ($100 or less) including but not limited to: Replacing hasps, door handles and other items not related to tenant-caused damage (this would apply if Responder submits a fee for service proposal) Page 8 of 26

9 Arrange for quotes for other repairs and seeking RTAA approval for repair estimates exceeding the $1,000 limit (this would apply if Responder submits a fee for service proposal) Maintain facility landscaping Sweep apron, T-hangar taxi lanes and parking lots as necessary Maintain restroom supplies and cleanliness Maintain office cleanliness and order Conduct snow removal as directed by Airport Operations C. Airport Operations Area (AOA) oversight The AOA consists of all restricted ground areas of the airport located inside the perimeter security fence including taxiways, runways, loading ramps, and parking areas. The AOA is usually divided into two distinct areas: 1.) the movement area and 2.) the non-movement area. AOA oversight duties include: Service Provider must be eligible to be designated as an Authorized Signatory (as defined below) Provide AOA escort services for inspectors, contractors and other non-badged service providers Assist tenants with badging processes Maintain accountability for issued AOA Badges Provide AOA oversight in accordance with 49 CFR Part 1542, Airport Security ( The Transportation Security Administration (TSA) requires that individuals authorized to sign for security access badges or IDs for their employees or tenants be designated as "Authorized Signatories." To become an Authorized Signatory an individual must: Be employed by a company sponsored by an RTAA department Be so designated on their company's Authorized Signatory Form Undergo and pass a fingerprint-based criminal history records check Undergo and pass a Department of Homeland Security (DHS) Security Threat Assessment Successfully complete RNO Security Identification Display Area (SIDA) Training (if signing for SIDA badges) Successfully complete an annual interactive training course called "Authorized Signatory Training." D. Additional GA commercial services targeting T-hangar tenants: Responders have an option to propose additional services targeting T-hangar tenants in their submittal, which may include, but are not limited to: Avgas Self-Service Fuel Island T-hangar Pull-in/Pull-out Services Aircraft Detail Shop Retail Pilot Shop Other related services as approved by the RTAA Page 9 of 26

10 Responders should note that any capital or tenant improvements are at the sole expense of the Service Provider and are not reimbursable by RTAA. Upon termination of the agreement between the RTAA and the Service Provider, all facilities and improvements shall revert to RTAA ownership. Page 10 of 26

13 SECTION 4 SUBMITTAL PROCESS & REQUIREMENTS This RFQ will be accomplished through a two-phase process. A. Phase 1 Request for Qualifications Response Requirements The Responder must submit a Services Plan containing the elements outlined in Section 4.B, with each element addressed as a separate section. Responders must include all material necessary to respond fully, with sufficient detail to allow ready comprehension. Failure to provide any of the information below may be cause for rejection of Responder s submittal. The RTAA will base its selection of the top Responders on the basis of their experience, overall Services Plan(s), and business terms submitted in response to this RFQ. The Responder shall examine all terms of this RFQ including, but not limited to, any Exhibit or Addendum and/or any other information provided by RTAA. All statistics, data, drawings and/or other information included in this RFQ or provided in connection therewith, are for informational purposes only. The RTAA is not liable for any inaccuracy or incompleteness regarding the information presented in this RFQ. The Respondent shall exercise reasonable business judgment in obtaining information needed to prepare a complete and viable response. RTAA may, at its discretion, disqualify any submittal that is not in compliance with these RFQ requirements. The RTAA will hold a Mandatory Pre-Submittal Meeting on September 8, 2014 at 2:00 pm Pacific Daylight Time (PDT) in RTAA Administrative Offices, Conference Room A/B, RNO Main Terminal, 2001 E Plumb Lane, Reno, Nevada Prospective Responders not in attendance at this Mandatory Pre-Submittal Meeting will not be considered. Prospective Responders may ask questions during the Pre-Submittal Meeting and reasonable efforts will be made to accurately memorialize any such questions/answers and document them in an Addendum to this RFQ. The RTAA will also provide the opportunity for Responders to submit questions not raised at the Pre-Submittal Meeting. All questions must be submitted via (kmoen@renoairport.com) by 5:00 p.m. PST on September 15, All questions will be posted on the RTAA website at the Airport Authority Competitive Solicitations BIDS/RFP s/rfqs T-Hangar Property Management Services. The Airport Economic Development Department shall issue all addenda to this RFQ in written form. Responders are solely responsible for checking the website for any addenda issued for this solicitation. At the conclusion of the Mandatory Pre-Submittal Meeting, attendees will be given the opportunity to tour the GA East Office, GA East/West Aprons and the T-hangar areas. Although the tour is not mandatory it is strongly encouraged so that Responders are familiar with the facilities they are seeking to manage on behalf of the RTAA. Responders are also encouraged to conduct their own independent market research and analysis. Responders should understand that RTAA is offering the GA East Office and the East & West T-hangars As-Is and cannot warrant or guarantee the condition of the facilities. The GA East Office may be part of the Responder s submittal and may serve as the primary business office for leasing, managing, and operating the RNO T-hangar Property Management Services business. If the selected Responder elects to lease the GA East Office as its primary business office, the Page 13 of 26

14 Responder may sub-let the GA Office under negotiated terms established in T-hangar Property Management Agreement. Any tenant improvements to the GA East Office will be made at the Service Provider s expense and are not reimbursable by the RTAA. The GA East Office underwent significant refurbishment over the last four years. During the tour, Responders are encouraged to conduct visual inspections of the GA facilities. Responders may, at their own expense, bring support with them to assist in their walk-through. Be advised this tour will not include inspection of individual T-hangars, and is primarily for the purpose of familiarization with and serviceability of the facilities. The walk-through of the GA East Office is for the purpose of familiarization and is not intended to be a thorough building inspection. The tour will include, but is not limited to the following areas: GA East T-Hangars GA West T-Hangars GA West Restrooms GA East Office/Restrooms Aircraft Aprons B. Services Plan Qualifications Format The Responder s submittal should contain separate element sections as outlined previously in this RFQ. The submittal should include all information requested in this RFQ presented in a clear and concise manner and in the order requested below. Responders should include any material necessary to fully respond to the elements of this RFQ. Each submittal must include the following elements: 1. A Response Letter signed by an authorized agent of the Responder. The Response Letter should include a brief summary (two-page maximum) of the RFQ response including Responder qualifications, qualified personnel, marketing abilities, financial capabilities, and business plan for the T-hangar property management business. The Response Letter should also include legal name, mailing address, principal place of business and telephone number of an authorized contact person. 2. Narrative of the Responder, including: (a.) A brief history of the business and/or Team. (b.) Organizational structure of business and/or Team; key officers or other personnel as appropriate. (c.) Disclose if any officer, director, shareholder, manager, member, partner, joint venture or person having a controlling interest in the Responder and/or Team is currently a tenant at Reno-Tahoe International Airport or Reno-Stead Airport or otherwise has any interest in or at either airport. (d.) Designation of the legal entity by which the business operates (i.e. sole proprietorship, partnership, limited liability partnership, corporation, etc.). (e.) As applicable, attach a copy of any Nevada Fictitious Name Certificate for any trade, doing business as or dba or brand name. Page 14 of 26

15 (f.) Active business venues outside of the Reno/Sparks area. (g.) Present strength of current business and outlook. 3. Qualifications in the areas below with supporting documentation as appropriate: (a.) Organizational experience in managing, operating and marketing airport T-hangars with particular attention to a Part 139 airport environment. (b.) Organizational experience providing any proposed additional GA commercial services targeting T-hangar tenants. (c.) Names, titles and resumes of key personnel, managerial staff and on-site supervisory personnel who would be dedicated to the business including such personnel of any parent, sibling, subsidiary or other affiliate of the Responder, and of any proposed sub-lessee, partner, joint venture and/or affiliated entity, consistent with the terms of this Section regarding the Responder s duty to communicate RFQ terms with related persons and entities. (d.) Provide business references for which the Responder has professionally provided goods or services to in the preceding three (3) years. References must have firsthand experience as a customer or supplier of the Responder and be able to discuss the Responder's capabilities in managing, marketing and operating their own enterprise. References should include any background as it relates to the Responder's experience with general aviation and Part 139 experience in particular. References should include contact names, addresses (including ), and telephone numbers. (e.) Describe if and how the Responder intends to afford Disadvantaged Business Enterprises, as defined in 49 CFR Part 26, the opportunity to participate in providing services to the RTAA. 4. Financial Information with supporting documentation as appropriate: (a.) Financial statements and/or any other documentation appropriate to evaluate the Responder s present, actual financial capacity to provide proposed T-hangar property management services. Private Responders that do not issue public financial statements may submit alternative documentation and references. References provided must be able to verify the Responder s financial standing and be authorized to release financial information upon request. (b.) A current business credit report for each party owning or having a financial interest in the Responder and a current credit report on the Responder. (c.) Other financial documents demonstrating financial capacity. Page 15 of 26

16 5. Information regarding the T-hangar Property Management Services Plan should include: (a.) A detailed explanation of the Responder s plan for leasing, and managing GA T- hangars at RNO. Detail previous experience as it relates to a Part 139 airport environment and/or GA airport environment. Detail experience in any project that was specific to airport T-hangars, Box Hangars, or enhanced use leases. (b.) A detailed explanation of the Responder s plan for performing T-hangar inspections, routine maintenance and janitorial service, landscaping, snow removal, repairs, execution of lease agreements, collection of insurance certificates, aircraft record documents, and other certificates required by code or the lease, income and expenditure reports, rent collection, default notices, evictions, etc. (c.) A detailed explanation of the Responder s plan for providing additional GA commercial services to T-hangar tenants with particular attention to the Part 139 airport environment. Detail recent experience specific to the proposed additional GA commercial services targeting T-hangar tenants. The Responder must demonstrate the ability to integrate proposed additional GA commercial services targeting T-hangar tenants into a comprehensive Services Plan that creates airport synergies. 6. Information regarding Marketing should include a detailed explanation of the Responder s plan for marketing RNO T-hangars and any proposed additional GA commercial services targeting T-hangar tenants. 7. Information regarding Tenant Relationships should: (a.) Identify how positive relationships with all involved parties (including Atlantic Aviation, the RTAA, T-hangar tenants and the GA community) would be maintained through the duration of the agreement. (b.) Explain previous aviation-community relationships and experiences. Include relationships with airport operators, fixed-base operators, T-hangar tenants and the GA community at large. 8. Services Plan Business Terms should include a detailed explanation of the required business terms to provide the services outlined in Section 3. The Responder may propose an alternate business model. The RTAA will consider business terms that will enable the Responder to grow the enterprise. These terms include, but are not limited to fee for service, minimum annual guarantee, the purchase of the T-hangar facilities and land lease, revenue sharing, cost-plus scenario, base plus bonus structure, etc. The RTAA may, at its discretion, request additional documentation and/or ask questions about the Responder s financial capability and/or conduct its own research of the Responder s financial condition and capability. Responders should clearly identify any financial information they wish to remain confidential. In the event they are not selected to proceed to Phase 2, information identified as confidential will be returned to them following the final award date. All other information will be deemed public and subject to the Public Records Act. Page 16 of 26

17 An RFQ Selection Committee will be established to review and rank each Responder s Phase 1 submittal of a Service Plan via a pre-determined scoring system. At the sole discretion of the RFQ Selection Committee, a shortlist of Responders will be chosen as the most qualified. This shortlist of Responders will be invited to move to Phase 2. C. Phase 2 Presentations and Service Provider Selection Responders invited to proceed to Phase 2 will be required to make an oral presentation to the RFQ Selection Committee. This presentation will be made on an RTAA assigned date between October 14-16, Presentations will be made in Conference Room A/B, RNO Main Terminal, 2001 E. Plumb Lane, Reno, Nevada The oral presentation should not exceed 15 minutes. Following the presentation the Responder should be prepared to answer questions from the RFQ Selection Committee. The Responder should explain the strategy, qualifications and financial viability of the Services Plan and explain how its approach can be integrated into a comprehensive submittal that will benefit the RTAA and the RNO GA Community. The Responder shall explain its business terms for performing the T-hangar property management services for the RTAA. The Services Plan may also include additional GA commercial services targeting T-hangar tenants. As in Phase 1, the RFQ Selection Committee will review the final Services Plan, supporting qualifications, financial viability and business terms. The RFQ Selection Committee may enter into negotiations with the Responder(s) and may forward a recommendation to the RTAA Board of Trustees Finance and Business Development Committee for consideration. The RFQ Selection Committee reserves the right to recommend none, one or more than one Responder to the RTAA Finance and Business Development Committee for consideration. The Finance and Business Development Committee will make a recommendation to the RTAA Board of Trustees. If the RTAA Board of Trustees approves one of the recommended Responders, their Services Plan, and supporting business terms, RTAA will finalize contract negotiations in accordance with Section 7. The RTAA may revise GA Commercial Minimum Standards to accommodate new GA commercial services targeting T-hangar tenants. Page 17 of 26

19 SECTION 5 REQUEST FOR QUALIFICATIONS SUBMISSION INSTRUCTIONS A. Deadline for Submission Phase 1 The RFQ submittal and qualifications are due by 2:00 p.m., Pacific Daylight Time (PDT), September 29, Ten (10) hard copies (one original and nine (9) photocopies) plus one (1) electronic copy on CD-ROM shall be enclosed in a sealed envelope addressed to: Reno-Tahoe Airport Authority Mr. Kenneth G. Moen Airport Economic Development P.O. Box E. Plumb Lane Reno, Nevada Responders may deliver the package to Mr. Kenneth G. Moen at the RTAA Administrative offices in person. The sealed package should be labeled with the Responder s name and address, T-hangar Property Management Services Request for Qualifications and the opening date. Original copy shall be marked Original. Electronic, telegraphic or facsimile offers and modifications will not be considered without express prior written authorization. Any submission received after the time and date specified above will be rejected and returned to the sender unopened. Sealed hard copy responses shall be publically opened in the RTAA Administrative Offices at 2:30 pm PDT, September 29, Only the names of Responders submitting responses shall be read at this time. The RTAA reserves the right to reject any or all responses or parts thereof, and to waive any informalities or irregularities. Response information shall be kept confidential pending subsequent evaluation and negotiation. Response contents not identified by the Responder as confidential will only be released once a Board agenda has been posted for selection consideration by the RTAA Board of Trustees. The RTAA reserves the right to negotiate any terms and conditions of responses received prior to acceptance/rejection of said response or contract resulting from response. The RTAA assumes no responsibility for errant delivery of responses, including those relegated to a courier agent who fails to deliver in accordance with the time and receiving point specified. The RTAA shall not be responsible for the opening of a response prior to the submission deadline that is not properly addressed or identified. All responses shall be submitted in a form and manner as indicated in this RFQ document and by the response forms. Any response that is not submitted in a form and manner indicated by the RFQ document and response forms or that contain information, statements, conditions, or qualifications that place conditions or qualifications on the response submittal for purposes of making an award, or that alter any response terms, conditions, specifications, or forms that had not previously been approved by written addendum issued, or that does not meet legal Page 19 of 26

20 requirements, shall be declared a non-responsive response and may be rejected without further consideration. Any response that does not fully respond to and comply with all of the detailed terms, conditions, specifications or any requests for information, including the execution of the response forms, may be declared non-responsive by the RTAA and rejected without further consideration. The RTAA shall not be responsible for errors or omissions of the Responder. B. Request for Qualifications Document and Addenda Copies of the Request for Qualifications document and all addenda issued thereto may be obtained from the Reno-Tahoe Airport Authority Administrative Offices, 2001 East Plumb Lane, Reno, Nevada or downloaded directly from the Reno-Tahoe International Airport s website at the Airport Authority Competitive Solicitations BIDS/RFP s/rfqs T-Hangar Property Management Services. The Airport Economic Development Department shall issue all addenda to this Request for Qualifications in written form. Responders are solely responsible for checking the website for any addenda issued for this solicitation. C. Withdrawal of Response A response may be withdrawn by written or notice provided such notice is received prior to the date and time set for the response opening. D. Responder Expenses Prospective Responders are solely responsible for their own expenses in preparing any response. E. Validity Period Responses to this Request for Qualifications solicitation are required to be valid through December 31, F. Questions/Clarifications Questions (if any) regarding the Request for Qualifications shall be directed via in writing no later than 5:00 p.m. September 15, 2014 to Kenneth G. Moen, Airport Economic Development, Reno-Tahoe Airport Authority, kmoen@renoairport.com. Communications from prospective Responders, such as in person, by telephone, voic , electronic mail, facsimile or other similar means, to any Trustee, officer, agent or employee of the RTAA, other than Kenneth Moen of the RTAA Airport Economic Development Department, are prohibited. Except for inquiries directed through Kenneth Moen, of the RTAA Airport Economic Development, the RTAA, through its Trustees, officers, agents and employees, will neither meet nor otherwise communicate individually with prospective Responders. The RTAA may, at its sole discretion, disqualify any Responder who fails to observe this requirement. If any questions or responses require revision to this solicitation as originally published, such revisions will be by formal addendum only. Page 20 of 26

21 SECTION 6 QUALIFICATIONS SUBMITTAL EVALUATION CRITERIA The RFQ Selection Committee will evaluate all submittals for compliance with minimum qualification requirements. Submittals not meeting all such criteria will be disqualified from further consideration and Responders will be so notified in writing. All submittals passing the minimum criteria during Phase 1 will be evaluated by the RFQ Selection Committee on the basis of all factors set forth in this RFQ. Responders invited to proceed to Phase 2 will be required to make an oral presentation to the RFQ Selection Committee. Following qualifications submittal, oral presentation, and evaluation by the RFQ Selection Committee, the RFQ Selection Committee will recommend a preferred Responder(s) to the RTAA Finance and Business Development Committee. Upon approval of the Finance and Business Development Committee, the recommended Responder(s) will be presented to the RTAA Board of Trustees for selection, final approval, and final contract negotiations. Notwithstanding anything in this RFQ to the contrary, the RTAA reserves the right to select one, more than one, or none of the Responders to recommend to the Board of Trustees for consideration. In the event the RFQ Selection Committee selects none of the Responders, the RTAA may continue to utilize Atlantic Aviation to provide T-Hangar Property Management Services on a month-to-month basis until such time as the RTAA proposes other action. 22 A. Legal Requirements SECTION 7 MISCELLANEOUS TERMS AND CONDITIONS Responders are responsible for complying with all legal requirements as set forth. B. Indemnification Agreement The successful Responder or new Service Provider, shall defend, indemnify, and hold harmless the RTAA, its Trustees, officers, agents, and employees from and against any and all liabilities, damages, losses, claims, actions, or proceedings including, without limitation, reasonable attorneys fees that are caused by the negligence, errors, omissions, recklessness or intentional misconduct of the Service Provider, or the employees or agents of the Service Provider, in the performance of this contract. The RTAA shall give the Service Provider reasonable notice of any such claims or actions. The Service Provider, shall also use counsel acceptable to the RTAA in carrying out its obligations. Indemnity requirements shall survive the expiration or early termination of this agreement. Acceptance of the successful Responder s, or new Service Provider s, services by the RTAA shall not operate as a waiver of any RTAA rights. The Indemnity provisions set forth herein shall survive the expiration or early termination of any Agreement. C. Non-Collusion Responders, by submitting a signed response, certify that the accompanying response is not the result of, or affected by, any act of collusion with any other person or company engaged in the same line of business or commerce or any other fraudulent act. D. Ownership of Responses Except as provided in Section 4.B, all responses to this RFQ solicitation shall become the property of the RTAA. E. Contract Negotiations The RFQ Selection Committee may enter into contract negotiations with any of the Responders after Phase 1 is complete. After recommendation and approval of a selected Responder(s) and key business terms by the RTAA Board of Trustees, final contract negotiations will occur. If at any time contract negotiation activities and terms are judged to be ineffective or materially changed from those approved by the Board of Trustees, the RTAA may, at its discretion, return to the Board of Trustees for additional guidance. F. Security The successful Responder, or new Service Provider, must agree to maintain security standards consistent with the security policy of the RTAA. The Service Provider shall be required to ensure that all personnel that require access to RTAA information or facilities meet the criteria for personnel security clearance prescribed by the RTAA. Treatment of Assets Title to all property furnished by the RTAA shall remain in the name of the RTAA and the RTAA shall become the owner of the work product and other documents prepared by the successful Responder pursuant to any agreement unless otherwise expressly provided therein. H. Status of Successful Responder Successful Responder, or new Service Provider, shall have the status of an Independent Contractor as defined by NRS and shall not be entitled to any of the rights, privileges, benefits, and emoluments of either an officer or employee of the RTAA. I. Right to Award Notwithstanding anything in this RFQ to the contrary, the RTAA reserves the right to select more than one Responder to recommend to the Board of Trustees for consideration. J.
