CONTEST PERIOD The contest Let s eat is organized by National Bank of Canada (the "Contest Organizer") and will be held in Quebec from August 22 to November 10, 2014 (the "Contest Period"). 2. ELIGIBILITY This contest is open to all residents of Quebec who, at the time they enter this contest, have reached the age of majority. This contest is not open to employees, agents, mandataries or representatives of the Contest Organizer or MasterCard Canada, their subsidiaries, advertising and promotion agencies, partners, participating merchants, suppliers of prizes, materials and services related to this contest, or any other person directly linked to this contest, members of their family, their legal or common-law spouse, or any person residing with such employees, agents, mandataries and representatives. 3. HOW TO ENTER There are two (2) ways to enter: 3.1. Apply for the National Bank World MasterCard TM card To enter, you must do the following during the Contest Period: i. Visit the contest website at nbc.ca/promo/tastemtl. ii. Complete and submit the MasterCard application no later than November 10, 2014, at 11:59:59 p.m. (ET). Subject to your compliance with these contest rules, credit approval by the Contest Organizer, and card issuance and activation no later than December 31, 2014, the Contest Organizer will use the personal information you provided in the application (first and last name, age, mailing address [including postal code] and telephone number [including area code]) and store it in the database used for the contest. You will obtain one (1) entry in the contest No application required You may enter the contest without applying for a World MasterCard card by mailing an original, legible, handwritten letter to the Contest Organizer stating in at least 50 words why you would like to win. Your write-in entry must also include your first and last name, address (including postal code), telephone number (including area code), age and address. Then mail in your postmarked entry to: Contest Let s eat (write-in entry), 1

2 Marketing Experience, National Bank, 600, De La Gauchetière West, 10th Floor, Transit , Montreal, Quebec, H3B 4L2, no later than November 10, 2014, or your entry will be void. Upon receipt of your letter, including all required information, and subject to your complying with these contest rules, the Contest Organizer will use your personal information (first and last name, age, complete mailing address and telephone number) to enter you in its database for the purposes of this contest. You will obtain one (1) entry in the contest. Write-in entries are subject to the same eligibility criteria applicable to other entries. 4. CONTEST PARTICIPATION LIMITS There is a limit of one (1) entry per person during the Contest Period, regardless of the manner of participation. 5. PRIZES There are five (5) prizes available to be won during the contest: one (1) gift certificate for Montreal restaurant Les 400 Coups, a value of two hundred one (1) gift certificate for Montreal restaurant Laloux, a value of two hundred one (1) gift certificate for Montreal restaurant Chez L Épicier, a value of two hundred one (1) gift certificate for Montreal restaurant Pastaga, a value of two hundred one (1) gift certificate for Montreal restaurant Helena, a value of two hundred 6. DRAW On January 15, 2015, at 3:00 p.m., at the offices of the Contest Organizer located in Montreal (Quebec), there will be a random draw of five (5) eligible entries from all the entries registered and received pursuant to the contest rules for the purpose of awarding five (5) prizes. The first person whose entry is drawn will be awarded a gift certificate redeemable at Les 400 Coups; the second person whose entry is drawn will be awarded a gift certificate redeemable at Laloux, the third person whose entry is drawn will be awarded a gift certificate redeemable at Chez L Épicier, the fourth person whose entry is drawn 2

3 will be awarded a gift certificate redeemable at Pastaga and the fifth person whose entry is drawn will be awarded a gift certificate redeemable at Helena. 7. CHANCES OF WINNING The chances that an entry will be selected at random for the prizes depend on the number of entries registered and received in accordance with these rules. GENERAL TERMS AND CONDITIONS 8. To be declared a winner, each selected participant must: a) be able to be contacted by telephone by the Contest Organizer within ten (10) days of the random draw; b) correctly answer, without assistance and within a limited time, a mathematical skill-testing question asked by the Contest Organizer over the telephone at a time agreed upon in advance; c) complete and sign a Declaration and Liability Waiver Form (the "Waiver"), which will be sent to him/her by the Contest Organizer, and return it to the Contest Organizer within ten (10) days of its receipt. 9. If a participant whose entry is selected fails to meet one of the above conditions or any other condition provided for in these rules, he/she will be disqualified and, time permitting, a new random draw may be held in accordance with these rules until such time as a participant is selected and declared a winner. Prizes not awarded will be cancelled. 10. Within five (5) days of receiving the duly completed and signed Waiver, the Contest Organizer will send a letter to the winners informing them of the procedure for claiming their prize. 11. Application forms, write-in entries and Waivers are subject to verification by the Contest Organizer. Any application form, write-in entry or Waiver that is incomplete, fraudulent or late, does not allow the Contest Organizer to identify the participant, or is otherwise not in compliance with the contest rules will be rejected, in which case it will not qualify, depending on the case, as an entry or for a prize. 12. All decisions by the Contest Organizer or its representatives regarding this contest are without appeal, subject to any decision by the Régie des alcools, des courses et des jeux du Québec, on any matter over which it has jurisdiction. 13. The Contest Organizer reserves the right to disqualify any person or cancel one or more entries of any individuals who attempt to participate in this contest in a manner that is contrary to these contest rules or that is unfair to the other 3

4 participants (e.g., submitting more entries than the permitted number). Such individuals may be referred to the competent judicial authorities. 14. All prizes must be accepted as described in these rules and may not be transferred to another person, substituted for another prize or exchanged in whole or in part for cash, subject to the following section. 15. In the event that, for reasons not related to the winner, the Contest Organizer is unable to award a prize as described in these contest rules, the Contest Organizer reserves the right to award another prize of a similar nature and of equal value or, at its sole discretion, the cash value of the prize indicated in these contest rules. 16. Selected participants release the Contest Organizer, its advertising and promotion agencies, and their employees, agents, mandataries and representatives from any and all liability for any damage they may incur as a result of the acceptance or use of their prize. In order to be declared a winner and prior to receiving their prize, the selected participants undertake to sign a Waiver to that effect. 17. Selected participants acknowledge that, upon receipt of the letter confirming their prize, the performance of the services included with the prize will become the sole and complete responsibility of the service providers and participating merchants. To be declared a winner and prior to taking possession of the prize, all selected participants undertake to sign a declaration to that effect contained in the Waiver. 18. Subject to the approval of the Régie des alcools, des courses et des jeux du Québec, the Contest Organizer reserves the right at all times, at its sole discretion, to cancel, terminate, modify or suspend this contest, in whole or in part, if any event or human intervention occurs that could corrupt or affect the administration, security, impartiality or conduct of the contest as provided for in these rules. Under no circumstances may the Contest Organizer, its subsidiaries, advertising and promotion agencies, participating merchants, suppliers of materials, prizes and services related to this contest, or their employees, agents and representatives be required to award more than one prize or award the prize otherwise than in accordance with these rules. 19. By entering this contest, winners authorize the Contest Organizer and its representatives to use, if required, their name, photograph, likeness, statements about the prize, place of residence and/or voice for advertising purposes, without any compensation of any kind. 20. By participating or attempting to participate in this contest, all individuals agree to release the Contest Organizer, its subsidiaries and advertising and promotion agencies, as well as their employees, agents, mandataries and representatives from any and all liability for any damage they may incur due to their participation or attempted participation in this contest. 4

5 21. Application forms, write-in entries and Waivers are the property of the Contest Organizer and will under no circumstances be returned to participants. 22. Except for participants selected to receive a prize, there will be no communication or correspondence with participants. 23. Any dispute regarding the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux du Québec for a ruling. Any dispute respecting the awarding of a prize may be submitted to the Régie solely for the purpose of helping the parties reach a settlement. 24. By entering this contest, participants authorize the Contest Organizer to use the personal information appearing in their application form or write-in entry, as applicable, for the purpose of entering the contest and awarding the prize, if applicable. 25. For the purposes of these rules, a participant is a person whose name appears on the application form or write-in entry, as applicable. The prize will be remitted to that person, if he/she is selected and declared a winner. 26. Should any clause of these rules be declared or ruled illegal, unenforceable or invalid by a court of competent jurisdiction, said clause will be considered invalid. However, all other clauses that are not affected will be applied within the limits permitted by law. 27.
