1 Attachments to Form 1023 Application for Recognition of Exemption DrupalCon, Inc., EIN Part IV, Narrative Description of Your Activities: The Corporation's primary purpose is to organize and operate educational events regarding Drupal. Drupal is an extremely popular, free and open source content management system that powers websites for everyone. It is used by thousands of individuals and organizations around the world. Drupal is available to the world under a free, general public license. The Corporation formed in October of 2008 to plan for and organize "DrupalCon in DC," which is a conference that attracted Drupal open source developers and users from around the world, to bring them together to share knowledge about what they can do with Drupal and to make decisions on the future of Drupal. The conference was held on March 4-7, 2009, in Washington, DC, and was planned and staffed primarily by volunteers. A summary of the DrupalCon in DC conference with videos of the presentations may be seen at which also summarizes some of the logistics of that event. The Corporation also awarded 15 scholarships to talented Drupal developers and active Drupal community members in order for them to have the financial ability to attend the conference. Scholarship recipients were individuals who volunteer in the Drupal community by maintaining modules, patching core, organizing Drupal meetups, helping with documentation and IRC support, and running usability tests. Some of the recipients are using Drupal at nonprofits to improve worldwide health care and create better and less bureaucratic systems within their organizations. Many of the scholarship recipients were students at colleges like Syracuse University, University of Baltimore, University of British Columbia, and University of Nebraska, as well as some middle school and high school students. In the future, the Corporation will continue to organize and plan Drupal educational conferences in various cities. In April 2010, the DrupalCon conference is planned to take place in San Francisco. More can be read about the planning of that conference at Again, the primary purpose of these conferences is to bring together developers and users of Drupal, a free content management system, to educate them about the myriad of uses of Drupal. 2 Part V, 1b and 3a: At this time, the Corporation has no employees. If funding becomes available, the Corporation may hire staff members. For all hiring, the Corporation will strive to pay reasonable compensation. Part V, 5: See "Conflict of Interest Policy" attached separately. Part VI, 1a and 1b: See answer to Part IV, Page 2 (Narrative Description of Activities). The Corporation provides education services to any organization or individual willing (and able to acquire a ticket, which are sometimes limited by necessity depending on venue size) to participate in its educational conferences. Part VIII, 2b: At this time, the Corporation does not intend to attempt to influence legislation. If it does in the future, it anticipates filing an election on Form Part VIII, 4a and d: The Corporation will accept donations on its website. In addition, the Corporation anticipates that it will sell a nominal amount of items with a DrupalCon logo, such as shirts, caps and mugs, at its conferences and on its website. It will have no formal fundraising campaign. Part VIII, 7b and 7c: For its DC conference, the Corporation hired a professional, independent event management company to assist with the planning and logistics of the conference. The professional event management company has and had no family or business relationship with the Corporation's officers, directors or trustees. Part VIII, 10: The Corporation will share a copyright of the speeches it videotapes at its conferences with the speaker(s). The copyrights will be ones that allows open usage and free transferability of the content while protecting the rights of the speaker and the Corporation. Historically, the Corporation has made those speeches immediately and publicly available for free on the internet, and intends to generally do so in the future as long as the speakers permit such use. See, e.g., Licenses such as Creative Commons will be used. The "Drupal" trademark is privately-owned by Dries Buytaert, a director of the Corporation, who will license it for free to the Corporation. Part VIII, 11: The Corporation would consider accepting any donations, on an unsolicited basis, to the extent permissible by law. 2

3 Part VIII, 12b-12d: The Corporation would consider hosting educational conferences in other countries in the future, though none have been planned at this time. The Corporation anticipates that such conferences would be in the same style and for the Corporation's exempt purposes, as described in Part IV, Narrative Description of Activities. Part VIII, 13 and 14: The Corporation would consider making grants to the Drupal Association, which is a nonprofit based in Belgium that has the same educational mission as the Corporation, but which bases its operations primarily in Europe but does not earmark funds for a specific country. The Corporation has some of the same directors as Drupal Association. The Corporation would also consider making grants to small, local organizations in the US or abroad that are providing Drupal-related educational activities in keeping with the Corporation's educational mission, though the Corporation would always receive funds for its own purposes to be distributed in its discretion. The Corporation has no specific grants or distributions contemplated at this time, and, accordingly, has no specific written contracts in place. The Corporation anticipates making pre-grant inquiries regarding such organizations and keeping appropriate records of any such distributions, including generally requiring grant proposals specifying the responsibilities of both the Corporation and the grantee, that would obligate the grantee to use the granted funds only for specific purposes and requiring periodic and/or final reports as to how the grant funds were used. These grant proposals would also specify the Corporation's authority to withhold and/or recover grant funds in case such funds are or appear to be misused. To the extent the Corporation does make distributions to other organizations, whether in the US or foreign, the Corporation anticipates putting appropriate procedures in place to ensure that any funds it distributes are expended in accordance with the Corporation's exempt purpose. Part VIII, 15: The Corporation shares some of the same board members as Drupal Association, which is a nonprofit organization based in Belgium. Neither organization controls the other. Part IX. 5 Part IX, Line 19: Since the 2008 year end, the Corporation raised approximately $545,150, as described in Part IX, line 10, through the conduct of an education conference, and expended $372,069 as described in Part IX, line 24, leaving it with approximately $170,000. The Corporation has incurred $70,000 of accounts payable with respect to organizing its 2010 conference in San Francisco (related to rental of the San Francisco Moscone Conference Center, and retention of a professional event management firm) and legal fees related to its Form Schedule H, Section 1: 1. and 5. The Corporation granted educational grants to 25 individuals in 2009 to attend its DC conference, which had a total of 1,422 attendees. These were awarded as straight grants, not as loans. The program was publicized on the DrupalCon DC website, and a copy of the application is attached. All scholars received free entrance to the conference, and some received assistance with hotel or travel expenses to attend the conference. Individual awards ranged from $250 to $1, Anyone was eligible to apply, though preference was given to those who were determined to be most likely to benefit from the conference and who would benefit the community. Preference was given to students. 4. The individuals were asked the questions at basically asking how they use Drupal, why they wanted to attend the conference, what they needed (admission, a place to stay during the conference, travel assistance, etc.), and whether they would be willing to volunteer during the conference (not a requirement for a scholarship grant). The Corporation will determine the number of grants that will be made annually based on availability of funds for this purpose, taking into consideration the other needs of the organization. It is not anticipated that the organization will expend a significant portion of its total budget on scholarships. The Corporation did not impose any specific requirements or conditions on recipients of grants. 6. The selection committee for the grants will be selected by the directors of the Corporation, based on individuals knowledgeable about the exempt purposes of the Corporation. For the first year, the selection committee was composed of Robert Douglass and Karoly Negyesi, individuals who were selected by the conference organizers based on their good and longtime standing in the Drupal-user community. 7.
