EuroVelo fees), Reimbursement travel costs, Reimbursement other expenses, Subcontracting, Membership fees Cities for Cyclists, Bank interests & Miscellaneous (**) Personnel costs include Presidency fee (84k) Regarding an analysis of main factors for differences: Donations: There was a slight reduction vs expected income because one significant company withdrew its donation ( 10k) but the bulk of the difference is caused by transferring co-funding for projects to 2017 because the projects were running behind timetable. Personnel & Industry Project: 48k less for personnel. Mainly due to no Project office infrastructure & no Industry policy manager, who was replaced by consultant, means 30k more direct costs. Office costs: 48k less. We did not rent extra office space and had no extra costs for update of bookkeeping system (was done at no extra cost). Velo-city: We had 15k less travel and subsistence expenses than previous years and budgeted for 2017, as Velo-city 2016 Taipei happened at the beginning of the year. The AGM may take the report and the presentation into account at topic 9 (Exoneration of the ECF Board). TOPIC No. 9: Exoneration of the ECF Board Draft resolution: By the ECF rules the assembly of the AGM exonerates the ECF Board by ballots voting. Page 7/23

8 ECF IN 2017/2018 AND BEYOND TOPIC No.10: Future of the World Cycling Alliance (WCA) Draft Resolution: The AGM supports the following principles for the future of the World Cycling Alliance (WCA) and asks ECF s board to convey this message to the Steering Board of the WCA: 1. The long term vision that the WCA is a Federation of International Federations. 2. The legal entity WCA should be an international federation or association (so called AISBL) under Belgium Law, registered in Belgium, based on the idea of a global federation or association of non-profit NGOs and CSOs with a clear unified interest in promoting cycling. 3. The voting rights in the general meeting should be based on the principle that all the 7 regions should appoint 3 delegates that have 1 vote. 4. The 7 regions are: North- America, South-America, Europe, Africa, South-Asia, East Asia and Australasia. 5. The WCA is open for non-profit NGOs and CSOs, taking in account: a. in a region where there is already an international federation or association in place the international federation (in Europe: ECF) is a member of WCA and the membership of national, regional or local members in that region will go via the international federation (in Europe: ECF) b. in a region where there is not yet an international federation or association in place NGOs and CSOs that strive to build a national or continental federation or that commit to collaborate with other sub-national, national and international federations working on cycling 6. WCA does not make a difference in full and associated members (as ECF in the ECF statutes does). 7. ECF s Board appoints the ECF delegates to the WCA general meetings that will carry the voting rights. Explanation: The principles developed by the WCA Steering Board in a meeting in Washington DC in January 2017 were discussed by the ECF board in February The ECF Board does not have objections against the main directions for founding the legal entity WCA (AISBL on Belgian Law) but stresses that the ECF AGM meeting on 11 June 2017 in Arnhem-Nijmegen is the highest decision making body. The board will ask the Steering Board of the WCA for attention to the exact definitions of the borders of the 7 regions. Page 8/23

The ECF Board has reviewed the candidates and in each case believes the organisations have met all conditions for entry. To accept each organisation in to membership requires a simple majority of votes cast at the Annual General Meeting. 10 TOPIC No. 13: Governance of ECF Draft resolution: 1. To adopt the Guide for ECF Board Elections (see below) for the nomination of candidates for ECF board membership. 2. To note that the Guide for ECF Board Elections is a guide to be taken into account by the Nomination Committee for their recruitment of candidates, but that the guide is not binding for the recommendations of the Nomination Committee to the AGM and is not binding for the elections. 3. To ask the ECF Board to appoint from their midst a member of the Nomination Committee for the elections at the AGM 2018 and to appoint as AGM by secret ballot two members of the Nomination Committee. Explanation: Guide for ECF Board Elections Article 20.1 of ECF s Statutes comprises: The ECF shall have a Board consisting of a minimum of three persons and a maximum of eight persons, including a President, a Treasurer and one or more Vice-Presidents. The Board members shall be elected in their function by a majority vote at the AGM. The board should have the support from ECF s AGM and should have also support from the different ECF s stakeholders and networks. The board steers and advises the Secretary General who is responsible for all operational affairs and the external representation, based on the authority document decided by the board. The board should have the right mix of board members based on: 1. the roles of the board 2. the roles individual board members have, 3. the competences in the fields Business/HRM/Organizational management, Communication, Marketing, Income Development, PR, Information Management, Social Media, Advocacy/Lobbying/Politics, Finance, Cycling Policies. The board evaluates at least annually the quality and quantity of its own work and activities. For a proper recruitment of candidates for board elections based on this Guide for ECF Board Elections the board proposes to the AGM to work with a Nomination Committee for the elections from 2018 on. The Nomination Committee takes into account that the board members will have the tasks as listed below: All Board Members give input, make decisions, supervise the work of the Secretary General, advise in their field of expertise the Secretary General and management team (on demand), Page 10/23

11 are ambassadors of ECF in their networks and environments, (some) are a member of an ECF Advisory Board, come from one of ECF s member organizations. Board members do not represent any special interest but represent the general interests of ECF on behalf of the AGM and invest a minimum of 15 days annually on a voluntary basis. There shall be an order of vice-presidents for replacement of the president to be decided internally by the board. The profile and the fee policy regarding the future president should be based on the future ECF Vision The Treasurer Additionally to the roles all board members have the Treasurer supervises the financial policies and strategies of the Secretary General, presents and explains the annual accounts to the AGM, shall have the professional experience, expertise and skills in large organizations to oversee ECF s financial affairs and to lead the board discussions and decisions on financial affairs. The ideal mix of the board members The ideal mix of the board members shall be based first on the competences in the fields the board should cover (see above). Additionally ECF strives to have a diverse board regarding the regions and the kind and size of the ECF member organizations they come from and regarding a good gender balance (minimum 3 female and minimum 3 male). 12 Nomination Committee: The board shall appoint one member of the Nomination Committee from their midst and the AGM shall appoint by secret ballot two members of the Nomination Committee to recruit candidates for the next elections. The term of a Nomination Committee members is two years. 13 TOPIC No. 14: Presentation of ECF Board candidates At this year s AGM 4 Board positions are vacant: The term of Barry Flood (Treasurer) and the Vice-Presidents William Nederpelt and Lars Strömgren end at the AGM Jaki Lowe, whose term also would have ended at the AGM 2017, resigned in February [The terms of President Manfred Neun and of the Vice-Presidents Raluca Fiser, Ksenia Semenova and Damien O'Tuama end at the AGM 2018.] The applications of candidates that did sent their applications at the latest on 21 st of May to Administration Director Wini van Wonterghem via w.vwonterghem@ecf.com will be sent end of May to all registered participants. A list with all names of those candidates will be sent as well. Extract from the ECF Statutes Article 20.1 The ECF shall have a Board consisting of a minimum of three persons and a maximum of eight persons, including a President, a Treasurer and one or more Vice-Presidents. The Board members shall be elected in their function by a majority vote at the AGM. Unless otherwise decided by the General Meeting, the term of office of a Board member shall be two years and this term is renewable. Half the board seats shall be up for election at each AGM, thus securing a one year overlap. A Board member may appoint a deputy. In case one or more members of the board decide to step down before his or her period, the AGM shall elect one or more replacements for the remaining term(s). 14 TOPIC No. 15: ECF Elections Draft Resolution 1. To take note of the Procedure for the election of ECF Board Members adopted at the AGM 2016 (see below). 2. The ECF AGM elected the following persons for the ECF Board : Position Name No of votes ECF Treasurer ECF Vice-President ECF Vice-President ECF Vice-President Explanation: The AGM adopted in 2016 the following procedure for the election of ECF Board Members: 1. The Chair of the AGM announces at the meeting the deadline for candidates to put their candidacy forward. 2. There shall be a separate election for each vacant position. (*) 3. Elections will be done by ballot cards; specific cards will be handed over to the delegates separately for each ballot; valid ballot cards are those that have been put into the ballot box in time (to be announced by the chairs) and the name of one of the candidates for the corresponding election on it. 4. The definition of majority vote at the AGM (statutes, art ) is: more than 50% of the valid votes. 5. In the case no candidate has a majority, a second ballot (or more till one candidate has a majority) will be done with those 3 candidates that got the highest number of votes. In the case two or more have the third highest number of votes they will be all candidates in the next round (ballot) again. 6. The outcome of an election will be announced BEFORE the next election starts. 7. Candidates that are not elected in the former election may run again for the next election. (*) This means for 2017: 4 elections, 1 for the position of Treasurer and 3 for the vacant 3 positions of Vice-President. Maximum 3 rounds. 3rd round with 2 candidates! After the elections the AGM is requested to acknowledge the result of the elections by voting on the draft resolution (see above). Page 14/23

21 TOPIC No. 18: Presentation on AGM 2018 & elections of the chairs for AGM 2018 Draft Resolution: 1. The AGM takes notice of the decision of the board to organize the AGM 2018 with FIAB in Milan. 2. The AGM appoints the following chairs for the AGM 2018: a... b... Explanation: The board received 11 applications for hosting the AGM 2018 and appreciates that so many organizations are ready to host the AGM next year. At the board meeting of 28/29 April the board decided to organize the AGM 2018 in Milan with FIAB. To be able to prepare the time schedules of the AGMs in advance with the chairs it makes sense to choose the chairs the year before. Therefore the board is proposing to appoint the chairs for the AGM 2018 now. Workshop A: Focus on ECF and ECF Member Organizations b. Workshop B: Focus on the arenas for ECF s Reports from two Parallel Workshops, discussion (Round 2) and decisions At this part reports from the parallel workshops will be presented, discussed in a 2 nd round of discussion before decisions are taken.
