1 105.5 Triple M - WMMM Project M 2010 Contest Rules These contest rules are specific to the above contest conducted by Entercom Madison, LLC d/b/a WMMM ( Station ). Except to the extent specifically set forth below with respect to this specific contest, the Station s general contest rules apply to this contest as well. A copy of these specific contest rules and the Station s general contest rules are available at the Station s studio at 7601 Ganser Way, Madison, WI during regular business hours and on the contest page on the Station s website at To the extent that the general contest rules differ from these rules, these rules will govern and control with respect to this contest. Entry/Winning: 1. No purchase necessary to enter or win. 2. Eligible contestants can enter starting March 8, 2010 and ending March 29, 2010 at 5 p.m. (CT) through the following process: (1) upload one (1) video including: (a) a brief personal introduction of the contestant (including name and any pertinent background information (e.g., how long you have been performing music, how you got your start as a musician, etc.); (b) and a performance of their original music up to four (4) minutes in total length (inclusive of introduction and musical performance) (only the first four (4) minutes of any video will be judged; however, longer videos will not be disqualified) to (2) go to and click on the Project M Contest link and provide the following information: your full name, address, phone number (including area code), cell phone number if applicable (including area code), address, and a link to their video on and (3) Entrants must read the online release and click on I agree button to complete their entry. 3. Video Requirements: a. A video containing (a) a brief personal introduction of the contestant (including name, and any pertinent background information; (b) and a performance of their original music up to four (4) minutes in total length (including name and any pertinent background information (e.g., how long you have been performing music, how you got your start as a musician, etc.) (only the first four (4) minutes of any video will be judged; however, longer videos will not be disqualified) that is fully sung and performed by the Entrant named on the entry form. No medleys or pre-recorded music are permitted. b. Only one song is permitted per entry submission (entries exceeding one song will be automatically disqualified). Entry forms must be legible and contain all information required. Only one entry per person will be permitted. No other person besides Entrant can be depicted visually or audibly in video. b. Both the music and lyrics must be original written music by the Entrant and fully performed by the Entrant. No sampling or recorded music may be included unless the music was wholly created and written by the Entrant and musical performances actually performed by only Entrant in this contest. c. The video MUST NOT contain any copyrighted music, video, lyrics or other material unless the Entrant has obtained all of the appropriate licenses for the commercial use of such copyrighted material and has attached proof of ETM:37648_3 1
2 such licenses to entry. Station shall determine whether or not such proof of licenses are satisfactory in its sole discretion. A song that includes (or is suspected to include, in Station s sole discretion) any copyrighted lyrics or music or any prerecorded music performed by anyone other than the Entrant (in whole or in part) will result in disqualification from this Contest. BY ENTERING THIS CONTEST, THE ENTRANT IS REPRESENTING TO STATION THAT THE USE AND DISTRIBUTION OF SUCH SONG BY STATION WILL NOT VIOLATE OR INFRINGE UPON THE RIGHTS OF ANY THIRD PARTY, INCLUDING, WITHOUT LIMITATION, COPYRIGHTS OF OTHERS. By submitting a song, each Entrant represents and warrants that they own the rights to the song submitted with each entry. By submitting an entry, Entrants agree to indemnify Station should any representations and warranties in these contest rules prove to be false or inaccurate. d. Songs must not contain any indecency, profanity, obscenity, explicit sexuality, or lyrics that are harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, libelous, that encourages unlawful behavior, is hateful, or which is racially, ethnically or otherwise offensive or objectionable, as determined by Station in its sole discretion and may be disqualified by Station on a case-by-case basis. KEEP IT CLEAN. e. Songs must not include brand names, trade-marks, trade names, logos or the intellectual property of any third parties. 4. Failure to submit all of these items as requested will result in immediate disqualification. 5. By submitting an entry, you grant permission to Station to post your video on Station s website and/or play your song on-air. 6. On or about April 1, 2010 all eligible entries will be judged by the Station judges. Station judges will judge entries in their sole discretion based on any lawful criteria, including but not limited to singing ability, musical composition and overall style ( Finalist Judging Criteria ). Judges will select up to ten (10) entries to move forward in the Contest, upon confirmation of eligibility and compliance with these Contest rules (each a Finalist ). All Finalists will be determined by the panel of judges in their sole and complete discretion and all decisions of the judges shall be final. 7. Finalists will be contacted on April 2, by 5 p.m. (CT). Finalists MUST confirm participation with a member of the Station s promotions staff by April 6, 2010 by 5 p.m. (CT). Failure to confirm will result in disqualification. If one or more Finalists fail to confirm participation by April 6 at 5 p.m. (CT), Station reserves the right to select alternate Finalists from the pool of entries based on the Finalist Judging Criteria described above. However, alternate Finalists must confirm their participation in the Contest no later than April 9, 2009 at 5 p.m. (CT). 8. Challenges: a. Challenge 1: i. On April 12, 2010, Finalists must appear in person at the Station s studios located at 7601 Ganser Way, Madison, WI at 6 p.m. (CT) for up to a 5 hour period and will each be given Challenge 1. Finalists will be given one week to prepare for Challenge 1. ETM:37648_3 2
3 ii. On April 19, 2010, Finalists must appear in person at the Station s studios at 6 p.m. (CT) to complete Challenge 1. iii. Finalists will each be given Challenge 2 once they have completed Challenge 1, but only remaining Finalists will be able to complete Challenge 2. iv. Each Finalist s completed Challenge 1 will be videotaped and posted online at Videos will be posted by the end of the business day (5 p.m. CT) on April 21, 2010 and listeners will be asked to vote for the Finalists they think the Station judges should select to remain in the Contest. Listeners may vote online by going to and clicking on the Project M link and clicking on the Project M poll. Listeners can also vote via text by sending a text that says: Vote [FINALIST S NAME] to Listener voting (online and text) begins after videos are posted and ends on April 26, 2010 at 12 p.m. (CT). Votes received via text message and online voting will NOT be tallied together but will be considered independently. Notwithstanding the foregoing, Stations reserve the right at any time to end text voting prior to the announced closing date for text voting, for any reason or for no reason, by providing at least 24 hours on-air and online notice that such text voting will end early. Listeners may vote as often as they want. Listener votes will be taken into consideration in the selection of the Finalists by the judges, but online votes will not be the determinative factor of the selection of the Finalists. v. Upon close of listener voting, a panel of Station judges will decide which Finalist(s) is the winner(s) of that particular challenge and which Finalist(s) will be eliminated from the Contest, based on any lawful criteria they determine in their sole discretion, including but not limited to listener votes. vi. Station will announce the Finalist(s) who won that particular challenge (and who will win the designated Weekly Finalist Prize (see below), subject to confirmation of eligibility and compliance with the Contest rules) and the Finalist(s) who has been eliminated from the Contest on April 26, 2010 prior to the Finalists completion of Challenge 2. The eliminated Finalist(s) will not be eligible to compete in Challenge 2. b. Challenge 2: i. On April 26, 2010, remaining Finalists from Challenge 1 must appear in person at the Station s studios located at 7601 Ganser Way, Madison, WI at 6 p.m. (CT) for up to a 5 hour period to complete Challenge 2. ii. These remaining Finalists will each be given Challenge 3 once they have completed Challenge 2 and all Finalists remaining after Challenge 1 will be able to complete Challenge 3 because the announcement of the winning Finalist(s) and eliminated Finalist(s) will be announced after the completion of Challenge. Just because these Finalists are able to compete in Challenge 3 does ETM:37648_3 3
4 not mean that they will be able to continue on in the competition and have his or her Challenge 3 performance judged. iii. Each remaining Finalist s completed Challenge 2 will be videotaped and posted online at Videos will be posted by the end of the business day (5 p.m. CT) on April 28, 2010 and listeners will be asked to vote for the Finalists they think the Station judges should select to remain in the Contest. Listeners may vote online by going to and clicking on clicking on the Project M link and clicking on the Project M poll Listeners can also vote via text by sending a text that says: Vote [FINALIST S NAME] to Listener voting (online and text) begins after videos are posted and ends on May 3, 2010 at 12 p.m. (CT). Votes received via text message and online voting will NOT be tallied together but will be considered independently. Notwithstanding the foregoing, Stations reserve the right at any time to end text voting prior to the announced closing date for text voting, for any reason or for no reason, by providing at least 24 hours on-air and online notice that such text voting will end early. Listener votes will be taken into consideration in the selection of the Finalists by the judges, but online votes will not be the determinative factor of the selection of the Finalists. iv. Upon close of listener voting, a panel of Station judges will decide which Finalist(s) is the winner(s) of that particular challenge and which Finalist(s) will be eliminated from the Contest, based on any lawful criteria they determine in their sole discretion, including but not limited to listener votes. v. Station will announce the Finalist(s) who won that particular challenge (and who will win the designated Weekly Finalist Prize (see below), subject to confirmation of eligibility and compliance with the Contest rules) and the Finalist(s) who has been eliminated from the Contest on May 3, 2010 after the Finalists complete Challenge 3. Despite being able to complete Challenge 3, the eliminated Finalist(s) from Challenge 2 will not be eligible to continue in the Contest. c. Challenge 3: i. On May 3, 2010, remaining Finalists must appear in person at the Station s studios located at 7601 Ganser Way, Madison, WI at 6 p.m. (CT) for up to a 5 hour period to complete Challenge 3. ii. Remaining Finalists after the results are announced for Challenge 2 on May 3, 2010 will each be given Challenge 4, but only noneliminated Finalists will be able to participate in Challenge 4 on May 10, iii. Each remaining Finalist s completed Challenge 3 will be videotaped and posted online at Videos will be posted by the end of the business day (5 p.m. CT) on May 5, 2010 and listeners will be asked to vote for the Finalists they think the Station judges should select to remain in the Contest. The eliminated Finalist(s) will not be eligible to compete in Challenge 4. d. Challenge 4: i. On May 10, 2010, remaining Finalists from Challenge 3 must appear in person at the Station s studios located at 7601 Ganser Way, Madison, WI at 6 p.m. (CT) for up to a 5 hour period to complete Challenge 4. ii. These remaining finalists will each be given Challenge 5 once they have completed Challenge 4, but only non-eliminated Finalists will be able to participate in Challenge 5 on May 17, iii. Each remaining Finalist s completed Challenge 4 will be videotaped and posted online at Videos will be posted by the end of the business day (5 p.m. CT) on May 12, 2010 and listeners will be asked to vote for the Finalists they think the Station judges should select to remain in the Contest. Listeners may vote online by going to and clicking on clicking on the Project M link and clicking on the Project M poll Listeners can also vote via text by sending a text that says: Vote [FINALIST S NAME] to Listener voting (online and text) begins after videos are posted and ends on May 17, 2010 at 12 p.m. (CT). Station will announce the Finalist(s) who won that particular challenge (and who will win the designated Weekly Finalist Prize (see below), subject to confirmation of eligibility and compliance with the Contest rules) and the Finalist(s) who has been eliminated from the Contest on May 17, 2010 prior to the Finalists completion of Challenge 5. The eliminated Finalist(s) will not be eligible to compete in Challenge 5. e. Challenge 5: i. On May 17, 2010, remaining Finalists from Challenge 4 must appear in person at the Station s studios at located at 7601 Ganser Way, Madison, WI p.m. (CT)for up to a 5 hour period to complete Challenge 5. ii. These remaining finalists will each be given Challenge 6 once they have completed Challenge 5, but only non-eliminated Finalists will be able to participate in Challenge 6 on May 24, 2010 (see 7(e) below). iii. Each remaining Finalist s completed Challenge 5 will be videotaped and posted online at Videos will be posted by the end of the business day (5 p.m. CT) on May 19, 2010 and listeners will be asked to vote for the Finalists they think the Station judges should select to remain in the Contest. Station will announce the Finalist(s) who won that particular challenge (and who will win the designated Weekly Finalist Prize (see below), subject to confirmation of eligibility and compliance with the Contest rules) and the Finalist(s) who has been eliminated from the Contest on May 24, 2010 prior to the Finalists completion of Challenge 6. The eliminated Finalist(s) will not be eligible to compete in Challenge 6. f. Challenge 6: i. On May 24, 2010, remaining Finalists from Challenge 5 must appear in person at the Station s studios at located at 7601 Ganser Way, Madison, WI p.m. (CT) for up to a 5 hour period to complete Challenge 6. ii. Each remaining Finalist s completed Challenge 6 will be videotaped and posted online at Videos will be posted by the end of the business day (5 p.m. CT) on May 26, 2010 and listeners will be asked to vote for the Finalists they think the Station judges should select to remain in the Contest. Station will announce the Finalist(s) who won that particular challenge (and who will win the designated Weekly Finalist Prize (see below), subject to confirmation of eligibility and compliance with the Contest rules) and the Finalist(s) who has been eliminated from the Contest on or about June 3, 2010 at a location in the greater Madison area at approximately 8 p.m. The location and time will be provided to remaining Finalists at least 48 hours ETM:37648_3 7
8 in advance. Finalists remaining in the competition after the announcement of which Finalists will be moving on to the Final Challenge on June 3, 2010 will be offered the opportunity to perform one or two songs, but his or her performance will not be voted on by listeners and judged by Station judges. g. Immunity Challenge: i. On April 19, 2010, Station will announce one (1) additional Challenge during the Contest that will grant the winner of such Challenge with Immunity. This Challenge will be a separate Challenge in addition to the weekly Challenges listed above. Immunity shall mean that the winner of the Immunity Challenge will not be eliminated from this Contest for the April 26, 2010 elimination if they would have otherwise been the Finalist selected for elimination by the Station judges based on his or her performance during Challenge 1. However, the winner of the Immunity Challenge is required to complete Challenge 1 despite having Immunity from being eliminated based on his or her performance of that Challenge. Only remaining Finalists as of April 19, 2010 are eligible to participate in the Immunity Challenge. The winner of Immunity will only be entitled to receive Immunity as his or her prize for winning the Immunity Challenge and are not entitled to any other prize. Participation in the Immunity Challenge is optional. Finalists are not required to complete the Immunity Challenge if he or she elects not to do so. h. Final Challenge: i. Finalists remaining after Challenge 6 will complete their Final Challenge (see details immediately below) live on stage for Triple M Judges and audience on or about June 18, 2010 at around 8 p.m.. THE FINAL CHALLENGE WILL TAKE PLACE AT A LOCATION IN THE GREATER MADISON, WI METROPOLITAN AREA THAT WILL BE ANNOUNCED BY STATION ON-AIR AND ONLINE ON OR ABOUT June 11, The exact time remaining Finalists must show up for the Final Challenge will also be announced on-air and online on or about June 11, ii. Each remaining Finalist will receive the opportunity to perform up to 30 minutes of their original music at the Final Challenge (only the first thirty (30) minutes of any performance will be judged; however, longer performances will not be disqualified). iii. Upon the conclusion of each remaining Finalist s performance at the Final Challenge, a panel of Station judges will decide which remaining Finalist is the Grand Prize Winner (upon confirmation of eligibility and compliance with these Contest rules), based on any lawful criteria they determine in their sole discretion, including but not limited to audience response and overall performance during the competition. 9 9. Rules applicable to all Challenges: a. Any failure to attend, timely arrive or failure to stay for the duration of any of the above will result in automatic disqualification of that Finalist. b. Both the music and lyrics must be original written music by all of the Finalists at each Challenge and fully performed by the Finalists. No sampling or recorded music may be included unless the music was wholly created and written by the Finalist and musical performances actually performed by only the Finalist in this Contest. c. Songs performed in Challenges must not contain any copyrighted music, video, lyrics or other material unless the Finalist has obtained all of the appropriate licenses for the commercial use of such copyrighted material and has presented proof of such licenses to Station, unless Station provides Finalists with certain copyrighted music in which Station was granted permission to use in conjunction with this Contest for certain Challenges. Station may determine whether such proof is acceptable in its sole discretion. d. Songs performed at Challenges must not contain any indecency, profanity, obscenity, explicit sexuality, or lyrics that are harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, libelous, that encourages unlawful behavior, is hateful, or which is racially, ethnically or otherwise offensive or objectionable, as determined by Station in its sole discretion and may be disqualified by Station on a caseby-case basis. KEEP IT CLEAN. e. Songs performed at Challenges must not include brand names, trademarks, trade names, logos or the intellectual property of any third parties. f. The rules Station announces at the time each Challenge is announced will govern that particular Challenge. Station Management shall be the sole arbiters in all matters relating to the interpretation of the rules associated with a particular Challenge and their decision shall be final as to all matters. g. Failure to adhere to any of the above-rules or any specific rules announced at the time of each Challenge may result in disqualification. h. If a Finalist cannot continue further in the Contest for any reason (including but not limited to disqualification, illness, tardiness or failure to appear for a challenge, etc.) then Station reserves the right to eliminate or modify a Challenge based on the reduced number of Finalists. Station will not pick an alternate (e.g., a previous week s eliminated Finalist) to replace the eliminated Finalist. i. All Challenges must be performed solo by the Finalist (i.e., no other person other than Finalist providing vocals or other persons other than Finalist accompanying Finalist on an instrument), unless otherwise permitted as part of the criteria for a specific Challenge as announced by the Station. j. Station reserves the right to eliminate more than one (1) Finalist during a weekly Challenge depending on the nature of the Challenge. Station will announce the possibility that more than one (1) Finalist could be eliminated for during the announcement of a particular Challenge. k. Station reserves the right to have Challenges announced at optional appearances during the Contest instead of immediately after completion of particular week s Challenge at the Station s studios as outlined above. 10 In the event this occurs, Station will give Finalists at least 48 hours advance notice of the location and time of the optional appearance in which the Challenge will be announced. Finalists are not required to attend these optional appearances and attendance at these optional appearances will not increase or decrease a Finalist s chance of winning or being eliminated during a specific Challenge or chance of winning or losing the overall competition. In the event a Finalist is unable to attend an optional performance, the instructions for the Challenge that were delivered to the other Finalists who attended the appearance will be ed to the Finalist(s) who were not able to attend at approximately the same time. l. Finalists may have the opportunity, from time to time, to perform at additional appearances outside the Weekly Challenges, Immunity Challenge and Final Challenge that Station may make available to the Finalists, as determined in the Station s sole discretion. However, the Finalists are not guaranteed any number of appearances to perform at (if any at all) and Finalists are not obligated to perform at such appearances which may become available. Performing at these additional appearances will not increase or decrease a Finalist s chance of winning or being eliminated during a specific Challenge or chance of winning or losing the overall competition. These performances will not be voted on by listeners and will not be judged by Station judges. In the event a Finalist performs at an appearance that Station has made available, Finalist will receive no compensation for such performance. Prize: 10. Up to 2 Weekly Prizes will be awarded to weekly Challenge winners per weekly Challenge in this Contest. Weekly Prizes to be awarded for winning a particular weekly Challenge will be pre-determined by Station prior to the announcement of each weekly Challenge and Station will announce each Weekly Prize to the Finalists at the time the Challenge is announced and it will be announced on-air and online. Each Weekly Prize awarded in this Contest ranges from approximately $20 to approximately $1,000 depending on the prize awarded for winning a particular challenge and can range from restaurant gift certificates and concert tickets. The type of prize awarded to the winner of a weekly Challenge will be based on prize availability to Station. 11. Only one (1) verified Grand Prize Winner (if any) will have their song played on Station in regular rotation for a minimum period of one month. The song will play a minimum of once a day for (4) weeks. Approximate value $ The one (1) verified Grand Prize Winner (if any) will also win one meeting with an Atlantic Records representative ( Representative ) for no more than 120 minutes. During this meeting, the Representative will provide music career advice, answer the Grand Prize Winner s questions, and/or listen to any music that listener brings (subject to the time limitation). The date, time and location of the meeting will be determined by Station within 12 months of the conclusion of Contest, without liability for Grand Prize Winner s inability to attend the scheduled meeting for any reason. In the event that the Grand Prize Winner would like to play any music for the Representative during the meeting, it is the Grand Prize Winner s sole responsibility to bring the appropriate music player (computer for MP3 file, CD for CDs, cassette player for cassettes, etc ). Station is not responsible if the meeting needs to be rescheduled by the Representative and will, in good faith, work with the Representative and Grand Prize ETM:37648_3 10
11 Winner to reschedule the meeting (so long as Grand Prize Winner notifies Station of the postponement) but in no event will Station be responsible for any failure of the Grand Prize Winner and Representative to reschedule the meeting for any reason. THE PRIZE IS A MEETING ONLY. IN NO EVENT SHOULD THE GRAND PRIZE WINNER EXPECT IN ANY WAY THAT HE/SHE WILL BE OFFERED A RECORDINGING CONTRACT AT OR AS A RESULT OF THIS MEETING.
