2 Goldfields Ltd CORPORATE Initiatives and transactions completed in the September Quarter funmentallyy reshape the t Company, leaving it in a much stronger financial position with a clear growth path. Acquisition of the anuka Silver Project in central and completion of the recapitalisation program together, provide a platform for growth that will see the Company transformedd into a metals producer around year end. anuka Silver Project acquisition Company announced in early September that it was to acquire the Wonawinta Silver ine, since renamed the anuka Silver Project, from thee liquitors of Cobar Consolited Resources Limited for $375,000. acquisition includedd the anuka process plant and infrastructure built at a cost of more than $60 million with a production capacity in excess of 2 million ounces per year, a 60 million ounce silver JORC Resource, and around 840 square kilometres off exploration territory in the highly prospectivee Cobar Basin. Company is currently upgrading the plantt including installation of a larger r ball mill. This will remove grinding and recovery bottlenecks that hampered previous production. First revenue from silver production is expected in January initial focus is on optimally mining exposed and easily accessible ore o in the anuka pit. Importantly, the anukaa plant provides processing capability for approximately 100 kilometres to the north-east.. ore from the t Boppy Gold ine Previously, the Company had planned to re-develop t Boppy and upgrade its existing plant. We now plan to truck the ore 150 kilometres to the anuka plant for processing. This removess the need to upgrade the t Boppy plant and reduces up-front capital expenditure by around $9 million. Recapitalisation completed Recapitalisation of the Company is complete. This encompassed an equity raising of approximately $4.3 million comprising: a share placement to professional investors, directors and management that raised $1.8 million; a shareholder entitlement offer that raised $1.5 million and was completed in September; and a $1 million share placement with TrailStone finalised in October. placement and entitlement offer were made on the same terms, with shares issued at a price of one cent per share, with one free option attached to each two shares purchased. options remain exercisable until 31 December 2019, at a pricee of 1.3 cents per share. Shares issued to TrailStone do not have any freee options attached. In addition, in October, the Company issued 1 billion warrants to TrailStone as partial consideration for its debt funding facility. warrants are convertible into ordinary shares at a strike price off 1.3 cents per share, at any time until 31 December, Completion of the equity raising enabled the Company to access the $60 million debt funding package provided by the TrailStone Group. Draw down of the first tranche of a $25 million gold pre-payment facility in September provided fundss to complete the anuka acquisition and enabled full repayment of the Company s $5 million debt facility with RB Australia Limited. e remainingg $11.7 million of the gold pre-payment facility has now also been drawn down on 31 October. 3 Goldfields Ltd Board and management changes Following successful completion of the recapitalisation program, thee Companyy moved into a technical phase focused on development of the anuka Silver Project and the t Boppy Gold ine. Consequently, Frank Terranova concluded his tenure as anaging Director on 8 September. Heading up the executive team is David Sproule, formerr managingg director of Polymetals ining, and metallurgist with extensive experience in project development. Ken Osland, a procurement specialist with a 25-years experience in the miningg industry, was appoi to the Board. Name change and share consolition Since the end of the Quarter, directors announced plans to change the name of the Company to Black Oak inerals Limited to recognise the increased diversity of its project portfolio and the recent organisation restructuring and renewal. proposed name, derived from native floraa located around the Company'ss projects in central, reflects the multi-commodity growth plans of the Company, starting with w silver production at anuka. On completion of the recapitalisation, the Company has approximately 1.32 billion sharess on issue, 365 million options and 1 billion warrantss for a total of 2.68 billion shares onn a fully diluted basis. directors are also proposing a 1 for 30 sharee consolition to simplify the Company s capital structure and reposition its stock for broader investor appeal. Consolitionn will reducee the total number of shares on issue to approximatelyy 89.5 million (fully diluted basis) and deliver a simplified more efficient share capital base. Ass a consequence, the share price is expected to increase proportionally within a price range that reflects the substantial asset base of the Company and that fits the investment criteria of a larger number of global g investment funds. proposed change of name and share consolition will be put to shareholders as resolutions at the Annual General eeting to be held on 28 November If approved, thee name change will take effect on or around 1 December 2014 and the share consolition will follow soon after. Asset rationalisation - Project During the September Quarter the Company completed the first partt of its divestment process by entering into a 3-month option agreement to dispose of the key tenements containing the t majority of the defined resources. option provides for the tenements being fully divestedd by the end of Company is in negotiation over the remainder of the tenement portfolio. Successful completion of this work will removee annual expenditure commitmen nts of approximately $ 1.9 million; this would free up capital to apply to key project development activities. Company will retain ownership of, and access to, the plant and infrastructure, elements of which are planned to be re-deployed to. Other tenements Following successful divestment of the t Holland tenements in the June Quarter, the t Company continues to maintain a significantt tenementt portfolio in the region with the potential to t add to the existing resources and reserves for the Project and extend the life of planned infrastructure. Company continues to review the commercial potential of thee remainingg broad portfolio, with a view to ensuring that capital is allocated in a disciplined and prudentt manner. Page 3

In order to maximise the value from the opportunities this brings, the Companyy is focusedd on two areas: Establishment of an improved process flow, based on increased milling capacity to mitigate the issues experienced by the previous owners of the project. A 1,500kW ball mill has been acquired and is planned to be installed and operational around year-end. Assessment of the optimum mining and processing approach includingg the sequencing of the remaining anuka ore, existing anuka stockpiless and t Boppy gold ore. Work iss ongoing and the Company well positioned for a rapidd commencement of mining m operations. An experienced team has been established onn site and is progressingg towards operational capability. Company will announce furtherr plans as appropriate. Gold Project () Company continues to hold approximately 1,700 km 2 of tenements within the -Diem mals Greenstone Belt in the district of Western Australia (Figure 3). e district is a highly prospective gold province which has yet to be subjected to the intense exploration activity as has occurred in the and districts. rmitting anagement of the permitting process continued during the Quarter resulting in approval of the ining Proposal by the Department of ining & troleum (DP) in early October for the Company to proceed with development of.
