1 BOARD OF DIRECTORS 8:30 am Turning Stone Resort & Casino - Verona, New York Call to Order The meeting was called to order by President, Dawn Carpenter. A quorum was present. Invocation and Pledge of Allegiance President-Elect, CJ DelVecchio led the Directors with an invocation followed by the Pledge of Allegiance led by Secretary/Treasurer Moses Seuram. President s Report President Carpenter asked for a motion to approve the excused absences as presented: Gigi Fernandez, Long Island Laurie Finan, Hamptons North Fork Ken Gerus, Long Island Carolina Jemison, Long Island Drew Kessler, Hudson Gateway Michael Mendicino, Long Island Mary Alice Ruppert, Long Island Andi Turco Levin, Ulster County John Vernazza, Staten Island A motion was carried to approve. President Carpenter asked for a motion to approve the minutes of the September 28, 2016 meeting held at the Turning Stone Resort & Casino. A motion was carried to approve the minutes. President Carpenter, as required, informed the Directors that at the request of a local board, an appeal panel made up of NYSAR directors convened on May 25, 2017 and affirmed the decision and sanctions of the original hearing panel. Auditor s Report Donna Miller from the firm DeChants, Fuglein and Johnson reviewed the auditor s report with the Directors for the period ending December 31, 2016 and A motion was carried to accept the audited statement as presented. Treasurer s Report Moses Seuram, Secretary/Treasurer Secretary/Treasurer Seuram reviewed the financial statements with the Directors for the period ending August 31, 2017.
2 Executive Committee Dawn Carpenter, Chair President Carpenter reported that the Executive Committee will make recommendations in conjunction with the committee reports. Budget and Finance Committee Moses Seuram, Secretary/Treasurer The Budget & Finance Committee recommends that NYSAR take up to $55,000 from reserves for the completion of several building projects and to replace the NYSAR telephone system server and router. The Executive Committee action: recommends approval. The Board of Director s action: approved. The Budget & Finance Committee recommends that NYSAR take $100,000 from reserves to replenish the Disaster Relief Fund. The Executive Committee action: recommends approval. The Board of Director s action: approved. Association Executives Advisory Committee Jim Yockel, Chair The Association Executives Advisory Committee recommends that the Statewide Forms Working Group be sunset. Upon sunsetting of the Statewide Forms Working Group, NYSAR establish a Statewide Forms Committee to create statewide forms library. The Executive Committee action: recommends approval. The Board of Director s action: approved. Organizational Planning Committee Katheryn DeClerck, Chair The Organizational Planning Committee recommends that the Strategic Plan be approved. The Executive Committee action: recommends approval. An amendment was made to the Strategic Plan adding appraisers to Goal #2 -- ELEVATE NYSAR continually Raises the Bar of professionalism for New York brokers, agents, appraisers and REALTOR associations The Board of Director s action: approved the plan as amended. Second-home, Resort & Global Markets Committee Jennifer Stevenson, Chair The Second-home, Resort & Global Markets Committee recommends that NYSAR adopts a business plan for the Committee. The plan includes a mission statement for the committee and four main goals. The mission statement is: Educating and empowering members to become successful in the local and global marketplace.
3 The goals are: #1 To educate members about all aspects associated with the buying and selling of property in the U.S. for private or investment use. The action plan is ongoing through NYSAR s Education Department. #2 To provide a web presence where information is provided to members and consumers. The action plan is to enhance NYSAR s website with a directory of NY CIPS designees and other resources. #3 To establish a set of protocols for conducting in-bound and out-bound trade missions with NYSAR s Cooperating Association. Action plans for this goal include A) developing an itinerary to foster information exchange on real estate practices and market opportunities as well as to strengthen relationships and B) giving priority to participate to NYSAR s leadership team, the NAR Regional Coordinator, the NAR President s Liaison, the group leader, Committee members, NYSAR members and others, in that order. #4 To change the name of the Committee to the Global, Resort & Second Home Markets Committee. The Executive Committee action: recommends approval with an amendment removing item #3B. The Board of Director s action: approved as amended. The Second-home, Resort & Global Markets Committee recommends that NYSAR explore entering into Memos of Understanding with the associations in the countries who are represented by NAR President s Liaisons who are NYSAR members. The Executive Committee action: recommends approval. The Board of Director s action: approved. New Business 2018 Budget The Executive Committee recommends that the 2018 budget be adopted as presented. The Board of Director s action: approved. Depository for 2018 The Executive Committee recommends that M&T Bank serve as the depository for the NYSAR checking account through the fiscal year of The Board of Director s action: approved. Accounting Firm for 2018 The Executive Committee recommends that DeChants, Fuglein & Johnson continue to serve as the accounting firm for the year The Board of Director s action: approved. Chief Executive Officer for 2018 The Executive Committee recommends that Duncan MacKenzie serve as Chief Executive Officer for The Board of Director s action: approved. Report of Nominating Committee Election of 2018 NYSAR Officers Chair Linda Lugo reported that the Nominating Committee recommends the following individuals serve as President-Elect and Secretary/Treasurer for the association in 2018: Moses Seuram, President-Elect Jennifer Stevenson, Secretary/Treasurer A motion was carried to approve the slate of officers as presented.
4 The Nominating Committee recommends the following individuals serve as Regional Vice President for the Association in 2018: Adirondack Region: Steve LaBombard, Clinton County Central Region: Don Radke, Greater Syracuse A motion was carried to approve the slate of RVPs as presented.
