RESEARCH APPLICATION POLICIES AND INSTRUCTIONS FOR CANCER CONTROL AND POPULATION SCIENCE GRANT GENERAL INFORMATION Research Topic: This expanded research grant program is designed to encourage investigators from a variety of academic, clinical, scientific, and public health disciplines. Research investigations will be considered from the following research areas: Behavioral and Psychosocial Research Community Based Participatory Research Cancer Disparities Research Biobehavioral Research Cancer Communications Research Research on Preventative Strategies Particular emphasis will be given to innovative, non-duplicative projects that involve organizational and/or institutional partnerships, such as collaborations between multiple academic centers or an academic medical center with a community-based organization. Priority will be given to projects on topics in cancer disparities. Examples of Topics: Projects that explore underlying issues of health and cancer susceptibility, including nutrition, physical activity, tobacco use, cancer screenings and vaccines and methods for overcoming disparities in these areas. Projects exploring the use of technology and interactive media for cancer communications Research linking genetics and environmental factors for understanding of cancer susceptibility, prevention and treatment Analysis of access to care issues and health care delivery Evaluating the effectiveness of clinical intervention strategies Attitudes and belief systems and their influence on psychological health and on behaviors related to cancer control: example, how beliefs can alter attempts to seek screening, detection, and treatment choices, and treatment compliance Interventions to change attitudes and beliefs that affect behavior related to cancer control and cancer outcomes Psychological, behavioral and/or educational interventions to promote behaviors that reduce treatment related morbidity and promote psychological adjustment to the diagnosis of cancer and to the effects of treatment Burdens of cancer on family members and psychological/behavior issues Influence of social factors, such as community, policy, education, and legislation, on behaviors related to cancer control Education of patients, physicians, at-risk populations and general population about cancer Communication to patients, physicians, at-risk populations and general population about cancer, cancer risk, and cancer prevention Educational interventions to promote self-care and symptom management Alternative teaching methods to communicate therapeutic options and risk reduction behavior to patients or to the general public Special approaches and considerations for underserved and at-risk populations

American Cancer Society, Illinois Division funds investigators at institutions in the state of Illinois only. 2. The Peer Review Committee will evaluate applications based on all of the following criteria: (a) the strength of the proposed idea, impact, originality, and estimated benefit this will be given top priority (b) feasibility and experimental design (c) the qualifications, experience and productivity of the applicant, and members of the investigative team; (d) the facilities and resources available. All grants will be reviewed, scored and ranked based on the strength of the proposed idea and its perceived impact. Grants that are ranked in the top percentile for that review period will then be further discussed and reviewer comments for improvement will be added to the proposal. Necessary changes before full funding, will be discussed and finalized between the program director and grant principle investigator(s). 3. Final funding recommendations are brought to the Illinois Division Board of Directors or Executive Committee for approval. 4. Focused applications showing reasonable goals that can be accomplished within a 2 year period and which can be carried out with the requested budget are eligible. Applications which duplicate ones sent to other agencies for multiple year funding, or applications proposing projects which cannot be accomplished in the time or budgetary constraints of Illinois Division grants may be administratively rejected. Specific aims of all pending and/or existing applications must be included. If an applicant wishes to describe how the proposed project relates to the investigator s total research plan, it is recommended that such research summaries be concisely presented in one page or less. 5. Proposals must be independent, investigator-driven research. Proposals will not be accepted from investigators who are listed as a principal investigator on current national level, non-salary related funding from any organization outside the institution of the principal investigator. Investigators who have K08 or other similar career development awards are considered eligible for American Cancer Society, Illinois Division funding. 6. Proposals related to drug development, routine drug modification and/or screening will not be accepted. 7. Scientific investigators or health professionals who are funded by the tobacco industry for any project, or whose named mentors in the case of mentored grants are funded by the tobacco industry for any project, may not apply and will not be eligible for American Cancer Society research grants. Scientific investigators, health professionals, or named mentors who accept funding from the tobacco industry for any project during the tenure of an American Cancer Society research grant must inform the Illinois Division of such funding, whereupon the American Cancer Society grant will immediately be terminated. Tobacco industry funding includes: funds from a company that is engaged in, or has affiliates engaged in the manufacture of tobacco produced for human use; funds in the name of a tobacco brand, whether or not the brand name is used solely for tobacco goods, funds from a body set up by the tobacco industry or by one or more companies engaged in the manufacture of tobacco goods.

3 The following do not constitute tobacco industry funding; for the purposes of this policy; Legacies from tobacco industry investments (unless the names of a tobacco company or cigarette brand are associated with them); Funding from a trust or foundation established with assets related to the tobacco industry but no longer having any connection with the tobacco industry even though it may bear a name that (for historical reasons) is associated with the tobacco industry. Tobacco industry funding is defined for the purposes of the American Cancer Society grants and awards applicants and recipients as money provided or used for all or any of the costs of the research, including personnel, consumables, equipment, buildings, travel, meetings, and conferences, running (operating) costs for laboratories and offices, but not meetings or conferences unrelated to a particular research project. 8. Applicants must be, at the time of the application, U.S. citizens, noncitizen nationals, or a permanent resident of the U.S. Permanent residents must submit with the application notarized evidence indicating that they have a Resident Alien Card (I-551) or have been approved for issuance of such card as evidenced by an official passport stamp of the United States Immigration Service or form I-797 Notice of Action which indicates that the application for permanent residence has been approved. 9. The principal investigator must have a PhD, MD, DO, DVM, DDS or equivalent degree. 10. The American Cancer Society, Illinois Division s grants are made to not-for-profit institutions located within Illinois. Grant applications will not be accepted from, nor will grants be made for, the support of research conducted at for-profit institutions, federal government agencies, or organizations supported entirely by the federal government or organizations, such as Foundations operated by, and for the benefit of, Veteran Affairs Medical Centers, whose primary beneficiaries are federal government entities. Applications may be submitted by qualified academic institutions on behalf of Veteran Affairs Medical Centers, provided that a Dean s Committee Memorandum of Affiliation is in effect between the two institutions. A letter documenting that the investigator is employed by a registered not-for-profit institution (501c(3) institution) must be included in the Appendix. 11. Applicants are allowed to submit a single application no more than three times and cannot apply more than 6 times in their career. Revised applications must include a letter explaining how the reviewers comments were addressed. Failure to adhere could lead to administrative disapproval. Any application being submitted more than three times will not be accepted. If a proposal is submitted as a new application and the principal investigator has submitted previous proposals to the American Cancer Society, Illinois Division, in similar areas of research, a letter detailing how the new application represents substantial differences from the previous application must be included. 12. Applicants may not apply for funds for more that one project per year. 13. The American Cancer Society, Illinois Division, will award up to two grants over the career of any individual investigator. 14. Post-doctoral fellows and graduate students are not eligible as principal investigators. Salary support for graduate students is allowed only if they have completed all course work and can devote 100% effort on the proposed project. 15. Maximum grant support is not to exceed $250,000 (up to $125,000 per year combined direct and indirect costs). Indirect costs are not to exceed 20% of the research budget. Requested salary support for the PI is included in the direct costs. 16. Funds not exceeding $25,000 can be used for the purchase or maintenance of permanent equipment. 17. Funds not exceeding $2,500 can be used for publication costs.

4 18. Funds not exceeding $1,500 can be used for domestic travel to scientific meetings. No international travel will be allowed. 19. Personnel compensated in whole or in part with funds from the American Cancer Society, Illinois Division are not considered employees of the American Cancer Society, Illinois Division. Institutions are responsible for issuing the appropriate IRS tax filings for all individuals receiving compensation from American Cancer Society, Illinois Division grants and are responsible for withholding and paying all required federal, state, and local payroll taxes with regard to such compensation. Thus, these and any other tax consequences are the responsibility of the individual recipient and the sponsoring institution. 20. The American Cancer Society does not assume responsibility for the conduct of the activities that the grant supports or the acts of the grant recipient as both are under the direction and control of the grantee institution and subject to the institution s medical and scientific policies. Grantee institutions must safeguard the rights and welfare of individuals who participate as subjects in research activities by reviewing proposed activities through an Institutional Review Board (IRB), as specified by the National Institutes of Health Office for Human Research Protections, US Department of Health and Human Services. Furthermore, grantee institutions must adhere to DHHS guidelines regarding financial conflicts of interest, recombinant DNA, research misconduct, and vertebrate animals. These policies apply to applicants and application institutions as well. 21. All research grant applications must agree to be bound by the American Cancer Society Intellectual Property Rights (patent policy) on discoveries made under research grants. Investigators funded by the American Cancer Society, Illinois Division, must sign and return a copy of the Intellectual Property Rights prior to the activation of the grant. 22. Unless otherwise requested to cover initial equipment purchases, grant payments will be made quarterly in equal amounts. 23. Prior clearance from the Illinois Division must be obtained for changes in study aims and purposes, grant periods and budget categories. 24. A progress report covering project activity, essential findings; and a financial statement are due annually, and after the end of the grant period. Reprints of published work are to be furnished as they become available. Publications resulting from research supported by the American Cancer Society, Illinois Division, Inc., should contain an acknowledgement such as This work was supported by Grant # from the American Cancer Society, Illinois Division, Inc. Should further funding from a national fund-granting agency result; this should be included in the final report. PREPARING THE APPLICATION PLEASE NOTE: THE INSTRUCTIONS HAVE BEEN REVISED! CHANGES HAVE BEEN HIGHLIGHTED Letter of Intent All investigators will be expected to submit an online Letter of Intent (LOI) before the full proposal can be downloaded. Please include in your LOI: A general audience and technical summary. Please include the proposed impact of the studies and discuss the collaborations formed to carry out these studies. A full granting history including past, present and pending funding. Please include all funding including institutional support. Please give the source of funds, grant number, title of project, and period of time covered by the grant, the amount of direct cost support for current year and total grant period, and percent effort.

5 A letter from the chair that states the principal investigator s independence and the department s commitment to your career development. Occasionally, ACS-IL will release a Directed Research Proposal in collaboration with one of our partners. If you are responding to one of these proposals, please answer yes and describe the program. If applying to the standard Basic Research program, please answer no and N/A. The section entitled Further Explanation and Justification is available under the Applicant tab in the LOI. This section is supplied as a place for the grantee to disclose any other important information about themselves or their grant to the grant administrator at ACS-IL. Once your LOI has been approved, you will have access to the full application. Please remember to choose the Illinois Division of the American Cancer Society to apply for our granting programs. Formatting the Full Application ONLY COMPLETE APPLICATIONS WILL BE ACCEPTED-we can no longer grant extensions or add/subtract/edit components to your application. Please ensure that you have included all grant components, including budgets, letters of support/recommendation, and support documents. Application submitted will go AS IS to the committee. When preparing the application, the following instructions must be adhered to: Readability: The submitted version should be easy to read. Reviewers evaluate many applications, and are likely to respond unfavorably to poorly written or badly organized applications. Type size: The entire text of the application must be in an easily readable font. Use standard 12-point type for the text, and no less than 10-point type for figure legends and tables. Single-spaced text is acceptable and space between paragraphs is recommended. Margins: Each page of the application must have a 1 inch margins all around. Page limit: Research Plan, including figures and tables, must be no longer than 20 pages (excluding references). Resubmission of an Application Applications that are not funded may be resubmitted; however, only 2 resubmissions are allowed. A. Submit a complete application with a current date. B. The title of the project should be the same as that of the previous application. C. A Reply to Previous Review template can be downloaded online. It should respond clearly and succinctly to the points raised in the previous review and direct the reader to the specific sections of the text where revisions have been made. Revised portions of the text should be highlighted (i.e., italics, bold type, underlining, etc.) Revised applications will be reviewed in the same detail and compete on an equal basis with all other new applications and competing renewals. There is no assurance that a revised application will be reviewed by the same peer review committee members to whom the original application was assigned. Changes to the Application Withdrawal of the Application. Please advise the American Cancer Society, Illinois Division promptly, in writing, should you decide to withdraw your application for any reason. Your letter (or ) should include your name and the reason for withdrawal. Change of Address. Notify the Illinois Division in writing of any changes of address or other contact information following the submission of the application. Change of Institution. If you change your institution, the Illinois Division requires that new cover pages, with appropriate institutional signatures be submitted from the new institution. This includes a new title page and assurances and certification page of the Research Grant Application. New budget pages should also be submitted if the policies of the new institution require their modifications. Please note that the American Cancer Society, Illinois Division Research Program funds investigators at institutions in the state of Illinois only.

Key Personnel Tab Please enter the address of all Key Personnel for the grant and follow the instructions provided. See below (Downloads Tab) for information concerning Key Personnel Biosketches. Letters of Support Tab Letters of support can be uploaded in this section from up to 5 separate sources. An will be sent to the referee with a link to our website and instructions for how to provide a letter of support for your grant application. Abstracts Tab Your abstracts and granting history will pre-populate from you LOI submission. Please update any granting information which may have changed. You will be asked to identify keywords about the application concerning: Research Type, Organ Site and Project Description List. Please choose carefully, this section is important for the determination of appropriate reviewers for the application and for categorization of the grant. Budget Period Detail Tab A. Personnel. Names and positions of all personnel must be individually listed and the percentage of time to be devoted to the project by each person should be noted. If the individual to hold a position has not been identified, list position as a vacancy. List all collaborators (defined as individuals who will participate actively in the design and execution of the studies) and consultants (defined as individuals who will provide any combination of advice, guidance, etc., without hands on involvement in the project). B. Permanent Equipment/Equipment Maintenance. Defined as all items costing over $500 with a useful life of 2 or more years. List separately and justify the need for each item of equipment. C. Supplies. Group into major categories (glassware, chemicals, etc.) D. Travel. Domestic travel only. E. Miscellaneous Expenditures. List specific amount for each item; examples of expenditure allowed include: publication costs, special fees, etc. F. Total Amount Requested. Enter the sum of all categories. G. Indirect Cost: Please enter indirect costs equaling no more that 20% of the research budget. Budget Summary and Justification Justify all items of equipment costing over $500, and the need for personnel, supplies, travel, and other miscellaneous items. Assurances and Certification All activities involving human subjects or vertebrate animals must be approved by an appropriate institutional committee before the application will be funded by the American Cancer Society, Illinois Division. Furthermore, compliance with current US Department of Health and Human Services guidelines for financial conflict of interest, recombinant DNA, research misconduct, and vertebrate animals is required. The assurances/certifications are made and verified by the signature of the institutional official signing this application. Human Subjects: All proposed research projects involving human subjects must be approved by the appropriate Institutional Review Board (IRB). The review date should be recent; certification is invalid if the review date precedes the submission date by more than a year. Please be advised that no grant

7 will begin until approval has been granted and the Illinois Division receives such notification. In applications involving human subjects, applicants must address how HIPAA impacts the proposed research, and how they propose to address potential issues HIPAA may raise for their study. If institutional review has not been completed before the submission date of the application, select IRB pending on the certification page. Certification of the institutional committee review must be received prior to the start date of a grant, should the grant be funded. Downloads Tab Structured Technical Abstract Summarize for general scientific audiences the proposed research. This structured technical abstract should provide a clear, concise overview of the proposed work, including the background, objective, or hypothesis and its supporting rationale, specific aims of the study, study design, and relevance of the proposed work to the American Cancer Society s mission of eliminating cancer as a major health problem. Please use the outline below for preparing the structured technical abstract. Background: Provide a brief statement of the ideas and reasoning behind the proposed work. Objective/hypothesis: State the objective/hypothesis to be tested. Provide evidence or rationale that supports it. Specific aims: State concisely the specific aims of the study. Study design: Briefly describe the study design, emphasizing those elements you consider most relevant to assignment of the proposal for peer review. Cancer relevance and impact of proposed studies: Provide a brief statement explaining the potential relevance of the proposed work to cancer, especially (if applicable) how is impacts cancer disparities. Collaborations: Please define the collaborations formed and how each member will contribute to the design and implementation of the proposed studies. Collaborations must be between multiple academic centers or between an academic center and community organization, church, or school. Priority will be given to these projects. Biosketch Complete the requested biographical information--nih Biosketches are allowed A. Education: Include all degrees awarded: list the year conferred, institution, and field of study. B. Training: Postdoctoral Fellowships, residency programs, internships. List title of position, mentor s name, institution and exact dates of training C. Appointments: State title, institution, and duration. For each position, indicate if appointment was independent. For non-independent appointment, list mentors. If the nature of the independence of a position requires explanation, please include a grantees letter in the uploads section to explain your position. D. Publications: give complete references for all peer reviewed publications, including: title, begin each citation on a new line. If the number of publications is extensive, you may give a partial listing; indicate total number of publications. Research Plan The total length of sections A and B below must not exceed 20 pages. Be advised that cogent descriptions are better than verbose text that approaches the page limits. This page limit does not include the references, which should come at the end of the application and will be listed on a separate document. Proposals should be realistic in terms of work to be accomplished in the period of time which support is requested. Although it is permissible to submit applications on an either/or basis with other agencies, proposals should be adjusted to fit the American Cancer Society, Illinois Division s term and budget constraints. A. Work accomplished by you and/or others. Summarize concisely related work done by you and/or others. Reports of research accomplished that are relevant to this proposal and are an important part of the application should be sufficiently comprehensive to indicate their significance. Reprints or preprints may serve in lieu of a detailed report and should be included in the Appendix. Reports of unpublished research are considered confidential. Progress Report (renewal applications only). List the specific aims of the prior grant period and briefly summarize the progress made toward accomplishing those aims. Justification should be given for any major redirection of effort. All recent publications, arising from research supported by the American Cancer Society, and acknowledging the Society, should be listed in the Progress Report. B. Aims and Method of Study. This section must be organized into the following subheadings: (i) Objectives/Specific Aims. Describe briefly in order of priority. These should be limited to what the investigator expects to accomplish in one year with the funds applied for. (ii) Rationale and/or Significance. Briefly put the project into perspective. (iii) Statement of Cancer Relevance. Succinctly describe the relevance to the cancer problem. (iv) Plan of Attack. Describe in sufficient detail to permit other researchers to evaluate your proposed methods and procedures. Order your priorities, and estimate the length of time that you believe will be required to complete each specific aim. Although the time estimated should not exceed the term for which support is requested, it is helpful to state how this project fits in with your long term research goals. References Each literature citation should include the names of all authors, title, book or journal, volume number, page numbers, and year of publication. There is no page limitation for the list of references and this section is not included in the 20-page limit Please do not include full journals articles in your application. List appropriate journal articles in the reference section or an appendix may be added with bibliographies only. Part II Components Cancer Relevance: Provide a brief statement explaining the potential relevance of this proposed work to cancer. Facilities: Describe briefly the space and equipment available for you to carry out the proposed research project. Investigators must have an institutional commitment of research facilities. The Department Chair or institutional leadership must verify the amount of committed space. National Funding: Describe how you as an independent investigator will use funds received from the American Cancer Society, Illinois Division to develop a plan for obtaining national funding.

10 INTELLECTUAL PROPERTY RIGHTS (PATENT POLICY) FOR DISCOVERIES FUNDED WHOLLY, OR IN PART, BY THE AMERICAN CANCER SOCIETY As a not-for-profit organization, supported by public contributions, the Society believes it has the responsibility to adopt policies and practices that enhance the likelihood that potential beneficial discoveries and inventions will be exploited to the benefit of humankind. It is the desire of the Society that such inventions be administered in such a manner that they are brought into public use at the earliest possible time. The Society recognizes that often this may be best accomplished through patenting and/or licensing of such inventions. Accordingly, the Society has adopted the following patent policy that is binding on all Grantees and Not-for-profit Grantee Institutions (hereinafter Grantee ). Acceptance of a grant from the Society constitutes acceptance of the terms and conditions of this policy. It is a goal of the Society that the terms and conditions of this policy not conflict with the established patent policy of Grantee. A. All notices required pursuant to this policy shall be in writing, and in this policy, the following terms shall have the meaning set forth below. i. Invention shall mean any potentially patentable discovery, material, method, process, product, program, software or use. ii. iii. iv. Funded Invention shall mean any Invention made in the course of research funded in whole or in part by this Society grant. Public Disclosure shall mean any publication, presentation, and offer for sale or any activity that would affect the patentability of the invention under 35 USC. 102 or 103. Net Income shall mean gross income received by Grantee in respect of a Funded Invention less inventor distributions in accordance with Grantee policy, payments to joint holders of Funded Invention, and unreimbursed directly assignable out-of-pocket expenses resulting from patenting and licensing for Funded Invention. B. Grantee shall notify the Society of each Funded Invention made by Grantee within thirty (30) days after the disclosure of the Funded Invention to Grantee s Technology Transfer Office or the equivalent thereof. Grantee shall promptly determine whether it desires to seek patent or other statutory protection for all Funded Inventions promptly after each Funded Invention is made and shall promptly inform the Society of all decisions to seek or not seek such protection. The Society shall have the right to seek patent or other statutory protection, at the Society s expense, for any Funded Invention in any country where Grantee has decided not to seek protection or has failed to file an application for such protection within six (6) months after disclosure of the Funded Invention to the Society, and, upon the Society s request, Grantee shall file for patent protection for Funded Invention in such countries as directed by Society at the Society s expense. C. Grantee shall promptly notify the American Cancer Society, Illinois Division of the filing and issuance or grant of any application for a patent or other statutory rights for a Funded Invention and shall keep the American Cancer Society reasonably informed of the status and progress of all such applications. Grantee shall pay all costs and expenses incident to all applications for patents or other statutory rights and all patents and other statutory rights that issue thereon owned by Grantee (other than as provided for in Sections B or C). Grantee shall also notify the American Cancer Society at least sixty (60) days in advance of Grantee s intention to abandon any application for a patent or other statutory right for a Funded Invention or not to take action required to maintain any such application or any patent or other statutory right in a Funded Invention, in which event, at the request of the American Cancer Society, Grantee shall continue patent protection for Funded Invention as directed by the American Cancer Society at the American Cancer Society s expense (unless maintenance of such patent rights is inconsistent with Grantee s good name). D. Each of the American Cancer Society and Grantee (the appropriate Grantee technology transfer officer managing Funded Invention) shall promptly inform the other of any suspected infringement of any patent covering a Funded Invention and of any misappropriation, misuse, theft or breach of confidence

11 relating to other proprietary rights in a Funded Invention. Grantee and Society will discuss in good faith further action to be taken in this regard. E. Grantee shall notify the American Cancer Society within thirty (30) days of grant of a license, lease, or other revenue generating agreement involving a Funded Invention. In the event that Grantee fails to license a Funded Invention within five (5) years from the issuance of a patent for the Funded Invention and the Grantee has determined no viable means of commercialization for Funded Invention, Grantee shall license the Funded Invention, with the right to sublicense, to the American Cancer Society (under standard Grantee license terms on a royalty free basis). However, should the American Cancer Society receive any revenue from sublicensing the Funded Invention, it will share that revenue with Grantee on a mutually acceptable basis. F. Grantee will license a Funded Invention in accordance with Grantee Policy and established practices. G. i. The American Cancer society waives the receipt of income until the Net Income from the Funded Invention exceeds $500,000. ii. iii. Once the Net Income from a Funded Invention exceeds $500,000, Grantee shall pay the Society annually a percentage of the Net Income from the Funded Invention that is proportionate to the Society s proportion of the financial support for the research that resulted in the Invention. Such royalty payment shall be accompanied by an appropriate statement of account detailing the amount and showing the calculation of Net Income received by Grantee during the preceding year. The Society shall have the right to audit the Grantee s books and records annually, in order to verify the Net Income derived annually from any Funded Invention. The percentage of Net Income due the Society from a Funded Invention shall be determined by the parties within 90 days of the date the Society is notified by the Grantee (to be extended by mutual agreement of both parties) pursuant to Section E above the grant of a license, lease or other revenue generating agreement involving the Funded Invention. If the parties are unable to agree on the percentage of Net Income payable to the Society or any amount owed to Grantee pursuant to Paragraph E above, the dispute (the Dispute ) shall be resolved as follows: One of the parties shall request (the Negotiation Request ) that each of the parties appoint a designated executive management representative to meet for the purpose of endeavoring to resolve such Dispute. The designated executive representatives, who shall not have been directly involved in the initial negotiations, shall discuss the Dispute and negotiate in good faith in an effort to seek a resolution. During the course of such negotiation, all reasonable requests made by one party to the other for information will be honored so that each of the parties may be fully advised regarding the Dispute. If the designated executive representatives are unable to resolve the Dispute within 30 days after the Negotiation Request, the parties shall mediate the Dispute with a mutually acceptable mediator within the 30-day period, beginning 31 days after the Negotiation Request. If the Dispute is not resolved by mediation within 60 days after the Negotiation Request, either party may initiate arbitration by delivering an arbitration demand to the other party (initiator of arbitration will travel to venue of other party), and the Dispute shall be settled by arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association ( AAA ), except that a. there shall be one arbitrator mutually agreed upon by both parties within 30 days after initiation of arbitration and if the parties are unable to agree upon an arbitrator, the arbitrator shall be appointed by AAA; b. neither party may submit more than 20 interrogatories, including subparts; c. neither party shall be entitled to take more than two depositions and no deposition shall last more than two hours;

12 d. all discovery shall be concluded within 90 days of serving the arbitration demand; e. each party shall bear its own costs and expenses and attorney s fees and an equal share of the arbitrator fees and any administrative fees of the arbitrator; and f. arbitration shall be not utilized if Grantee is prohibited by law from submitting itself to binding arbitration. The award of the arbitrator shall be binding, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
