3 BACKGROUND AND LOCATION Parque de Valdebebas is one of the largest urban planning projects in the history of Madrid, with an area of over 10 million m2 on which a total of 12,500 residences will eventually be built, 45% of which will receive some kind of government subsidy. It lies in a privileged setting in the northeastern sector of the city, just a few minutes from the city centre. The excellent location and characteristics of the area are the reasons that it has attracted several major projects which will undoubtedly help make Parque de Valdebebas an urban planning benchmark nationally and internationally: the Justice Campus, the expansion of the IFEMA Exhibition Centre and the new Real Madrid Sports Complex. Among the main projects is the creation of a Forest Park of over 500 hectares in size by the City Council of Madrid, a green zone that is five times larger than the El Retiro Park in Madrid. This new park will be an important contribution toward improving environmental conditions in the metropolitan area of Madrid and will function as a green lung in a part of the city which is undergoing major urban and infrastructure growth. One of the ongoing concerns during the successive planning stages has been to provide future residents of Valdebebas access to the Forest Park, creating interconnected green ways that are integrated into the structure of the new city while also leading to the green heart of the project, which is to be the objective of this competition. The City Council of Madrid has supported the Parque de Valdebebas Owners Management Board in the celebration of this International Ideas Competition, aware of the great opportunity this project offers in the integration of a large green area into the construction of the city. The ambition is to create a new urban park that could become a recreation and nature reference not only in Valdebebas, but for the city as a whole. 3

4 1. OBJECTIVE OF THE COMPETITION The objective of calling this competition is to select a multidisciplinary team to provide the best development proposal for a new city park with approximately 80 hectares in the Parque de Valdebebas area, fostering its landscape, urban, environmental and social potential. 2. COMPETITION FORMAT 2.1. This International Ideas Competition is sponsored by the Parque de Valdebebas Owners Management Board and is privately run. The Competition will take place through an open, two-stage procedure: in the first stage, schematic design proposals will be accepted, and six finalists will be selected from among them to develop their proposals into a Master plan in the second stage In accordance with these conditions of entry, the winning team will be awarded the task of drafting the project construction documents, provided that it can prove that the technical and human resources are available in line with the nature of the commission and pursuant to the scope and technical and financial conditions stated in the competition conditions This competition shall be governed by the terms described herein, and the competition secretariat and, in due time, the Jury, shall be authorised to decide upon any issues that are not explicitly stated, in accordance with the administrative contract legislation as a reference for action. Any decisions that, where needed, must be made shall observe the principles of publicity and bidding. 3. COMPETITION ORGANISATION TECHNICAL MANAGEMENT AND SECRETARIAT 3.1. The competition shall be managed by the technical team of the Parque de Valdebebas Compensation Board in collaboration with the Architectural Competitions Office of Madrid (Oficina de Concursos de Arquitectura de Madrid) under the Official Association of Architects of Madrid (Colegio Oficial de Arquitectos de Madrid), hereinafter OCAM, pursuant to the Agreement signed to such end, in which the Secretariat of the Competition is assigned. 4

5 The mission of the Competition Technical Department is to resolve the technical issues of the competition, analyse the proposals received and provide the Jury with reports on the participants compliance with the Specifications. The technical team may seek out the services of specialists deemed necessary to prepare such reports. The Competition Secretariat reserves the right to expand these hours. 4. PARTICIPANTS 4.1. Multidisciplinary teams or legal entities whose corporate objectives are in line with the objective of the competition, led by a team leader with a specific degree in landscape architecture, architecture or engineering related to the objective of the competition, and possessing documented experience in landscaping projects, are eligible to participate in the competition. This leader, or another representative of the team, must also be qualified to practice in Spain and able to draft and process an implementation project. The multidisciplinary team can include experts in any of the professional, scientific, technical or artistic fields associated with landscaping. 5

6 4.2. Individuals holding the corresponding degree, be it a Spanish degree, a legally recognised degree (those from the European Union, Norway, Iceland, Liechtenstein or Switzerland) or a degree approved by the Spanish government and/or recognised by the corresponding professional association are considered qualified to practice in Spain Each participant can only belong to one team, as either the leader or a collaborator, and can only submit one proposal. Non-compliance with this point shall give rise to the disqualification of all the proposals in which such an individual participates Inexistence of a prohibition to enter into contracts: Pursuant to current legislation, participants must not be involved in any situation of incompatibility or forbidden from entering into contracts with the competition organiser. 5. STAGES AND DEADLINES IN THE FIRST STAGE 5.1. REGISTRATION AND ADMISSION OF PARTICIPANTS Prior registration shall not be necessary. In order to be admitted to the competition, the required documentation must be submitted within the deadline indicated herein The period for development of the competition shall begin with the publication of the relevant announcement on the Parque de Valdebebas website ( the competition website ( and the OCAM website ( DOCUMENTATION The complete documentation for the competition can be found on the competition website, with links available from the official Parque de Valdebebas website, the Competition Secretariat and the website of the Spanish Landscape Architects Association (Asociación Española de 6

7 Paisajistas, hereinafter, AEP) from the moment it is launched, and it can be freely enquired by anyone interested If there are problems in downloading the competition documentation from the website, the participants can request a CD from the Secretariat with the same contents as the website, which will be sent within five days after the request is received INFORMATION AND ENQUIRIES Enquiries can be made up to 6 March 2009, always in writing and, whenever possible, by (info@concursoparquedevaldebebas.com). The deadline for the publication of the complete and anonymous list of enquiries and clarifications on the competition website shall be 13 March These enquiries shall be analysed and answered by the Technical Department via the Competition Secretariat, which can seek any technical advice deemed appropriate. However, enquiries regarding the administrative procedure of the competition may be answered on the same website, as they are received, and the Competition Secretariat shall decide whether to respond immediately or delay the response until the date indicated at the top of this paragraph The list of questions and answers, along with the complete conditions for entry, shall be provided to the Jury of the competition when it is constituted. The considerations arising as a result of these enquiries shall be compulsory for the competition organiser to fulfil PRESENTATION OF DESIGNS IN THE FIRST STAGE The deadline for presentation of proposals is 16 April The documentation can be submitted: - in person, during the Competition Secretariat s office hours; - by post or courier, in a sealed package sent to the Competition Secretariat at the address indicated herein. Any proposals sent by post or courier that are received by the Competition Secretariat by 22 April 2009 shall be accepted, provided that the following two circumstances are met: 7

8 - that the package was sent by certified post before the proposal presentation deadline expired. - that notification of the delivery was also sent by fax, telegram or before the proposal presentation deadline expired, indicating the shipment reference number for identification After this deadline has expired, the Competition Secretariat shall register the receipt of the proposals, at which time the number of projects received and their mottos shall be recorded Proposals that arrive after the indicated deadline shall not be admitted under any circumstances, regardless of the chosen means of shipment The panels must be sent free of any charges of any kind. Neither the developer nor the Competition Secretariat shall bear any costs or procedures of any kind for customs, courier or similar fees, and as such they shall not accept shipments that arrive in these conditions. Specifically, the participants shall be exclusively responsible for any procedures required to obtain the permits needed for entry of the panels into the European Union and receipt by the Competition Secretariat free of any charges. 6. ANONYMITY 6.1. The projects shall be submitted under an original title, with no format requirements, freely chosen by the participants. The original titles must be placed on all the documents so that they can be examined by the Jury anonymously On the outside of the identification envelope, the participants must clearly state whether, if not chosen as a winner, they prefer to remain anonymous in the public exhibition of the designs submitted and the possible publication of the works in hard copy or Internet format. The material received shall be unwrapped and prepared for examination by individuals who do not pertain to the Jury, who shall ensure that the proposals remain anonymous by removing all references to the sender that could be present on the packaging or delivery slips. 8

9 7. DOCUMENTATION SUBMISSIONS IN THE FIRST STAGE 7.1. STAGE 1 Aspects to deal with in the Schematic Design: General Landscaping Environmental Services Recreation Accesses and connectivity Others A. PANELS: A MAXIMUM of THREE panels shall be submitted in DIN-A1 format mounted on rigid, lightweight, flat foam-core boards, and it is compulsory for the A1 boards to be arranged in vertical orientation and numbered in the upper right corner of each panel, with fractioned numbering (from 1/3 to 3/3). The chosen original title shall be placed at the top of each panel, next to the competition title: Valdebebas Urban Park Ideas Competition. The panels shall include the graphic documentation, the explanatory description of the proposal and the specification of the graphic scale of the drawings. Complementary information may be included to facilitate comprehension of each proposal, such as construction details, certain views or perspectives, photomontages, etc. Any type of graphic reproduction is allowed. Models are not allowed, although photos of models are allowed. No information shall be allowed in any other graphic information format other than that included on the panels. The contents of the panels shall be as follows: PANEL 1: Integration in the area and general concepts. 9

10 PANEL 2 and PANEL 3 (to be read consecutively): General plan representing the overall intervention proposed on a 1/2500 scale and general and specific sections and elevations as deemed necessary by the participant in order to comprehend the proposal, on appropriate scales. Any perspectives and images that the participant considers necessary to make the proposal easily understood may be included as well. B. REDUCED FORMAT DIN-A3 COPIES of the panels submitted to the competition, shown in vertical orientation. No additional documentation shall be accepted other than that indicated in the following paragraph. C. CD-ROM: A copy of all the documentation submitted shall be included in digital format. The contents of the CD-ROM must coincide with that of the panels submitted. The CD, attached in another envelope, should contain: - A copy of the panels in editable PDF format, one file for each panel. The files shall be named with the original title followed by the panel order number and an effort should be made to keep them of a reasonable size (no larger than 5 MB each), with a minimum resolution of 300 dpi. - The brief design statement on the panels shall also be reproduced in digital format, in another file, using the same slogan and.txt format. (to ensure the anonymity of the participant at all times, delete the author data of the document in the properties option of Word). The original title chosen by the participant shall be written on the CD with permanent marker. Participants must take care not to insert the CD in the identification envelope, because in this case, the CD would not be opened, as this would compromise the participant s guarantees of anonymity. Delivery of the CD inside the identification envelope would mean that neither the technical committee nor the Jury would have access to the graphic documentation contained therein before the meetings of the Jury. 10

11 These files shall be used, on the one hand, for possible publications and, on the other, to compile a CD containing all the proposals to be furnished to all the members of the Jury prior to their deliberations for in-depth examination. D. IDENTIFICATION ENVELOPE: In addition to the panels, an identification envelope shall be included, to be sealed for delivery and identified on the outside with the original title chosen by the participant. It shall contain the identification and contact details of the team that designed the proposal, including both the author and the collaborators, along with all the documents listed below: - Identification form, using the appropriate format of the three included in Appendix 1 attached hereto, depending on whether the team is composed of individuals, companies or a combination thereof. - Statement of compliance declaring that there exists no incompatibility to enter into a contract with the competition organiser, using the form attached in Appendix 2 herein. Individual statements must be provided for each and every co-author in the proposal (or their legal representative, for companies). All the parties who share the authorship of the proposal shall be considered co-authors. - Statement of compliance declaring that the registered team as a whole meets the solvency conditions required to participate, according to the form attached as Appendix 3 herein. In the case of legal entities, this document shall be submitted with regard to the director of the team or the person in charge of managing the work, and in the case of teams that participate as a temporary joint venture, it shall be signed by the representative thereof. All written information must be submitted in Spanish or English. All the documentation shall be delivered in a single package, completely maintaining the anonymity of the sender, with the following identification: STAGE 1. 12 Summary of documentation to be presented in the first stage: A. Maximum of 3 A1 size panels, including the design statement B. Printed reductions of the panels in A3 format C. CD-ROM with all the documentation in digital format D. Identification envelope with identification forms and statements (see appendices 1-3) 8. TECHNICAL EXAMINATION OF THE PROPOSALS 8.1. Given the nature of this competition, the Technical Department shall prepare a technical report of the proposals received Depending on the quantity, quality or complexity of the proposals received, the Technical Department may seek advice from a committee of experts with reputable competence in landscape architecture, architecture and engineering The purpose of the committee shall be to examine the technical aspects of the proposals according to the terms of the specifications and other conditions stated herein, after the deadline for receipt has expired The reports prepared by the Technical Department shall be furnished to the Jury for informative purposes, and the latter shall decide whether to include any proposals that seriously fail to meet the legal or technical provisions, and whether the non-compliance represents an illegitimate advantage over other proposals The same rules of incompatibility or abstention that apply to the members of the Jury are also applicable to the Technical Department and the advisors it may choose. 12

13 9. JURY 9.1. COMPOSITION OF THE JURY The Jury is composed of 11 members with voting rights: President: - Mr. Alberto Ruiz-Gallardón, Mayor of Madrid, or the person he appoints Members: - Ms. Ana Botella, delegate for the Department of the Environment, or the person she appoints. - Mr. Luis Federico Sepúlveda González, Director General of Patrimonio Verde, or the person he appoints. - A forestry engineer of reputable competence appointed by mutual agreement between the Forestry Engineers Professional Association and the Competition Organiser. - Two architects of reputable competence appointed by mutual agreement between the COAM (Professional Association of Architects of Madrid) and the Competition Organiser. - Two landscape architects of reputable competence appointed by mutual agreement between the AEP (Spanish Landscape Architects Association) and the Competition Organiser. - One representative of the Urban Land Institute. - Two representatives of the Valdebebas Owners Management Board. Secretary: - The Director of the OCAM (Architectural Competitions Office of Madrid), or the person she appoints, with speaking but not voting rights In order for the Jury to perform its duties, at least half, plus one, of its members must be present at all the evaluation sessions. Among these members, it is essential that at least one of the landscape architects, architects or engineers of reputable competence listed above be present. 13

14 If, after their appointment, events should occur that prevent such parties from being present, they may be substituted, provided that the Jury has not yet been constituted In the constitutional act of the Jury, its members shall make a statement as to the non-existence of the incompatibilities established herein. Should there exist any incompatibilities, the affected member of the Jury must resign from the Jury or, if possible, appoint someone else, and this circumstance shall be taken into consideration in establishing the quorum DUTIES OF THE JURY By 30 April 2009, the certificate with the Jury s decision must be prepared, which shall contain a well-reasoned report on which the decision is based, and each member of the Jury may separately state their reasons for their votes If it is impossible to meet these deadlines, such circumstance shall be announced on the competition website, along with a new competition resolution date The following shall be the duties of the Jury: - Analysis of the documentation and definitive admission of the projects. - Forming a well-reasoned proposal for the exclusion of any work not admitted, which shall be recorded in the certificate, and may be due to: - delivery after the deadline or failure to meet the terms of the conditions for entry - insufficient documentation for proper evaluation of the proposals - compromising the condition of anonymity, either by revealing the authorship by any means or by presenting graphic items that indicate the identity of the author of the proposal 14

15 - any duly proven attempt to pressure the members of the Jury - communication or publication of the proposal before the final decision of the competition. - Analysis of the proposals presented and evaluation thereof, to which end they may seek any advice deemed appropriate. - Safeguarding and complying with the strict anonymity with which the documentation must be examined. - The definitive resolution proposal: the decision of the result of the competition must be well-reasoned with regard to the winning proposals The Secretary of the Jury shall record minutes of all the actions taken PROCEDURE FOR DECIDING THE RESULT OF THE COMPETITION After effective receipt of all the proposals, all the panels received shall be made available for analysis by the members of the Jury. All the members of the Jury shall be sent a CD containing all the files sent by the participants On a date to be determined by mutual agreement of the members of the Jury, a full meeting shall take place at the venue where the panels are on display, to proceed to discuss the decision Before any other considerations are made, the admission or exclusion of the proposals must be approved The Jury shall agree upon a selection procedure in accordance with the quantity and quality of the proposals presented, based on discussion systems and successive elimination of proposals. Should a voting system be chosen, if there is a tie, a new discussion must then take place, and only after three tied votes shall the president s casting vote decide the outcome At any time prior to opening the sealed bids, the Jury may reconsider its decisions, submitting any points considered necessary for the best outcome of the competition to a vote or discussion. If the quantity, quality or any other factor regarding the proposals makes it appropriate, 15

16 they may even, as an exception, choose to change the voting guidelines for selection of proposals, and such decision must be recorded and justified in the minutes The Jury as a whole shall state, and record in the minutes, the reasons for which it considers that the winning proposals deserve such status. It shall also record the evolution of the discussion in the minutes, indicating the successive elimination that took place. Individual votes may be issued if any member of the Jury so chooses Until the identification envelope is opened, the members of the Jury and their advisors must maintain their deliberations in secret and shall refrain from disclosing the information they have had access to in the course of their duties outside the sessions. Such an obligation also applies to the experts who advise them. 10. EVALUATION CRITERIA The evaluation of the proposals shall focus on quality, examined within the specific complexity of the competition: Quality of the proposal in specific reference to its adaptation to and integration in the landscape and zoning of the setting. Functional/technical compliance of the proposal. Feasibility regarding technical conditions Integrity and coherence. Proposal with strategies for environmental friendliness, sustainability and accessibility. Economic feasibility. 11. SELECTION OF PARTICIPANTS IN FIRST STAGE OF COMPETITION Within the established deadline, the Jury shall select a maximum of SIX of the proposals submitted to continue on to the second stage of the competition. The opening of the bids of selected works shall take place in a public event to be announced with at least two days in advance. 16

STAGES AND DEADLINES IN THE SECOND STAGE INFORMATION AND ENQUIRIES All the teams selected shall be informed in writing, within 5 calendar days after opening the sealed bids from the first stage, of all the issues that the Jury considers should be developed or clarified, expressly indicating the issues that were most or least valued in their respective proposals. After receiving the notification, the selected teams shall have a period of 7 calendar days, starting from the day after the expiry of the aforementioned deadline, to prepare the clarifications or issues they consider relevant in this regard PRESENTATION OF WORK IN THE SECOND STAGE The deadline for presentation of proposals is 30 June The documentation can be submitted: - in person, during the Competition Secretariat s office hours - by post or courier, in a sealed package sent to the Competition Secretariat at the address indicated herein. Any proposals sent by post or courier that are received by the Competition Secretariat by 3 July 2009 shall be accepted, provided that the following two circumstances are met: - that the package was sent by certified post before the proposal presentation deadline expired. - that notification of the delivery was also sent by fax, telegram or before the proposal presentation deadline expired, indicating the shipment reference number for identification After this deadline has expired, the Competition Secretariat shall record the receipt of the proposals, at which time the number of projects received and their slogans shall be recorded Proposals that arrive after the indicated deadline shall not be admitted under any circumstances, regardless of the chosen means of shipment. 17

Aspects to be developed in the second stage: Landscape, environmental and cultural issues Configuration of green zones and services uses Accessibility Technical, economic and social feasibility A. PANELS: A MAXIMUM of SIX panels shall be submitted in DIN-A1 format mounted on rigid, lightweight, flat foam-core boards, and it is compulsory for the A1 boards to be arranged in vertical orientation and numbered in the upper right corner of each panel, with fractioned numbering (from 1/6 to 6/6). The chosen original title in the first stage of the competition shall be placed at the top of each panel, next to the competition title: Valdebebas Urban Park Ideas Competition. The panels shall include the graphic documentation, the explanatory description of the proposal and the specification of the graphic scale of the drawings. 18

19 Complementary information may be included to facilitate comprehension of each proposal, such as construction details, certain views or perspectives, photomontages, etc. Any type of graphic reproduction is allowed. PANEL 3 and PANEL 4: Floor plans, elevations and sections as needed to make the proposal comprehensible, on the appropriate scales. PANEL 5 and PANEL 6: At the participant s discretion B. In addition, the brief description shown on the panels shall also be reproduced in digital format, in another file, using the same slogan and.txt format. - PowerPoint presentation of the proposal (.pps or similar). The original title chosen by the participant in the first stage shall be written on the CD with permanent marker. D. Identification form including an express description of each and every one of the members of the team, which must have the following minimum human resources, that shall use in drafting the project: Manager and representative of the team One coordinating landscape architect, architect or engineer (full-time dedication) One landscape architect, architect or engineer (full-time dedication) One environmental specialist One civil engineer The team, or in its absence, the team manager, must give proof of their professional experience and must have designed and built at least 2 parks of similar characteristics as that stated in the contract. E. Commitment to establish a temporary joint venture. The teams composed of several co-authors of the proposal (co-authors shall be deemed as being those who would share the contract in the event of winning the contest) individuals, legal entities or a combination thereof must duly complete Appendix 4, under which they undertake to establish a temporary joint venture, though it is not necessary for them to make such establishment in a public deed until the contract arising from the competition has been awarded. This document must be signed by the individuals or by the representatives thereof, or by the legal entities that compose them. In either case, each and every member of the joint venture must present the documents required herein, accordingly. 20

21 This documentation shall be delivered in a single package with the following identification: STAGE 2. VALDEBEBAS URBAN PARK IDEAS COMPETITION ORIGINAL TITLE CHOSEN IN THE FIRST STAGE All written information must be submitted in Spanish or English. Summary of documentation to be submitted: 1. Maximum of 6 A1 size panels, including design statement 2. Printed reductions of the panels in A3 format 3. CD-ROM with all the documentation in digital format including powerpoint presentation 4. Identification form and professional experience 5. Commitment to establish a temporary joint venture 14. JURY COMPOSITION OF THE JURY The Jury shall have the same composition as in the first stage PROCEDURE FOR DECIDING THE RESULT OF THE SECOND STAGE OF THE COMPETITION On a date yet to be decided all the selected contestants will be called for a closed hearing of their proposals before the jury. When presenting their proposals to the jury the contestants will centre their attention on those issues that have been indicated for clarification or further development. They will have half an hour, following which the jury will ask any questions it considers appropriate. For their presentation contestants may use solely the panels submitted in the second stage, and the aforementioned Powerpoint presentation. The order of presentation will be that which corresponded to the contestant in the 21

22 initial list of proposals presented in the the second stage, which will be drawn up based on chronological order of receipt, though said order may be modified by the Contracting Entity When presenting their proposals to the jury the contestants, the Jury shall meet to discuss their decision in the terms set forth herein The Competition Secretariat may take into consideration any suggestions made by the selected contestants for the proceedings during the second stage, though unanimity will be an essential requirement and the organising entity reserves the right to make the final decision based on its interests Within 3 working days after the meeting date, the Jury shall announce its decision, which shall be made on the basis of discussion systems and successive elimination of proposals. Should a voting system be chosen, if there is a tie, a new discussion must then take place, and only after three tied votes shall the president s casting vote decide the outcome The Competition Organiser shall confirm the result of the competition in the terms proposed by the Jury and, after announcing the public event, it shall communicate the decision for the competition to the selected teams and the allocation awarded for the prizes. 15. EVALUATION CRITERIA In addition to evaluating the development of the proposals and any issues requested by the Jury, the composition and experience of the team and its collaborators in carrying out projects of these characteristics shall be taken into consideration. 16. PRIZES FIRST STAGE PRIZES The prizes shall be as follows: Selected teams: the Jury may select up to six proposals with economic consideration of 10,000 Euros (TEN THOUSAND EUROS) each. 22

23 Honourable Mentions: the Jury may grant up to three Honourable Mentions with no economic consideration SECOND STAGE PRIZES The prizes shall be as follows: First Prize: Euros (FORTY-FIVE THOUSAND EUROS) and the express commitment to award the commission to draft the project in the terms stated in the following point of the competition bases and developed in the Technical Specifications. Second Prize: Euros (THIRTY THOUSAND EUROS) Third Prize: Euros (FIFTEEN THOUSAND EUROS) 3 Consolation Prizes: Euros (TEN THOUSAND EUROS) VAT shall be added to the aforementioned sums and the corresponding tax withholdings shall be applied. The participants must issue an invoice to the Competition Organiser for the Prize received in order to receive payment The first prize shall be linked to the Competition Organiser s commitment to award the contract for drafting the implementation project according to the conditions established in the next section and in the technical specifications It is possible that some or all of the prizes in the competition may not be awarded, only if the Jury unanimously considers that they cannot be awarded because there are no sufficiently satisfactory projects for the objective of the competition deserving such distinction. 17. CONDITIONS OF AWARD OF THE COMPETITION The winner of the Competition shall receive the commission to draft the construction project, which must in the end be approved by the City Council of Madrid, pursuant to the conditions established in the Competition brief and technical specifications. The contracting of this work shall be a continuation of this Competition. 23

24 17.2. In order to enter into a contract with the Competition Organiser, the winner of the Competition must have sufficient technical and economic solvency, in the following terms: For the purposes of technical solvency, the winner must have the following minimum human resources, which it shall use in drafting the project: Manager and representative of the team One coordinating landscape architect, architect or engineer (fulltime dedication) One landscape architect, architect or engineer (full-time dedication) One environmental specialist One civil engineer The team, or in its absence, the team leader, must give proof of their professional experience and must have designed and built at least 2 parks of similar characteristics as that stated in the contract For the purposes of economic solvency, the winner shall be required to have civil liability insurance that covers at least the sum of 500,000 Euros per loss, which must remain valid throughout the term of the contract The total construction budget for the park must not exceed 20,000,000 Euros, without VAT, excluding possible buildings The maximum sum for fees shall be a maximum of 500,000 Euros, plus VAT The Competition Organiser shall have six months from the date the certificate of the Jury s Decision is published to commission the construction project. If the first prize is awarded, but within the aforementioned six-month deadline the developer is unable to process and agree upon the commission, or for opportunity reasons, it abandons the project, unless this occurs for reasons beyond the developer s control, the winner shall receive compensation worth an amount equal to half of 24

25 the sum of the prize received, for failure to commission the project. If the problems that prevented, where applicable, an agreement on the commission are subsequently solved, the commission shall be awarded to the winner of this competition, regardless of the time that has elapsed, and in such case, the sum delivered in compensation shall be discounted from the total price of the contract In the event that the winner of the first prize is responsible for its inability to enter into the contract for any reason, the winner shall not be entitled to any compensation whatsoever, nor shall it receive the prize amount, and the Competition Organiser may negotiate successively with the other winners to reach an agreement on the project design and implementation All negotiation shall take place exclusively with the representative of the team. 18. PUBLICATION OF THE DECISION The announcement for the winning projects shall take place during an event that shall be held on a date yet to be determined, which shall be announced to the participants over the website at least one day in advance The result of the competition shall be announced on the website on the working day following said event. The graphic documents explaining the winning proposals shall be published on the website, and may be manipulated exclusively for the purposes of reducing their size to make navigation easier. 19. VERIFICATION OF CAPACITY TO COMPETE The Competition Organiser reserves its right to verify, at its own discretion, the fulfilment of the requirements needed to participate in the competition, and it may at any time ask any participant to submit documentation certifying its solvency conditions. In any event, such documentation shall be required of all the winners, in addition to the required statement of compliance. Specifically, the winner must furnish the following documentation: 25

26 Regarding its capacity to act: For individuals, the Spanish Identity Document, or its equivalent, as well as the degrees held by the team and documentation proving that the leader and person in charge of managing the work, or any representative of the team, is legally qualified to practice in Spain. The capacity to act of companies that are legal entities shall be proven through the deed or document of establishment, the bylaws or founding deed, in which the rules governing the company activity are stated, and duly registered, where applicable, at the corresponding public registry, depending on the type of legal entity involved. The capacity to act of non-spanish companies who are nationals of Member States of the European Union shall be proven through their registration at the relevant registry in accordance with the legislation of the State where they are established, or by presenting an affidavit or certificate in the terms set forth by law, pursuant to the applicable European Community provisions. Any other foreign companies must prove their capacity to act through a report from the Permanent Diplomatic Delegation of Spain in the corresponding State or the Consulate in the territory where the company is domiciled Regarding compliance with the solvency criteria required for participation in the competition: - Certified copy of the landscape architect, architect or engineer s degree, or certificate of membership at the corresponding Professional Association, issued by the leader or representative of the team The summoned parties shall have a maximum period of ten working days to furnish such accrediting documents. Failure to show proof of the requirements to participate shall give rise to disqualification for the competition, including, where applicable, the loss of the right to receive any prize money that may have been granted. 26

27 20. RESOLUTION AND RETURN OF THE PROJECTS All participants are entitled to examine the winning projects during a period of one month after the Jury announces its decision. If a public exhibition of the projects is agreed upon, it shall be construed that this right has been observed by opening such exhibition to the public. This obligation shall also be construed as completed through the publication of the works on the Internet After this period, or the public exhibition accordingly agreed upon, has elapsed, a period shall begin for the participants to withdraw their projects, after which time the Competition Organiser shall proceed to destroy them. In any case, the Competition Organiser reserves the right to keep the CDs in order to manage the publication of the competition results. 21. INCOMPATIBILITIES Parties that are in a situation of professional or legal incompatibility regarding the project that is the objective of the competition, and those who are barred or have any incompatibility according to the regulations in force cannot participate in the competition Parties in the following situations may not perform the duties of the Jury: - individuals who have a permanent and current professional association relationship with any of the participants, which establishes a legal or ethical duty to abstain - individuals who have a blood relationship of up to the fourth degree or are relatives by marriage of up to the second degree with any of the participants, the administrators of participating entities or companies, the advisors, legal representatives or agents that are involved in the proceedings. 22. INTELLECTUAL PROPERTY RIGHTS The authors shall maintain the intellectual property rights over the work presented in the competition, transferring the rights of use exclusively to the Valdebebas Owners Management Board and the COAM for a period of three 27

28 years starting from the date of the Jury s final decision. During this period, neither the authors nor third parties can use the projects for any purposes other than those established herein, nor may they publish or communicate the work without the express consent of the titleholders of the transferred rights In the publications and exhibitions that could take place, the anonymity of the authors of projects that are not winners shall be maintained for those parties that so requested Regarding the intellectual property rights over the winning project, the Competition Organiser undertakes to refrain from modifying or transferring the project without express consent from the representative of the team that authored the project. 23. EXHIBITION After the Competition has been decided, all the works presented and admitted can be included in a publication in hard copy or digital format, stating the names of the authors, except for those who expressed their wish to remain anonymous in the event that they were not chosen The participants may choose not to be included in the publication or exhibition of the proposals in the event that they are not winners, to which end they must indicate such desire expressly in Appendix 1 attached herein below. 24. RESOLUTION OF TECHNICAL DISPUTES Any controversies or disputes that arise as a result of the interpretation, modification, resolution and effects of this competition shall at all times be considered subject to the jurisdiction of the competent courts based in Madrid. SUBMISSION OF A PROJECT TO THE COMPETITION REPRESENTS FULL ACCEPTANCE OF THE CONDITIONS OF ENTRY, BOTH THE ADMINISTRATIVE CONDITIONS AND THE TECHNICAL SPECIFICATIONS. 28
