3 3 ARTICLE I Grant Regulations; Definitions Section All provisions of the Special Operations Grant Regulations of ADB, dated 7 February 2005 (the Grant Regulations ), are hereby made applicable to this Grant Agreement with the same force and effect as if they were fully set forth herein. Section The definitions set forth in the Grant Regulations are applicable to this Grant Agreement unless the context requires otherwise. In addition, the following terms have the following meanings: (a) Consulting Guidelines means ADB s Guidelines on the Use of Consultants by Asian Development Bank and Its Borrowers dated April 2010, as amended from time to time; (b) Goods means equipment and materials to be financed out of the proceeds of the Grant; and including related services such as transportation, insurance, installation, commissioning, training, and initial maintenance, but excluding consulting services; (c) HIV/AIDS means Human Immunodeficiency Virus/Acquired Immune Deficiency Syndrome; (d) IEE means, the initial environmental examination for the Project dated 12 May 2010, including any update thereto, prepared by the Recipient and agreed by ADB; (e) IMA means an independent monitoring agency engaged for purposes verifying implementation of the Resettlement Plan; (f) Investment Program means the Recipient s Road Network Development Investment Program; (g) Loan Disbursement Handbook means ADB s Loan Disbursement Handbook dated January 2007, as amended from time to time; (h) successor thereto; MPW means the Ministry of Public Works of the Recipient or any (i) Procurement Guidelines means ADB s Procurement Guidelines dated April 2010, as amended from time to time; (j) Procurement Plan means the procurement plan for the Project dated 15 December 2010 and agreed between the Recipient and ADB, as updated from time to time in accordance with Procurement Guidelines, Consulting Guidelines, and other arrangements agreed with ADB;

4 4 (k) Project area means the geographic area encompassing the Project Road and Project facilities; (l) Project Executing Agency means for the purposes of and within the meaning of the Grant Regulations, MPW, which shall be responsible for the carrying out of the Project; (m) Project facilities means the equipment, material, supplies and facilities provided, rehabilitated, reconstructed or to be provided, rehabilitated, reconstructed under the Project; (n) Project Road means (i) a new road between Bala Murghab and Laman of approximately 143 km long; (ii) the Qaisar-Bala Murghab section of Herat-Andkhoy road of approximately 90 km; and (iii) related infrastructure; and (o) Resettlement Plan or RP means the resettlement plan for the Project, including any update thereto, prepared and submitted by the Recipient and agreed by ADB; (p) Safeguards Monitoring Report means each report prepared and submitted by the Recipient to ADB that describes progress with implementation of and compliance with the EMP, the RP and the indigenous peoples plan (as applicable), including any corrective and preventative actions; and (q) Works means construction or civil works to be financed out of the proceeds of the Grant, including services such as drilling or mapping, and project related services that are provided as part of a single responsibility or turnkey contract, but excluding consulting services. ARTICLE II The Grant Section ADB agrees to make available to the Recipient from ADB's Special Funds resources on terms and conditions set forth in this Agreement an amount of three hundred and forty million Dollars ($340,000,000). ARTICLE III Use of Proceeds of the Grant Section The Recipient shall cause the proceeds of the Grant to be applied to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement.

5 5 Section The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section Except as ADB may otherwise agree, all Goods, Works and consulting services to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement. Section Withdrawals from the Grant Account in respect of Goods, Works and consulting services shall be made only on account of expenditures relating to (a) Goods which are produced in and supplied from and Works and consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) Goods, Works and consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 31 December 2016 or such other date as may from time to time be agreed between the Recipient and ADB. ARTICLE IV Particular Covenants Section In the carrying out of the Project and operation of the Project facilities, the Recipient shall perform, or cause to be performed, all obligations set forth in Schedule 4 to this Grant Agreement. Section (a) The Recipient shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant proceeds and compliance with the financial covenants of this Grant Agreement as well as on the use of the procedures for imprest account and statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request.

6 6 (b) The Recipient shall enable ADB, upon ADB's request, to discuss the Recipient s financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient unless the Recipient shall otherwise agree. Section The Recipient shall enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the Grant, and any relevant records and documents. ARTICLE V Effectiveness Section A date thirty (30) days after the date of this Grant Agreement is specified for the effectiveness of the Grant Agreement for the purposes of Section 9.04 of the Grant Regulations. ARTICLE VI Miscellaneous Section The Minister of Finance of the Recipient is designated as representative of the Recipient for the purposes of Section of the Grant Regulations. 8 8 SCHEDULE 1 Description of the Project 1. The Investment Program aims to increase Afghanistan s road network connectivity and quality by promoting, and providing financing for, the road improvement and road institutions development component of the Afghanistan National Development Strategy. 2. As part of the Investment Program, the Project will provide supplementary financing for cost overruns resulting from price changes under the Qaisar-Bala Murghab Road Project and the Bala Murghab-Laman Road Project. 3. The Project comprises the following: (i) (ii) Rehabilitation of the Qaisar-Bala Murghab section (90km) of Herat-Andkhoy road, including the related civil works, overall project and contract management, construction supervision and monitoring, security arrangements and related community development works. Construction of the Bala Murghab-Laman section (approximately 143km), including the related civil works, overall project and contract management, construction supervision and monitoring, security arrangements and related community development works. 4. The Project is expected to be completed by 30 June 2016.

9 9 SCHEDULE 2 Allocation and Withdrawal of Grant Proceeds General 1. The table attached to this Schedule sets forth the Categories of Goods, Works, consulting services and other items to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant to each such Category (hereinafter called the Table). (Reference to "Category" or "Categories" in this Schedule is to a Category or Categories of the Table.) Percentages of ADB Financing 2. Except as ADB may otherwise agree, the items of the Categories listed in the Table shall be financed out of the proceeds of the Grant on the basis of the percentages set forth in the Table. Reallocation 3. Notwithstanding the allocation of Grant proceeds and the withdrawal percentages set forth in the Table, (a) if the amount of the Grant allocated to any Category appears to be insufficient to finance all agreed expenditures in that Category, ADB may, by notice to the Recipient after consultation with the Recipient, (i) reallocate to such Category, to the extent required to meet the estimated shortfall, amounts of the Grant which have been allocated to another Category but, in the opinion of ADB, are not needed to meet other expenditures, and (ii) if such reallocation cannot fully meet the estimated shortfall, reduce the withdrawal percentage applicable to such expenditures in order that further withdrawals under such Category may continue until all expenditures thereunder shall have been made; and (b) if the amount of the Grant then allocated to any Category appears to exceed all agreed expenditures in that Category, ADB may, by notice to the Recipient after consultation with the Recipient, reallocate such excess amount to any other Category. Disbursement Procedures 4. Except as ADB may otherwise agree, the Grant proceeds for financing Goods, Works, consulting services, and other items of expenditures shall be disbursed in accordance with the Loan Disbursement Handbook. Imprest Account; Statement of Expenditures 5. (a) Except as ADB may otherwise agree, the Recipient shall establish immediately after the Effective Date, an imprest account at Da Afghanistan Bank (DAB) or a commercial bank acceptable to ADB and the Recipient. The imprest account shall be established, managed, replenished and liquidated in accordance with the Loan Disbursement Handbook and detailed arrangements agreed upon between the Recipient and ADB. The

10 10 Schedule 2 currency of the imprest account shall be Dollar. Except as ADB may otherwise agree, the amount deposited into the imprest account shall not exceed $100,000. (b) The statement of expenditures procedure may be used for reimbursement of eligible expenditures not exceeding $50,000 for Goods, Works and consulting services, and to liquidate advances provided into the imprest account, in accordance with ADB s Loan Disbursement Handbook and detailed arrangements agreed upon between the Recipient and ADB.

12 12 SCHEDULE 3 Provisions on Procurement and Consulting Services A. General 1. All Goods and Works, and consulting services to be financed out of the proceeds of the Grant shall be subject to and governed by the Procurement Guidelines and the Consulting Guidelines, respectively. 2. All terms used and not otherwise defined in this Grant Agreement have the meanings provided in the Procurement Guidelines and/or the Consulting Guidelines, as applicable. B. Procurement for Goods and Works 3. Except as ADB may otherwise agree, Goods and Works shall only be procured on the basis of the methods of procurement set forth below: International Competitive Bidding Limited International Bidding National Competitive Bidding Shopping 4. The method of procurement is subject to, among other things, the detailed arrangements and threshold values set forth in the Procurement Plan. The Recipient may only modify the methods of procurement or threshold values with the prior agreement of ADB, and modifications must be set out in updates to the Procurement Plan. 5. Domestic Preference. In the evaluation of bids under international competitive bidding, the Recipient may grant a margin of preference for domestically manufactured Goods in accordance with paragraphs 2.55(a) and 2.56 of the Procurement Guidelines, and a margin of preference for domestic Works in accordance with paragraphs 2.55(b) and 2.56 of the Procurement Guidelines. 6. National Competitive Bidding. No procurement activity may be undertaken under NCB until ADB and the Recipient have agreed in writing on any necessary modifications or clarifications to the Recipient s laws and regulations on national competitive bidding procedures to ensure consistency with ADB s Procurement Guidelines. Such modifications or clarifications shall be subsequently reflected in the Procurement Plan and are hereby incorporated by reference to this Grant Agreement. Any subsequent change to the agreed modifications and clarifications shall become effective only after written approval of such change by the Recipient and ADB. C. Selection of Consulting Services 7. Quality- and Cost-Based Selection. Except as ADB may otherwise agree, and except as set forth in the paragraph below, the Recipient shall apply quality- and cost-based selection (QCBS) for selecting and engaging consulting services.

The Recipient shall recruit individual consultants in accordance with ADB s procedures for recruiting individual consultants for, amongst other matters, contract administration, technical review of the designs, assessment of environmental and social safeguard measures, implementation and coordination of reengineering activities, preparing reports for submission to ADB. D. Industrial or Intellectual Property Rights (a) The Recipient shall ensure that all Goods and Works procured (including without limitation all computer hardware, software and systems, whether separately procured or incorporated within other goods and services procured) do not violate or infringe any industrial property or intellectual property right or claim of any third party. (b) The Recipient shall ensure that all contracts for the procurement of Goods and Works contain appropriate representations, warranties and, if appropriate, indemnities from the contractor or supplier with respect to the matters referred to in subparagraph (a) of this paragraph; and that all ADB-financed contracts with consultants contain appropriate representations, warranties and, if appropriate, indemnities from the consultants to ensure that the consulting services provided do not violate or infringe any industrial property or intellectual property right or claim of any third party. E. ADB s Review of Procurement Decisions 9. All contracts procured under international competitive bidding procedures and contracts for consulting services shall be subject to prior review by ADB, unless otherwise agreed between the Recipient and ADB and set forth in the Procurement Plan. 10. Before granting an extension of the stipulated time for completion of a contract for Goods or Works, or agreeing to any modification or waiver of the conditions of such contract, including issuing any change order or orders under such contract, the Recipient shall seek ADB s no objection to the proposed extension, modification, or change order. If ADB determines that the proposal would be inconsistent with the provisions of the Grant Agreement and/or Procurement Plan, it shall promptly inform the Recipient and state the reasons for its determination. A copy of all amendments to the contract shall be furnished to ADB for its record. F. Procurement of Bitumen from Non-member Countries 11. Notwithstanding the provisions of Section 3.04(a) of this Grant Agreement, bitumen may be procured for Works under the Project from non-member countries of ADB.

14 14 SCHEDULE 4 Execution of Project and Operation of Project Facilities; Financial Matters Project Executing Agency 1. The Recipient designates MPW as the Project Executing Agency responsible for overall implementation of the Project. Program Management Office 2. The Recipient shall ensure that the Program Management Office (PMO) is fully established and structured in accordance with the provisions of paragraphs 2 through 12 of Schedule 3 to the FFA. 3. The Recipient shall ensure that the PMO is staffed with qualified personnel progressively depending on the needs of the Project. Project Implementation Arrangements 4. The Recipient shall ensure that a suitably qualified entity (i) experienced in overall project management and implementation, construction supervision and coordination of security arrangements and (ii) selected or appointed in accordance with ADB s procedures, will be engaged to implement key aspects of the Project. Except as otherwise agreed by ADB, the Recipient shall ensure that the following key activities shall be carried out by such entity: (i) (ii) (iii) (iv) providing technical input and advice in relation to bid preparation and evaluation; carrying out design reviews, engineering analyses and technical audits; administration, management and supervision of the Works contracts, including review and certification of invoices and preparation of documentation required for withdrawal applications; and coordinating the execution of the Works and the related security arrangements for the Project sites. Security and Community Development 5. The Recipient shall provide adequate security through its Ministry of Interior, police force and national army, as well as adequate demining measures, for the smooth and uninterrupted implementation of the Project. 6. The Recipient shall ensure that (i) all Works contracts require an action plan for adequate security to allow smooth and uninterrupted implementation of the Project; (ii) the cost of implementing the action plan is included in the budget for such Works; and (iii) the action plan is fully implemented.

The Recipient shall ensure that community development projects are designed, selected and implemented in accordance with criteria as agreed with ADB from time to time, to enhance the security situation at or around the Project sites through the support of local communities. The Recipient shall ensure proper monitoring of community development works and complement similar activities in the Project areas through other alternative funding sources. Construction Quality 8. The Recipient shall ensure that: (i) the Project facilities rehabilitated or constructed under the Project comply with technical specifications of the design; and (ii) construction, supervision, quality control and project management are performed according to internationally accepted standards and practices. Maintenance 9. The Recipient shall allocate from the budget and make promptly available sufficient funds for adequate maintenance of roads including the Project Road and the Project facilities as may be necessary during the implementation and in each fiscal year thereafter, and shall ensure that such facilities are operated and maintained in accordance with sound practices, including by way of awarding of performance-based maintenance contracts to competent contractors. 10. The Recipient shall ensure that performance-based maintenance contracts of the completed sections of the inter-regional ring road in Afghanistan, including the ADB funded sections, are awarded. Change in Ownership and Operation 11. In the event that: (i) any change in ownership of any Project facility; (ii) any sale, transfer, or assignment of interest or control in any Project facility, or (iii) any lease or other contract or other modification to the MPW s functions and authority over operation and maintenance of any such Project facility, is anticipated, the Recipient shall obtain ADB s consent at least six months prior to the implementation of such change and shall ensure that any such changes will be carried out in a legal and transparent manner. Governance, Anticorruption, and Transparency 12. The Recipient shall ensure that ADB s Anticorruption Policy (1998, as amended to date) is followed throughout project implementation and hereby acknowledges that ADB reserves the right to investigate, directly or through its agents, any alleged corrupt, fraudulent, collusive or coercive practices relating to the Project. The Recipient shall cooperate with any such investigation and extend all necessary assistance for satisfactory completion of such investigation. 13. The Recipient shall ensure that (a) relevant provisions of ADB s Anticorruption Policy are included in all bidding documents; (b) all contracts financed by ADB in connection with the project include provisions specifying the right of ADB to audit and examine the records and accounts of all contractors, suppliers, consultants and other service providers as

16 16 Schedule 4 they relate to the Project; and (c) an independent audit of procurement activities is carried out at least twice during the implementation of the Project. 14. The Recipient shall allow and facilitate ADB s representatives to carry out spot and random checks on (i) flow of funds and their use for the Project; and (ii) work-inprogress. 15. The Recipient shall appoint a dedicated staff from the agency that deals with anti-corruption efforts to monitor implementation of ADB-funded projects under MPW in accordance with the mandate of the agency. Environment 16. The Recipient shall ensure that the Project is carried out, and all Project facilities are designed, constructed, operated and maintained in compliance with applicable local laws and regulations of the Recipient concerning environmental protection, ADB s Safeguard Policy Statement (2009), the IEE including the relevant environmental management plan (EMP) in relation to the Project and agreed with ADB and the corrective or preventative actions set forth in the Safeguards Monitoring Report. 17. Without limiting the generality of the foregoing, the Recipient shall ensure that (a) all mitigation and monitoring measures identified in the EMP are incorporated into the detailed design and implemented during design, construction and operation of the Project facilities; (b) all civil works and consultant contracts under the Project contain provisions requiring compliance with these requirements; and (c) information on the implementation of the IEE and EMP is included in the Safeguards Monitoring Report to be submitted with every second quarterly progress report to be submitted to ADB by the Recipient. Land Acquisition and Resettlement 18. The Recipient shall ensure that all land and rights-of-way required for the Project are made available to the Works contractor in accordance with the schedule agreed with the related Works contractor, and all activities under the Project are carried out in full compliance with all applicable laws and regulations of the Recipient, ADB s Safeguard Policy Statement (2009) and the Resettlement Plan updated based upon the detailed technical design and in full consultation with affected people. The Recipient shall ensure that the updated Resettlement Plan shall be in a form that is ready for implementation, including ensuring the availability of the requisite financing for such implementation. The updated Resettlement Plan shall be submitted to ADB for review and approval. The updated Resettlement Plan shall be disclosed to affected people prior to the submission to ADB. 19. The Recipient shall ensure that external experts or qualified non-governmental organizations acceptable to ADB are engaged as independent monitoring agency to monitor the implementation of the Resettlement Plan as approved by ADB. 20. The Recipient shall not issue any notice to proceed on construction to a contractor until (a) the compensation program as detailed in the updated Resettlement Plan has been fully implemented to the satisfaction of ADB, including (i) compensation at full replacement cost having been paid to, and any other entitlements set out in the Resettlement Plan having been provided to, each displaced person for project components or sections that

17 17 Schedule 4 are ready to be constructed; (ii) a comprehensive income and livelihood rehabilitation program, supported by an adequate budget, being put in place to help displaced persons improve, or at least restore, their incomes and livelihoods; and (iii) the IMA having confirmed in a compliance report that the Resettlement Plan has been fully implemented; and (b) the demining agency selected under the Project has certified that the construction site had been cleared from any unexploded ordnance. 21. The Recipient shall ensure that no emergency legal provisions shall be invoked that allow the Recipient to take possession of land without making in advance any compensation payments and the fulfillment of all entitlements other than compensation payments in accordance with the Resettlement Plan. The Recipient shall meet unforeseen obligations in excess of budget estimates. 22. The Recipient shall ensure that information on the implementation of the Resettlement Plan is included in the Safeguards Monitoring Report to be submitted with every second quarterly progress report to ADB by the Recipient, and that any corrective or preventative actions set forth therein are implemented. Indigenous People 23. The Recipient shall ensure that the Project does not have any indigenous peoples impacts within the meaning of ADB s Safeguard Policy Statement (2009). In the event that the Project does have any such impact, the Recipient shall take all steps required to ensure that the Project complies with the applicable laws and regulations of the Recipient and with ADB s Safeguard Policy Statement (2009). Gender and Development, Health and Labor 24. The Recipient shall ensure compliance with all applicable laws and regulations for healthcare and labor and take necessary steps to encourage women living in the Project area to participate in Project related activities. The Recipient shall, and shall cause MPW to, in consultation with local governments and communities, and nongovernment organizations, ensure independent monitoring of the social impacts of the Project throughout implementation. 25. The Recipient shall ensure that all contractors (i) comply with all laws and mandated provisions on labor, health, safety, sanitation and working conditions; (ii) use their best efforts to employ women and local people negatively affected by, or living in the vicinity of, the project; (iii) disseminate information at worksites and campsites on the risks of sexually transmitted diseases and HIV/AIDS for those employed during construction, (iv) are required not to differentiate between men and women s wages or benefits for work of equal value; (v) provide accommodation to construction workers at campsites during the construction period and ensure that all work sites and campsites are safe for all employees, service providers, the public and road users; (vi) eliminate all forms of forced or compulsory labor; (vii) allow freedom of association and the right of assembly and (viii) abstain from engaging persons below the legally employable age in Afghanistan. 26. The Recipient shall ensure that a gender analysis is addressed in the needs assessment in relation to the community development works, and that consultation with women will be part of the needs assessment.

18 18 Schedule The Recipient shall undertake concrete measures including border control and road patrols to prevent trafficking of humans, wildlife, endangered species and illegal substances on the Project facilities. Prohibited List of Investments 28. The Recipient shall ensure that no proceeds of the Grant are used to finance any activity included in the list of prohibited investment activities provided in Appendix 5 of ADB s Safeguard Policy Statement (2009). Local Duties 29. The Recipient shall ensure that no duties shall be imposed on any equipment or material required for the Project, and if such duties are imposed in contravention of this paragraph, the Recipient shall pay such duties promptly to ensure timely project implementation. Performance Monitoring and Progress Review 30. The Recipient shall, or ensure that the Project Executing Agency shall, maintain a comprehensive project performance management system to monitor and evaluate the implementation progress, including review and assessment of progress towards achieving the Project outcome and delivering Project outputs and submit quarterly progress report to ADB. 31. The Recipient and ADB shall jointly review the Project at least annually to assess the implementation progress of the Project. 32. The Recipient and ADB shall conduct a midterm review of the Project around 18 months after the commencement of the Project. The Recipient shall submit to ADB a detailed progress report on the Project s implementation and achievements prior to the midterm review.
