Motion by PDG Dave Sievert, second by PDG Dennis Knott to approve as posted. Motion carried. TREASURER S Report- PDG Jerry Wille presented the financial report for period ending December 31, Motion by PCC Connie LeCleir-Meyer, second by PDG Dennis Knott to approve subject to audit. Motion carried. Report attached. LIONS REPORT- INTERNATIONAL ACTIVITIES- IPID KARLA HARRIS The Lions Clubs International (LCI) Board has been hard at work. Big changes in Conventions Committee,Marketing Communications, Service Activities, Club and District Service, Leadership Development and many more. LCI is going to make big changes which will involve the District Governor in 2017 and The report in its entirety is presented in the attachment section of these minutes. COUNCIL OF GOVERNORS- CC Shawn Reddington The Wisconsin Lions newspaper has undergone a big change in its appearance and the number of hardcopies that are printed to be mailed out. Big changes for the Multi-district and District GLT/GMT coordinators. The report in its entirety is presented in the attachment of these minutes WISCONSIN LIONS FOUNDATION-Vice President John Dickson reported for President Tom Mueller The WLF BOARD of Directors met on December 3, 2016 in the Boardroom at the Lions Camp. The Hearing Project has received 132 applications. 50 Hearing aids have been ordered. Since July 1 st 2,867 hearing aids have been sent to Starkey for salvaged credit. The report, in its entirety, is presented in the attachment section of these minutes.

2 LIONS PRIDE PCC Sam Kochel reported for Executive Director VDG Geri Schlender. Because of Chairman Dewey s untimely passing and off schedule, LPEF Board Meeting was held on Friday, October 7 th at the Pride office. Discussion regarding the appointment of a President or President Pro Tem. PCC Sam Kochel was elected to assume the position through June 30, The report in its entirety is presented in the attachment section of these minutes. LIONS EYE BANK OF WISCONSIN-President PDG DIERK Van CLEEF Furthering Our Mission - serving 1,116 Donor Families (an increase of 38% from the year prior) by placing 1,520 corneas for transplant (376 more than the year prior). Another 245 ocular tissues were placed for research and education The report in its entirety is presented in the attachment section of these minutes. LIONS CLUBS INTERNATIONAL FOUNDATION -PID Wayne Heiman The $20.00 bronze level LCIF Contributing member pins for available. The clubs are being asked to name/select a Club LCIF Coordinator. The purpose of this individual is to simply educate the club and give at least one presentation to the club per year The report in its entirety is presented in the attachment section of these minutes. WISCONSIN LIONS MISSIONS- PDG Jim Schiferl reported for PDG Bill Taubman Lion Bill Taubman will be traveling to the Mexican border with a trailer and an ambulance. Vehicles are difficult to insure just to take to Mexico. Plans are being made to have members of the Lions in Mexico to come to us to pick up the vehicles. CONVENTIONS- MD CONVENTION COORDINATOR PDG John Jenson Reported by PID Art MARSON Lion Art Marson shared some information on the State Lions Convention in La Crosse. The convention is on May 4-7, 2017, first weekend of May. We hope to have a good turnout for our centennial convention. 3 NEW BUSINESS 2017 Multiple District Convention - La Crosse 1. Discuss list of 2017 MD Convention seminars-choose from list that was sent around to the members. President Dwaine is going to send out results by after he has a meeting with the convention committee in March MD Convention Seminar Moderators & Room monitors. President Dwaine will send out a form which the members can write down their preference as to what they would want to do. 3. PDGO First Timers program at the MD Convention. PCC Connie LeCleir-Meyer has volunteered to chair this program. She said she could use a little help. 4. There is a suggestion for having a PDGO Dinner on Friday night at the Radisson Hotel. This would be for all PD Governors in the state to be invited. Our current Governor Council with their spouse will be a free meal paid by the PDGO. Time will be around 6.00 pm and the price of the meal will be around IPID Karla Harris will do the installation of new officers and the roasting of the board. Motion on the floor to have the dinner by PID Wayne Heiman and second by PCC Sam Kochel. Motion carried. 5. PDGO 2017 MD Convention display table. This display table has been going around to different District Conventions. PDG Dierk Van Cleef will be in charge to bring the display table and banner to the La Crosse Convention. There is a discussion on the floor to send PDG Ken Wallander a thank you card for making the display table. Secretary PDG Ron Edlund will send him a thank you card. 5 January 14, 2017 MD 27 Council of Governor's Report Past International Director Karla Harris Happy New Year! Thank you all for the first half of a fantastic year that included a visit from our President, a new Centennial challenge and high levels of club activity recording! I look forward to your continued engagement as we challenge our clubs to aspire to new heights of service and numbers of members. The Lions Clubs International (LCI) Board has been hard at work. You can find the full International Board report on the LCI website. For your quick review - I have included some of the items that will have a more immediate effect on us as Wisconsin Lions. Convention Committee: The 2017 Chicago Convention Schedule has undergone some significant changes. Plenary Sessions will be shorter and provide more motivational and engaging material. International business and Director Nominations will be conducted at independent business meetings. A newly revised elections procedure will combine certification and voting into one step and allow voting to occur over a two day period. Clarified the policy regarding automobile expenses related to DGE & reimbursed attendance held at the International Convention. Driving expenses will be limited to the lowest airfare available. Marketing Communications: Approved a four year marketing & communications plan that will vastly increase the organization's ability to communicate with current members and provide a broader marketing ability to target new members. Included in the plan is a significant upgrade to the MyLCI and in house computer systems and software. The plan includes both traditional communications such as the publishing of the 4 issues of a regionally specific, printed magazine per year internationally beginning in July The plan also includes a significantly enhanced system that will provide targeted s to Lions depending on their positions and recorded interests in Lions. A new digital platform will also be launched that will allow Lions to communicate directly with LCI through personal devises. This new platform will also encourage service beyond the club. The first versions are being tested right now, it is hoped that the final will be released in Chicago. Service Activities: Approved diabetes as the fifth service campaign area to be added to the Centennial Service Challenge effective during the final year of the Centennial from July 1, June 30, Club and District Service: Approved the additions of Club level Lions Clubs International Foundation Coordinators to the Standard Club Constitutional and By Laws Organization Plan section. Leadership Development: The Committee approved a number of items for the District Governors-Elect (DGE) Seminars providing earlier training and more continuity between the DG Teams, an updated curriculum plan, schedule, and Group Leader Team for 2017 and 2018.

6 Beginning in 2019, there will be a five year pilot to provide DGE Training Seminars at a fixed location near Headquarters in January or February and DGE Training held at International Convention Sites will be reduced. Constitution & By-Laws: There have been important revisions in the Standard Form Club, District and International Constitutions and By-Laws (CBL). Changes were made in the following areas: Elections process and procedures Protocol, positions duties and Committee titles Clarifications in removal of Lions and/or appointments Clarifications in Membership categories, Chartering Clubs and Status Quo Finance: The Committee approved the Fiscal Year 2017 First Quarter Forecast which reflects a deficit, primarily due to the added expenses of the Centennial year celebrations, the need for updated technology. MemberShip Development: Expanded the "Involve a Veteran" membership program to all Constitutional Areas and active duty military personnel. Effective January I, 2018 all new club charter applications must be submitted through MyLCI. New Charter Fees may be finalized after the Charter date. Revised Board Policy to allow for deviations from the new Club Charter rule that 75% of members must reside or work within the Multiple District of the Charter. Continue to encourage and strengthen positions of Family and Woman's Specialist's from the MD, to District to club level. Women are joining in record numbers and LCI is supporting the effort with renewed support and additional marketing. LCI Forward Strategic Planning There have been a number of transitions over the past two years with planning for the future with the new LCI Forward Strategic Planning process. There will be additional and significant changes coming with LCI Forward over the next 5 years. You have all received a LCI Forward overview from the International President, it is on the LCI website and is featured in this month's LCI Magazine. Soon we will see an increased impact in the way Lions operate. Rather than a compartmentalized system that we have now within our organization, we are working towards a more holistic approach to Lions. LCI would be providing more direct connections to Lions and providing additional bridges between HQ and clubs. We can anticipate more training, more service opportunities and more membership avenues that will allow for a greater diversity in how Lions Ciubs function. We can also anticipate changes in Board structure, changes in volunteer leadership structure, and changes in HQ structure. Many of these changes will be presented in upcoming DGE training and will take effect following the Chicago convention. I look forward to providing you with more information as it unfolds. I want to thank each of you District Governors for supporting your Centennial goals and continuing to push for clubs to achieve new heights in membership, engage more Lions in direct service and empower new Lions through training and leadership opportunities. 7 Women's Workshop Grant Follow Up Report & Request Council of Governors Meeting, January 14, 2017 By Past International Director Karla Harris & VDG Jodi Burmester Wisconsin Women's PR Initiative Grant Follow Up Report: As you are aware the COG approved the May 2016 application for a two stage Women's development Workshop. Thirty women from across the State attended the May 2016 Workshop and began a process to generate ideas on how to grow membership, increase leadership opportunities and create stronger networking channels for women Lions in Wisconsin. The goal of the meeting was to bring women Lions together in a way to allow for an open exchange on the challenges and successes that face women as well as to raise awareness, establish mentoring connections and develop solid plans to increase the number of women as new members and new leaders within our State. The Women's Workshop was a success. The full report of the Grant was presented to the COG at the July 2016 meeting. The full report was received and accepted by LCI and full reimbursement returned to MD 27. The Women attendees group has continued to evolve. They have meet through conference calls; a number of individuals have created casual and formal mentoring connections; and then in November, after a particularly active conference call, about a dozen of the women decided to have a last minute, casual gathering for the group. The group, at their own expense, met for a weekend Retreat at Lions Camp to continue the brainstorming on ways to strengthen and increase woman in Lions in Wisconsin. The retreat generated significant enthusiasm for not only the second Multiple District workshop, but for numerous yearlong activities for District engagement, for training and for motivating growth in Lions for Women and families. A full report of those ideas is attached for your review. Originally - it was anticipated that a simple second Women's Symposium Grant would be written for and result in one fmal Workshop. However, the Women's Workshop Development Group is now requesting a deeper level of involvement and support from the Council of Governors. The members of this Women's Workshop Development group, now comes to you with thoughts and ideas not only for the second step of the grant, but with many ideas to strengthen and connect women in Lion is Wisconsin on an ongoing basis to assist MD27 GMT and GLT and DG team goals. Today, the MD 27 does not have a coordinated or officially recognized plan to encourage the growth of women in Lions, However the new LCI Forward Strategic Plan requests that MD, DG teams, GLT & GMT do. LCI Ongoing Priorities for Women include: 1. Specific target marketing and advertising strategy to attract more women. 2. Membership goal-setting every year for incoming DGs include a sub-target for women. 3. International Coordinator for women and family membership to provide targeted feedback. 4. Messaging to DG Teams on the importance of gender equality in district cabinets and leadership positions. 5. Gender-equity targets for the Association's training institute attendees and trainers.

8 Therefore, this new and hopefully growing group is requesting that the Council of Governors consider the appointment of a MD Family and Women's Team Specialist! Coordinator to serve alongside current GMT & GLT Coordinators. This appointee would work to Assist the GLT and GMT Coordinators in an effort to design a MD wide program to strengthen women and families in Wisconsin Lions. Create an inclusive plan to grow membership, increase leadership opportunities and create stronger networking channels for women Lions in Wisconsin. Utilize the ideas generated through the initial Women's grant to develop both on going and single events to grow interest in Lions for families and women. Develop a diverse network of both women and men to assist in mentoring and guiding the team. Collaborate with the Women's Marketing! Symposium grant writers in the second stage of the Women's development grant. The Women's Workshop Grant Writers, Presenters and participants attending the Women Workshop Retreat hereby requesting that the Council of Governors consider appointing PCC Connie LeCleir-Meyer as the MD27 Family and Women's Specialist to work with current GLT and GMT Coordinators for the balance of the current appointments. The group further urges each current and future District Governor to consider appointing similar positions within their District and our MD in conjunction with LCI specified terms and qualifications as outlined in the DG Manual. 9 The Wisconsin Lions newspaper has undergo a big change but in its appearance and number of hardcopies that are printed to be mailed out. There still is 10 issues of the Wisconsin Lions newspaper, but six of them can only be viewed online. If we have your correct address on file you should receive an notifying when the new issue is available online. The Council is asking the POGO to help the state office make sure that we have correct addresses for as many of the Lions in the state as possible. If the PDGscould work with the club secretary to make sure all the members in their club have the correct ernail address on file at MyLCI. Second, please print off a copy of the online Wisconsin Lions newspaper and share the information with a local Lion that might not have internet access. As the Council and the Editorial board work thru this transition we ask for patients and help. This is the end of the three (3) year term for the Multi-district and District GlT/GMT coordinators. I would encourage the PDGsto help the District Governor Team to appoint a Lion to those positions that will help grow the leadership and membership in your district and the multi-district. The Council will need to approve the Multi-District GLT&GMT Coordinators at the May Council of Governors meeting.

10 Wisconsin Lions Foundation Inc. Report to the Council of Governors January 14, 2017 The WLF Board of Directors met on December 3,2016 in the Boardroom at our Lions Camp. The following is a summary of the minutes from that meeting: PROJECTS REPORTS Hearing: 132 applications have been received. 50 Hearing aids have been ordered. Since July 1st - 2,867 hearing aids have been sent to Starkey for salvaged credit. Eyeglass Recycling Report: Eyeglasses collected from July 1 to November 30 total 200,203 pair. Included in this number is the Centennial Challenge total which is 81,984 pair. Eyeglasses shipped to missions during this time are 36,550. Presently we have ounces of precious metals on consignment. Vision Screening: Districts Bl, Cl, C2, Dl, D2 & E2 have sent in their reports. 19,503 children have been screened, 17,660 passed, 1,843 referrals. We need to encourage all districts to send in their reports. Our Vision Screening numbers and clubs participating in Vision Screening continue to grow. Diabetes: Brochures, door hangers and Diabetes bookmarks have been ordered for Diabetes Alert Day in March. The Diabetes Focus Group is looking to have a program at the State Convention. Wisconsin Lions Camp: 2017 Camp Mailing is out. Camper applications are mailed out and on line (January 9). We are getting estimates for a Gaga Ball Pit and an update for the ropes course Off Season Rentals have begun and continue to be booked. Assistant Camp Director, Jamie Jannusch's, last day was December 31st. We plan to have the Program Supervisor position start in January. OTHER ITEMS Tree Project Proposal: WLF, UWSP Forestry Dept., Wisconsin & lllinois Arborist Associations and Forestry Management Services are teaming up to maintain the trees around our buildings and main Camp areas. The Urban Forestry Technician Program is designed to give Senior Forestry Students field experience in tree pruning and removal. At the same time, the trees around our buildings and main Camp areas will be evaluated and maintained for health and safety purposes. Arborists will spend one day in January evaluating and marking trees. They will return for a weekend in April with students to do the work. We will provide a place to stay overnight and food for approximately 50. Visitor Days reservations can be made after January 3rd. WLF VP John Dickson is working on expanding the Friends and Honor Garden. Winter maintenance of buildings and equipment is in progress. We are getting a new mower/snow blower. We are also looking to replace the blue van and pickup truck. The Fire Fund Account has been closed. All funds are accounted for. We had three hunters for the Handicap Hunt who harvested three deer.

11 Past District Governors Organization Meeting January 14, 2017 Lions Pride Endowment Fund of WI, Inc., Report Because of Chairman Dewey's untimely passing an off schedule LPEFBoard Meeting was held on Friday, October th at the Pride office. Discussion ensued regarding the appointment of a President or President Pro Tem. It was decided that at this juncture a President Pro Tem would be the best avenue to pursue, and PCCSam Kochel was elected to assume the position through June That will provide a Task Force time to develop a long range plan for Lions Pride. The LPEFBoard remains committed to Chairman Dewey's vision, our mission and ultimate goal. The next LPEFBoard meeting is scheduled for January zo" and will be held in Madison at the Suby Group Offices. The transfer of our Wealth Management account from BMO to Johnson Bank is complete..:if. )3'4-..1 Dba At the B2 Conference November 5 th a check from Lions Pride for $41, was present to WLF VP, John Dixon and Executive Director Evett Hartvig. In December a third check was presented to the WLF in the amount of $25,000. The Lions Pride total support for 2016 is $Miil: rf? 11. Lions Pride Board continues to look forward in partnering with Wisconsin Lions Foundation in financially supporting the statewide projects. 12 LIONS EYEBANK OF WISCONSIN- OVERVIEW FURTHERINGOUR MISSION: We ended the most recent fiscal year (June 30, 2016): By serving 1,116 Donor Families (an increase of 38% from the year prior) By Placing 1520 corneas for transplant (376 more than the year prior) Another 245 ocular tissues were placed for research and education Our in-house Call Center Implementation Project is Underway We currently outsource these services, but feel certain that by bringing this in house, we will not only be able to better serve our hospitals and donor families, but will also improve our communication and work-flow and increase efficiency. This will enable us to serve our dnor families and hospitals better, will allow us to clear tissue for transplant faster, and will improve communication with our transporters. Discussions and progress continues with regards to our new facility. We expect more forward movement over the next few months, once we receive full board approval, and our anticipated timeline to break ground is early Spring of This new facility will: Provide for better workflow and efficiency with regards to cornea evaluation and processing (preparing the cornea for the surgeons prior to transplant). We continue to receive quilt squares from our donor families: Our Donor Quilt Program is designed to both memorialize those who passed away and chosen to be a cornea donor in order to restore sight to those in need as well as to increase community awareness with regards to cornea donation. Quality and Performance Improvement is our major focus over the next year. Efforts will be focused on revamping our Quality Program as well as our Training Program within LEBW. We've experienced much change, as well as growth over the past year, and we've simultaneously stepped up the quality of program. Over the past 3 months, we have been inspected by both the: Eye Bank Association of America (EBAA) Food and Drug Administration (FDA) Both inspections were very favorable for our organization. We are excited about the future.

13 MD-27 Lions Clubs International Foundation Report PID Wayne Heiman January 14, 2017 Plover, WI 1. A reminder that just as your District LCIFCoordinators receive them, and as your Multiple District LCIFCoordinator, I receive a club listing of Melvin Jones Fellows and Progressive Melvin Jones Fellows, a status of installments/credits towards MJFs and a year-to-date donation list. Let me know if you need a copy. My ernall isheimanwayne@live.com 2. We have available the $20 bronze level LCIFContributing Member pins for (is a tax deductible donation). Contributing member pins do count towards a MJF! However, an individual contributing member donation does not count as a club donation in determining club participation percentages. 3. By the Numbers: as of 12/31/2016, MD-27 has donated $76,464 to lcif. This is $18,000 more than last year at the same point! Congratulations! 26.74% of clubs have donated (142 of 531 clubs). As of 12/31/16, MD-27 Wisconsin has named 5,915 Melvin Jones Fellows and 144 Progressive Melvin Jones Fellows. We should surpass 6,000 MJFs this year. 4. lions support is needed to meet and sustain lcif grants and program expenses through 2018 and beyond. Grants are constantly being used for disaster relief and that donation category needs to be replenished. On December 7, 2016 a 6.5 magnitude earthquake struck the Aceh province of Indonesia. lcif responded immediately. District 307-A2 had received a $10,000 Emergency Grant to help with immediate relief activities and Multiple District 307 has also received a $100,000 Major Catastrophe grant for both immediate-and long-term relief and reconstruction. Please promote making a donation to lcif's disaster relief fund so that lions can continue offering this critical aid. 5. Club lcif Coordinators: To repeat- -clubs are being asked to name/select a Club LCIFCoordinator. The purpose of this individual is to simply educate the club and give at least one presentation to the club per year and serve as an lcif ambassador on the local level. Does this sound like the WlF Program Associate role? 6. District Governors: use your District lcif Coordinator as a resource. Utilize their monthly reports. 7. District Chairperson's Medal: If a District donates at least $30,000 this year and has a 10% increase over the previous year, the District lcif Coordinator and the District Governor will each receive the lcif District Chairperson's Medal in appreciation of their efforts in promoting lcif. 8. The Measles Intiative is still ongoing. $20 million of the $30 million goal has been achieved. Continue to promote this program. Only 11 Yz months to achieve the final $10 million to get the full GAVI & Bill & Melinda Gates Foundation full match of $30 million. 14 Lion Art Marson shared some information on the State Lions Convention in La Crosse. The convention is on May 4-7, the first weekend of May. We hope to have a good turnout for our centennial convention. Some of the scheduled activities include: Thursday: Golf at the reorganized Forrest Hills Golf Course, tours of St Rose Chapel/the Shrine of the Immaculate Conception and of Dahl Auto Museum/International Gardens, a Council meeting, and hospitality at the Radisson from 8-10pm. Friday: morning meetings and seminars, first timer session, arrival of the Centennial Torch (one of 2 in the world), opening luncheon, afternoon seminar, business meeting and awards, community ice cream social, hospitality from 8-11 pm. Saturday: strides walk, seminar block, district meetings, luncheon (VP Choi), seminar block, centennial celebration, WLF meeting, voting, Anniversary Ball. We hope many Lions will stay for the Anniversary Ball and therefore some activities are planned for Sunday. Sunday: Church service, riverboat cruise, women's symposium, tour of Historic La Crosse and Hixon House. WE h A discussion was held regarding a PDG banquet instead of a meeting. A Banquet can be held at the Radisson on Friday evening for around $20. Motion was made to have the banquet. Seminars were discussed. Lion Art presented several alternatives. A survey/ranking sheet was distributed to obtain feedback from the PDGs.
