2 The organisation Wates Family Charities comprises two entities: The Wates Family Enterprise Trust Limited: Charity ; Company The Wates Foundation Limited: Company number: ; and The Wates Foundation: Charity The Foundation and Trust share a Secretariat that operates as Wates Family Charities. The day to day administration of the Foundation's and Trust s grant making The Wates Family Enterprise Trust The Wates Family Enterprise Trust Limited is an incorporated registered charity and the charitable trust of the Family owners of the Wates Group of businesses. Its work is delivered as the Wates Giving charitable grant making programme, run by eight trustees. It is independent of the Wates Group of companies, but has a close synergy with the Group s corporate responsibility strategy. Over a ten-year period, the objective set for the Trust is to connect the Family's motivation as its patrons to the resources, enthusiasm, leadership and knowledge intrinsic to its enterprises; and in doing so to create and support with funding opportunities for business to play a responsible philanthropic role in the communities in which the Family business and its employees live, work and build. The Trust is funded by a subvention of up to 5% of the Group s profits. Currently this is at least 1m a year and will grow to 3m by Vision WFET will be a model example of how 21 st century businesses can harness philanthropic resources for the benefit of the communities within which they operate. Mission To connect the motivation of the Wates Family patrons to the resources, enthusiasm and leadership and knowledge of our enterprises and in so doing create opportunities to make a positive social impact on the communities in which we work. In practice, the objective is implemented through Wates Giving s funding as; a means of demonstrating the role that business can and should play in the community beyond what 2

3 has come to be generally accepted as the delivery of corporate social responsibility; a philanthropic outlet for the Family owners personal interests outside of the constraints of other Wates charitable trusts and foundations, but with access to funding of a scale above that of individuals personal charitable trusts, where they exist; a framework within which the highly varied, often low level and frequently unrecorded charitable work within the Family business could be measured, supported and given recognition; a practical and effective means for the Family owners to relate to and interact with the range of enterprises that make up their interests; and a way for the Family owners to work with the employees of the Wates Group of businesses, empowering the initiatives and the passion that they generate. The Wates Foundation The Wates Foundation, an unincorporated registered charity, is an independent grant-making Family Trust that has been supporting the charitable and voluntary sector for almost 50 years. Since inception, the Foundation has made grants totalling over 100 million, which have provided vital support to thousands of charities. In recent years the Foundation s focus has been on funding small, local organisations. Spending on new awards is currently about 500,000 a year, with the intention to increase this as funds allow. Vision The Wates Family and Trustees of The Wates Foundation believe that the quality of life in society can be improved for the public benefit by informed and independent intervention to alleviate distress, deprivation and social exclusion. Mission To harness the generosity of the Founders to the enthusiasm and knowledge of the Wates family and present Trustees to improve for the public benefit the quality of life of the deprived disadvantaged and excluded in the community in which we live. The Wates Foundation s six trustees are drawn equally from the three branches of the Wates Family. The three branches are descendants of the founders of The Wates Foundation: Allan C Wates, Norman E Wates and Ronald W Wates. Each of the three Families has its own grants committee, which usually meets once a year. The Trustees seek to accomplish the Mission by making financial awards and other support to those activities with outcomes that have the potential to impact on society for the public benefit. The Trustees review the Foundation s aims and objectives annually, devising new programmes and setting their grant making policies as required, referring to the guidance contained in the Charity Commission s general guidance on public benefit and complied with their duty under the Charities Act

4 The role As head of the Wates Family Charities Secretariat, the Director will have responsibility for the high quality delivery of the grant making programmes of the Wates Family Enterprise Trust and The Wates Foundation. The proportion of effort will be approximately 80% to the Trust and the balance to the Foundation. The role of the Director of Wates Family Charities is critical to the overall philanthropy of the wider Wates Family, who have made grants totalling over 100m over the past 50 years. The Director will be a trusted adviser on all matters related to philanthropy and social impact. For the Wates Foundation, the role will require governance and oversight responsibilities on behalf of the Trustees, the Foundation s three Family grant-making Committees and the delivery of the Foundation s investment strategy. For the Trust, the Director will have the opportunity through the Wates Giving programme to plan and deliver a significant step-change in the impact and profile of the philanthropic activity of the Wates Family governing owners of the Wates Group, a 1.6 billion business. Acting on behalf of the Family owners, a particular focus will be on increasing engagement, both within and outside Wates Group, with its CSR strategy and its potential for greater impact. The Director will provide strategic leadership and counsel to the Group s Executive Committee and CSR Committee and work closely with its Sustainability Team and business units. 4

6 Specific duties The Wates Family Provide leadership in the development and expansion of current Family thinking around philanthropy generally, and in the delivery of their personal philanthropic interests Develop the philanthropic learning and experience of the next generations of the Family Engage the Family in training to broaden their understanding and knowledge of the charity and community sectors The Wates Family Enterprise Trust & the Wates Group Act as the ambassador for the philanthropic values and ambitions of the Wates Family governing owners of the Wates Group Deliver the Wates Giving charitable programme of the Trust in support of the CSR strategy of the Wates Group Seek opportunities for joint working with other funding organisations on issues of common interest Implement a marketing and communications strategy for Wates Giving, in association with Wates Group Provide strategic leadership through the Group s Executive Committee, CSR Committee and Sustainability Team of the delivery of the Family governing owners philanthropic values and ambitions, including: briefings and reporting; corporate responsibility programme strategy development; Measurement of performance; Wates Giving funding allocations and management; and Communications. Provide support to the Wates Group s business units for: Community initiatives and legacy development Identification and fostering of regional and local funding partnerships Provide support to Wates staff for: individual and team fundraising initiatives, to include Give As You Earn; 6

7 volunteering; Wates Group s annual Community Day; and Wates Group s nominated Charity Partner. The Wates Foundation Build and maintain the relationships between the three Family branches grants committees, particularly in engagement with the Foundation s trustee board, joint working on grant making and succession planning for trustees and Committee chairmen of Family branches Exercise oversight of the Foundation s grant making and annual budgetary allocations Seek opportunities for joint working with other funding organisations on issues of common interest Engage in the delivery of the Foundation s investment strategy through its Investment Committee Act as the working link to the custodian of the Foundation s investments The Secretariat As executive manager of the Secretariat, ensure that appropriate systems are in place for all grant making processes, including grant awards, funding delegations and budgeting, exercising operational oversight through the Secretariat Grants Manager Work with the Chairmen of Boards and Grants Committee Chairmen to devise and prepare agendas and address such matters that require collegiate decisions Lead on performance reporting and measurement of achievements by Wates Giving, in association with Wates Group, and by the Foundation Provide line management to Secretariat staff, including performance reporting and remuneration reviews 7

8 Ensure that at all times Boards of trustees: meet annual requirements for financial audit, risk assessment, and registers of interests; meet regulatory compliance requirements for relevant public bodies; and devise and implement appropriate policies, including conflicts of interest, confidentiality, complaints and whistleblowing and equal opportunities. Provide professional and informed advice to the Wates Family and Wates Group staff on developments and current issues in the charity sector Undertake representational duties on behalf of the Wates Family and for Wates Giving and the Foundation when necessary Maintain links with sector funder forums, including Association of Charitable Foundations, the Foundations Forum and London Funders Maintain links with funders working on issues relevant to Wates Giving, Wates Group and Foundation themes and priorities Be current on issues and developments in the charity and enterprise sector, including relationships to public sector and other relevant agencies; social finance; social enterprise; and charity law Undertake special to sector training as required 8

9 Person specification Ideal candidates will bring all or most of the following: Experience and knowledge Evidence of success in a leadership role within a sizable organisation in any sector Experience of engaging stakeholders within both the commercial and charitable sectors Knowledge of a range of approaches to corporate social responsibility A working knowledge of financial accounting and human resources matters Knowledge of the UK charity sector including its regulation Knowledge of charity sector grant making would be a significant advantage Skills and personal qualities Strong interpersonal skills; influencing and communicating both within their own organisation and externally A leader of strategic thought and planning Exhibit gravitas in relationships The ability to build consensus among diverse stakeholders and discreetly initiate and facilitate change An understanding of the distinctive nature of working with a family organisation Self-sufficient and highly organised Comfortable working in a small organisation and in a role with a broad range of responsibilities Terms of appointment The post holder will be employed by the Wates Group, reporting to the Chairman of the Wates Family Enterprise Trust The role will be based primarily at Wates House, Station Approach, Leatherhead, Surrey KT22 7SW but with regular travel to London, plus occasional travel elsewhere within the UK This is a senior appointment in the organisation and remuneration will be negotiated with the preferred candidate The appointment will be subject to reference and medical checks 9
