1 STATUTE OF THE FOUNDATION FUNDACJA JUTRO JEST DZIŚ (TOMORROW IS TODAY) (consolidated text) CHAPTER I. GENERAL PROVISIONS 1. Name of the Foundation 1. The foundation Fundacja JUTRO JEST DZIŚ (TOMORROW IS TODAY) hereinafter referred to as Foundation was established by its Founder: 1) Artur Brzozowski 2. Area of operation, registered office, organisational units and logo of the Foundation. 1. Foundation operates in Poland. 2. The registered office of the Foundation is located in Warsaw. 3. In order to perform statutory duties, the Foundation may establish branches, departments, social economy entities as well as create and join local, nationwide and international organisations and social economy entities. 4. For the means of international cooperation, the Foundation may use an English translation of its name: Tomorrow is today. 5. Foundation may use a distinguishing visual identifier in line with the template approved by the Management Board of the Foundation. 3. The existence of the Foundation The existence of the foundation should be unlimited. 4. Supervisory entity The supervisory entity for the Foundation is the Minister of Labour and Social Policy. CHAPTER II. THE FOUNDATION S GOALS AND WAYS OF PURSUING THEM 5. Defining the Foundation s goals

2 The main goals of the Foundation are: a. prevention and minimisation of the results of social exclusion of socially excluded people and people vulnerable to social exclusion with emphasis on people aged 50 or older and people from the rural areas, b. housing support for the poor and people in difficult life situations, c. occupational development for the homeless, d. educational and cultural development for people in difficult life situations, e. establishment of the residential home adjusted to elderly people, f. organising 24h help/care for elderly people, g. prevention of discrimination and marginalisation due to age, gender, disability, origin, housing situation, h. increase of the educational activity of socially excluded people and people vulnerable to social exclusion, as well as their professional, social, economic and cultural environment, on local, regional and international levels, i. supporting integration, reintegration and social support for socially excluded people and people vulnerable to social exclusion as well as their environment, j. shaping civic attitudes in socially excluded people and people vulnerable to social exclusion and their environment. 6. Way of pursuing the Foundation s goals 1. Foundation acts to the benefit of socially excluded people and people vulnerable to social exclusion, and pursues its goals by: a. conducting educational, training, advisory and counselling activities in order to broaden the knowledge and develop social skills; b. conducting educational, training, advisory and counselling activities in order to broaden the knowledge and develop professional qualifications; c. pursuing activities aimed at the development of entrepreneurship, rise in professional activity and the level of employment; facilitating the access to the labour market; d. organising, financing and conducting psychological and therapeutical services; e. running information and advisory programmes and stations as well as support centres; f. organising and financing activities using information and telecommunications technologies for the benefit of education as well as occupational and social development; g. organising and supporting voluntary service for socially excluded people and people vulnerable to social exclusion; supporting voluntary service for these groups; h. conducting educational, training, advisory and counselling activities aimed at the

3 social support and integration institutions as well as nongovernmental labour market institutions, their employees and volunteers; i. organising the participation in patriotic sport events in the form of trainings, courses, campaigns and others; j. organising active recreation combined with the realisation of preventive health programmes, parenting, therapeutic, inclusion and rehabilitation projects; k. organising the construction of social housing for the poor and people in difficult life situations; l. building the residential home for elderly people; m. organising 24h care for elderly people; n. activities promoting the inclusion of socially excluded people and people vulnerable to social exclusion and their environment in public life, especially by the means of: education on civil rights and gender equality, campaigns and information as well as educational programmes aimed at the development of civic activity, creating tools (including IT tools) supporting the increase of civic participation; o. cooperation with local and foreign social organisations and institutions of a different kind in order to pursue the Foundation s goals; p. giving opinions on the legal regulations related to the Foundation s scope of activities, providing appropriate motions, suggestions, postulates and monitoring the actions of public administration in this matter; q. cooperation with local and foreign social organisations and institutions and people in order to pursue shared statutory goals, including the membership in organisations bringing together local and foreign foundations with shared statutory goals or goals identical to Foundation s goals; r. research activities related to the Foundation s statutory goals in the form of surveys, interviews, reviews and reports; s. publishing activities related to the Foundation s statutory goals in the form of publication of leaflets, posters, books, articles, reports and other types of publications as well as running online services; t. Foundation may finance and substantially guide natural persons and other legal entities. 2. The scope of the activities of the Foundation described in Article 1 are carried out for remuneration or free of charge as public benefit services. 7. The Foundation s Property 1. The Foundation s Property consists of founding capital comprised of financial means described in the notarial act establishing the Foundation as well as

4 movables, real property, other proprietary rights and financial assets acquired by the Foundation 2. The Foundation s founding capital equals to PLN 1000 (say: one thousand Polish zloty). 3. The Foundation has unlimited liability for its obligations. 4. The Foundation s Property is managed by the Management Board. 8. Foundation s revenues 1. The Foundation s revenues are obtained from: a. donations, inheritances, bequests, subsidies, grants, subventions from local, foreign and international natural persons and legal entities; b. revenues from movable property and real property owned by the Foundation; c. revenues from fundraisers, auctions and lotteries conducted by the Foundation or for its benefit; d. interest from bank deposits and treasury bonds issued in Poland or from owned shares; e. revenues from public benefit services performed for remuneration. 2. Revenues from donations, inheritances, bequests, subsidies, grants, subventions may be used for pursuance of all Foundation s goals, provided the benefactor declared otherwise. 3. In the event of calling the Foundation to succession, the Management Board may issue a statement on accepting the inheritance only with the benefit of inventory and only if it is clear at the time of issuing of such statement, that assets of succession are significantly higher than succession debts. 9. Governing bodies of the Foundation The governing bodies of the Foundation are: 1. Management Board of the Foundation 2. The Founder 10. Management Board of the Foundation 1. Management Board is a governing body. 2. Management Board shall be composed of two or three members including President and his/her Deputy. 3. The Foundation s Founder appoints the Management Board of the Foundation and

5 selects the President of the Management Board. 4. The members of the Management Board are required to be employed by the Foundation or bound with a civil law contract. 5. The Management Board shall hold a meeting at least twice a year and on every occasion it is necessary. 6. The resolutions of the Management Board are passed by a majority voting with at least half of the Management Board being present. In the event of equal amount of votes, the President has the deciding vote. 7. The meetings of the Foundation s Management Board may be organised using the means of remote direct communication in real time including video conference. 8. The resolutions of the Management Board of the Foundation may also be passed beyond the meetings: in circulation voting if all members of the Management Board are aware of the contents of the draft of the resolution. 9. All members of the Management Board need to be notified about a Management Board s meeting. 10. Members of the Management Board are appointed for an indefinite period of time. 11. The mandate of Management Board member shall expire due to inability to perform the function or improper performance of the function including violation of the provisions of this Statute or acting against the will of the Founder. 12. Membership in the Management Board shall expire upon filing written resignation at least a month before the resignation date or in the event of death. 13. The resignation is effective after Founder s decision. 14. In the event of death of the Founder or his or her inability to perform responsibilities described in the Statute, the Management Board of the Foundation takes on his or her responsibilities. 11. Making statements of will on behalf of the Foundation 1. Statement of will on behalf of the Foundation shall be made by two members of the Management Board jointly, including President of the Board or by President of the Board alone, subject to provisions of Article In matters related to hiring employees and associates, statements of will on behalf of the Foundation may be made by any member of the Management Board alone. 12. The Competences of the Management Board 1. The Management Board represents the Foundation in external contacts and has supervision over ongoing activities of the Foundation.

The competences of the Management Board include making all decisions and activities excluding the competences belonging to the Founder: a. management of the Foundation s ongoing affairs; b. passing the Management Board s regulations; c. developing long-term operation plans for the Foundation, including long-term direction; d. managing the property of the Foundation and using it only to pursue its statutory goals; e. pursuing Foundation s goals; f. establishing or closing branches; g. setting the employment and Foundation s employees remuneration regulations; h. organising and supervising free and paid activities; i. accepting donations, inheritances, bequests, subventions and subsidies; j. making decisions regarding mergers with other foundations, liquidation of the Foundation or changing the Statute. CHAPTER III. CHANGE OF THE STATUTE OR GOAL OF THE FOUNDATION 13. Change of the statute or the goal of the Foundation 1. Change of the statute or the goal of the Foundation requires a resolution passed by the Management Board and the consent of the Founder. CHAPTER IV. MERGER WITH ANOTHER FOUNDATION 14. Merger with another foundation 1. In order to effectively pursue its statutory goals, the Foundation may merge with another foundation with similar goals, on conditions specified by respective parties. 2. Decision about the merger merger with another foundation is made by the Management Board of the Foundation after the Founder gives consent for the merger. CHAPTER V. LIQUIDATION OF THE FOUNDATION 15. Liquidation of the Foundation 1. The Foundation shall be liquidated in the event of not reaching the goals it was

7 established to pursue or in the event of depleting its financial means and property. 2. The decision about the liquidation of the Foundation is made by the Management Board of the Foundation after the Founder gives consent for the liquidation. 3. Financial means left after liquidation of the Foundation may be transferred to a Foundation operating in Poland with similar statutory goals.
