1 Wayne D. Kuni and Joan E. Kuni Foundation Executive Director Job Description About The Kuni Foundation The mission of the Wayne D. Kuni and Joan E. Kuni Foundation is to support medical research, especially for the diagnosis and treatment of cancer, and to support and enhance the lives of developmentally disabled adults. The Foundation, together with its donor advised fund at the Community Foundation for Southwest Washington, has available more than 100 million dollars for charitable giving. Wayne Kuni and Joan Kuni established their private foundation in November of 2005, continuing their decades long commitment to community service. The Kunis' philanthropy was evident throughout the Pacific Northwest through their generous gifts and countless volunteer hours to medical, educational, and human services organizations. Wayne Kuni founded Kuni Automotive in Kuni Automotive, now a division of Holman Enterprises, is headquartered in Vancouver, Washington, and operates multiple dealerships in western states. Position Summary The Wayne D. Kuni and Joan E. Kuni Foundation seek an energetic, self motivated individual with a commitment to philanthropic endeavors. Applicants should have excellent communication, time management and personal skills. Non profit management experience and a thorough understanding of private foundation operations are required. Purpose of the Position This position will provide professional leadership and assistance to the officers and Board of Directors in making the Foundation an effective, viable organization; administer the implementation of Board policies and plans toward the accomplishment of the Foundation s goals; support the Board of Directors for the entire operation, growth, and development of the Foundation and be responsible for the day to day management of the corporation s affairs. Hours and Compensation This is a full time employee position. The salary is subject to negotiation based on experience and qualifications. Page 1

2 Position Responsibilities Administrative 1. Perform all day to day administrative functions of the Foundation: a. Maintain all records of the Foundation b. Review and respond to all correspondence directed to the Foundation c. File correspondence and communicate with the Board as considered necessary d. Answer phone calls/messages on the Foundation phone, respond accordingly 2. Design, review, maintain and implement all operational policies, practices and guidelines of the Foundation; present to the Board for input and approval as deemed necessary 3. Produce and file, or cause to be produced, all required reports of the Foundation including federal and state reports and reports to the Board 4. Maintain the database and web site: a. Keep clear and consistent records of any communication between the Foundation or its Directors, and update records regularly b. Utilize a database consultant as needed c. Work with the web designer to update the web site as needed 5. Keep the Board apprised of Foundation activities 6. Coordinate services with outside professionals: a. Attorney b. CPA c. Investment managers d. Miscellaneous consultants on specific projects/tasks e. Insurance brokers f. IT professionals Page 2

3 Fiscal Management 1. Oversee the financial operations of the Foundation: a. Submit financial information to the tax accountant b. Work closely with the tax accountant to prepare and file the annual 990PF c. Communicate with vendors as needed d. Prepare cash flows for the Foundation e. Produce financial statements f. Pay stipends to Board of Directors g. Pay all bills of Foundation, via Quick books (working with signer for check signing) h. Prepare/arrange wire transfers, as needed i. Manage reimbursements to Board of Directors for expenses j. Manage memberships in pre selected affinity groups k. Research and compile information relative to affinity groups into calendars l. Issue IRS Form 1099S to all payees receiving $ or more during a given tax year m. Reconcile investment account(s) and checking accounts(s) from monthly statement n. Order supplies, checks, items as needed 2. Work with the Finance Committee to develop and maintain the annual operating budget of the Foundation for recommendation to the Board of Directors 3. Update the budget with expense reports and projected yearly expenses 4. Administer the fiscal policies and procedures as developed by the Board and advise the Board of problems and/or needed changes in such policies 5. Maintain the Foundation s investment policies, updating any Board approved changes 6. Facilitate quarterly meetings with professional investment advisors and the Foundation s investment committee 7. Serve as liaison to the Foundation s accounting firm to ensure oversight of the accounting system and all fiscal records 8. Research and secure appropriate insurance for the Foundation and its Board of Directors (i.e. Directors and Officers, liability, etc.) 9. Work with the Finance Committee to arrange for the annual audit and preparation of federal and state tax returns and state charitable agency registration 10. Confer with legal counsel as required to assure full compliance with federal, state and local laws Page 3

4 Community Relations and Foundation Development 1. Represent the Foundation as spokesperson to the general public and to other organizations or entities, as requested 2. Attend events, workshops and conferences on behalf of the Foundation, as requested 3. Actively seek opportunities to speak for the Foundation before groups and on occasions that will further the goals of the Foundation 4. Facilitate publicity and publications to promote the work of the Foundation 5. Initiate and maintain relationships with affinity groups and other organizations related to the Foundation s mission and grant making 6. Work to build relationships between the Foundation and donors/prospective donors and maintain the donor/prospect files 7. Maintain a working and up to date knowledge of the laws, regulations, methods, etc., of private foundations, planned giving, nonprofit management investments and banking procedures to enhance the operation of the Foundation as well as to protect the Kuni Foundation from detrimental actions 8. Actively seek to increase the assets and strengthen the impact of the Foundation in meeting charitable needs 9. Carry out the policies and procedures for public relations and development, as approved by the Board of Directors, working to assist the Board in meeting its annual goals and objectives Page 4

5 Grantmaking 1. Respond to phone, and letter inquiries regarding grantmaking process 2. Respectfully decline unsolicited proposals 3. Work with Board members to develop materials for the public, as needed (e.g. website page) 4. Distribute guidelines and application procedures to grant seeking organizations 5. Advise potential grantees regarding content and direction of grant applications 6. Review proposal materials to ensure that all required attachments are in order and complete 7. Conduct programmatic and financial due diligence, including review of grantee application, research and analysis of potential grantees, as well as review of financial statements and budgets 8. Interview appropriate representatives of grant seeking organizations 9. Arrange and conduct site visits and coordinate site visits with Board members, if there is interest 10. Coordinate grantmaking meetings, including logistics and guest speakers 11. Complete research on particular organizations, programs or sectors, as needed 12. Produce relevant reports for the Board to manage and assist in the grantmaking process 13. Present pertinent grant requests to the Board 14. Prepare grant award letters and facilitate payments 15. Track all applicants throughout the grant inquiry, application, receipt, reporting and follow up processes 16. Assist newer Board members in learning effective grant making, as requested 17. Attend and participate in meetings, maintain contracts with other organizations as appropriate in relation to the Foundation s mission and goals and/or to stimulate interest in, and knowledge of, the Kuni Foundation 18. Maintain the Foundation s grantmaking records 19. Serve as liaison to the Community Foundation for Southwest Washington for the Kuni Foundation s donor advised fund Page 5

6 Board Meetings and Board Relations 1. Confer regularly with the Board President: a. Work as a team with the President implementing Board decisions b. Coordinate work for Board committees c. Develop goals and long range planning d. Review progress toward goals 2. Assist the Board President in planning and preparing Board meeting agendas: a. Supply background information, definitions of alternatives, implications and clarification of issues, as needed by the President 3. Facilitate the preparation of materials for Board meetings: a. Provide all information needed for each meeting through s and attachments to each Board member, at least one week prior to every meeting b. Prepare resolutions for Board action c. Supervise all necessary arrangements to ensure efficient and comfortable meetings of the Board 4. Attend Board meetings in an ex officio capacity, serving as a consultant: a. Prepare and submit the Executive Director s written report b. Report on progress and any major problems c. Write the minutes of Board meeting and e mail the minutes to Board members within two weeks after the meeting 5. Follow up on actions directed by the Board 6. Keep the Board informed of activities, problems and/or progress between meetings 7. Serve as a consultant on all Board committees including standing and ad hoc committees or task forces: a. Facilitate the preparation of information and materials needed by each committee b. Coordinate the work of committees so as to avoid overlap or gaps in progress toward accomplishment of goals 8. Provide for development, implementation and regular review of policies and procedures to assure growth of the Foundation, also assuring responsiveness to current needs and expectations, regard for donors expressed wishes and full adherence to state and federal legal requirements 9. Maintain service records of Board members 10. Arrange training for Board members as needed to enhance the progress toward reaching the goals of the Foundation Page 6

7 Qualifications The following is a list of the key competencies, qualifications, and characteristics we seek in the ideal candidate: 1. Senior level executive experience in a non profit and/or private foundation environment 2. Knowledge of contemporary philanthropic strategies 3. Big picture thinking with experience leading organizations 4. Demonstrated success in building trusting relationships with Board members and grantees 5. A critical thinker, natural networker and a strong financial manager 6. Experience with accounting management (bookkeeping and/or experience with QuickBooks software a plus) 7. Excellent written and oral communications skills 8. Ability to work well with board, shareholders, consultants and community members 9. Analytical skills: ability to investigate and problem solve a broad range of issues 10. Excellent organization and time management skills 11. Commitment to philanthropic giving 12. Background that includes serving as a key spokesperson of an organization and reporting to a high profile Board of Directors 13. Personal qualities that include integrity, confidentiality, commitment to the Foundation s mission, respect for diversity and the ability to inspire and motivate 14. Proficiency in Microsoft Office (i.e. Word, PowerPoint, Excel, etc.) 15. Minimum of a Bachelor s degree required (advanced degree preferred) Page 7
