1 About The Ethical Property Company In 1998, Andy King and Jamie Hartzell came together with one common goal in mind; to provide dedicated work space for charities, voluntary organisations and independent, ethical and local businesses, whilst also offering an ethical investment opportunity for investors. From a simple idea planted in the heart of Bristol, Ethical Property has grown to become one of the UK s leading social businesses; branching out over 4 countries and thriving in over 40 centres providing workspace to more than a thousand social change organisations. Centres like The Foundry in Vauxhall - a joint venture with Trust for London, Joseph Rowntree Charitable Trust, The Barrow Cadbury Trust and the LankellyChase Foundation Centre that provides affordable workspace for Social Justice and Human Rights organisations. Our founding values separate us from others in the property industry. Our unique business model demonstrates that it is possible to deliver a constant financial return each year without compromising our social and environmental impact. 20 years on, our lettable space in the UK alone has grown to over 22,000 square metres and a property valued at over 60 million. We have paid a dividend to our 1,300 investors every year since Ethical Property has always put considerable effort into reducing the energy use, carbon emissions and water use in our centresthrough the improvement of building fabric and services, the use of renewable energy and by educating building users. The company has some 100 staff, and our head office is in Oxford, England. We have also set up sister companies in France, Belgium and Australia operating under very similar business models, providing support to social change organisations, and a UK charity, the Ethical Property Foundation. 1

2 Forward With Purpose We are looking forward to another 20 years of steady and sustainable growth - although for us growth is more about impact than size. Our aim is to deliver a competitive return and level of liquidity to our shareholders, to increase the overall impact of the social change organisations we support, and to influence the property industry to change its practices. We expect to deliver improved performance against a set of outcomes stated in the Quintessentials, which set out clearly the essence of the Ethical Property offering. The essence of our business model is a virtuous circle in which we acquire property in support of groups that meet with the company s mission, and thereby generate sufficient financial and social returns for investors that we are able to raise further investment capital. To achieve these aims, we plan annual share offers and buy backs; to build a substantial and diverse shareholder base; to increase share price to a level that better reflects our performance; to communicate what we do more clearly and loudly; to build stronger national and international partnerships; and to safeguard our social mission in perpetuity. 3 What We Are Looking For The Ethical Property Company has achieved so much in its first 20 years, providing affordable workspace to those who most deserve it the charities, community groups, campaigns and social businesses working for a fairer and more sustainable society. We are now looking to recruit our third-ever Managing Director, an outstanding individual who can keep the company at the cutting edge of social change for the next 20 years. And we are seeking two new Non-Executive Directors, equally able to innovate and think outside of the box. We need directors who can complement the existing board. They should bring a new excitement and energy to how a large property portfolio can best be brought to bear to achieve maximum social impact. They should help us determine how a property company can help to tackle some of the most challenging problems of the modern day and can influence the wider property sector to do the same. We are planning to expand our Non-Executive Board from five to seven members, and to bring around the table individuals with a wide range of skills - in property and community development, finance, and social mission. Some may say we are asking the impossible, but we don t think so. 4 Our Current Board The board feels that, 20 years on, the vision and purpose of the company needs refreshing. At the turn of the millennium, workspace was a new idea. Now it is everywhere. Over the coming months, we will be revisiting our strategy and asking all our stakeholders where we can most add value to society. Jamie Hartzell Mark Luntley Paul Bellack Jamie is one of the UK s leading social entrepreneurs, and an investor in a wide range of social businesses. He is chair of the leading Fairtrade chocolate company Divine, and a director of Positive Money. He founded the company in 1998 and led it for 13 years. He also founded the social crowdfunding platform Ethex. Mark joined Ethical Property in A qualified accountant, Mark is also Non Executive Director of Energy4All. Mark also chairs the Oxfordshire Credit Union and is a Director of the Westmill Windfarm Co-op and Westmill Solar Coops. Mark is an elected board member of REScoop - the federation of European Renewable Energy Cooperatives. Paul joined Ethical Property in 1999 after 19 years with Sun Life of Canada as Property Fund Manager. Paul founded and runs a commercial property investment company and has worked with social change groups including the Big Issue and Out Of This World on a variety of property matters. David Loggia Sam Clarke Chair David manages a family investment office which aims to use investment capital to achieve positive social change. He is active in the UK and Australia, and focused on property, education, health and renewable energy. David is also a director of Goodwill Wines Australia and 2X Ideas. Sam has chaired a number of value driven organisations including Friends of the Earth, New Economics Foundation, and the Climate Coalition. He is currently chair of the Low Carbon Hub and Charity Mentors. Sam lives in Oxford and previously chaired the company from 2000 to View from 6th floor at our centre, The Green, London 4
