1 Invitation to Tender for Legal Services Organisational Context Know How is Broadway s new project, part funded by the European Regional Development Fund 2007 to 2013 and supported using public funding by Arts Council England, with additional finance contributed by regional universities. The project will stimulate knowledge transfer between Higher Education Institutions (HEIs) and East Midlands-based Small to Medium Enterprises (SMEs) in the arts, culture and heritage sector through: (i) (ii) (iii) (iv) peer-to-peer forums supported by specialist expertise; collaborative R&D and rapid prototyping events; grants enabling the continued development of prototypes; and paid graduate placements and postgraduate research assignments. The project will also enable Broadway to create dedicated spaces for collaboration, knowledge transfer, innovation, and enterprise activities between artists and technologists and across emerging industry sectors, through the refurbishment of under-utilised floor space into connected multifunctional zones. The Legal Services Broadway is inviting tenders for the provision of legal services to initially prepare an agreement between Broadway and a provider currently being procured to design and deliver the peer-to-peer forums and rapid prototyping events. Broadway requires this initial work to be carried out immediately with a view to an agreement being in place by Tuesday 22 nd April As Broadway s work progresses, it is anticipated that advice on and preparation of other agreements shall be required; such as those related to graduate placements and postgraduate research assignments and related to partnerships and intellectual property arising from the forums and rapid prototyping. Deadline for Quotes Please complete the tender questionnaire and submit to Paul Hough: p.hough@broadway.org.uk by 12 noon, Tuesday 15 April Selection and Award Criteria Broadway will assess the ability to provide the legal services in accordance with the following, equally weighted, selection criteria. Selection Criteria Component Economic and financial standing Technical and Professional Capacity Evidence of adequate capability of your law firm. Evidence of the range of relevant skills, professional qualifications and previous experience of your law firm. The selection criteria are addressed in sections 1 and 2 of the tender questionnaire. The contract will be awarded on the basis of the most economically advantageous tender in accordance with the following award criteria.

2 Award Criteria Component Weighting Quality The proposed approach and personnel offered offers the appropriate quality of legal services. Price The hourly and daily rates quoted demonstrate value for money. Delivery Timeframe The completion of the initial agreement is achievable within the required timeframe. Technical Proposal 3.1 Approach and Methodology Provide a description of the approach and methodology, to include: Outline method statement Assumptions Exclusions Any attendances required from the client Details of the individual(s) who will be carrying out the work. 3.2 Project Schedule Provide your proposed Schedule for the preparation of the initial agreement and include, as a minimum: Lead-in period between being selected for the provision of legal services and the commencement of drafting an agreement. Proposed duration of preparing of agreement to completion ready for signature 3.3 ERDF Compliance Provide a description of your understanding of ERDF compliance in relation to the provision of legal services and the agreements between parties on the Know How project, for example including publicity, procurement and retention of documents. 4. Commercial Proposal 4.1 Costs Provide hourly and daily rates of all the individual(s) who will be carrying out the work
