2 1. COMPETITION DATES Open for Entries: January 12, 2015 Deadline to Enter: March 13, ELIGIBILITY All entrants must be at least age 18 by May 20, 2015, but not older than 25. Proof of age is required to qualify for Finalist status. All work submitted must be an original creation of the team for The Torch Awards; no previously published/awarded work will be accepted. Past entrants and winners are eligible to participate, but must submit ideas and materials unique to the present year s brief and challenge. Only one entry per Team will be accepted. All entrants must be available to be present in New York City from May 20, 2015 through May 21, 2015 to qualify for Finalist Status. Be sure your commitments whether academic or professional can be met while participating in all phases of this competition, from entry to final delivery. Finalist Teams will receive a $1,000US travel reimbursement on the day of the event to help defray costs. Receipts for travel and expenses totaling $1,000US must be presented in order to receive payment as a reimbursement; otherwise a US Tax Form W-2 will be issued at year s end to the designated Team Captain. 3. TEAMS Teams must consist of at least 2 but no more than 4 individuals. No entrant may be a part of more than one team. It is not required that any individual team member works in the advertising or marketing industry. 4. SUBMISSION OF ENTRIES ~There is no fee for entry~ Only one entry per team will be accepted. 2

3 Entries will only be accepted via the online form hosted at Entering teams will have access to a campaign brief created specifically for this competition, as well as information/ background on The Project Solution to prepare their entry. Finalist Teams will have access to The Project Solution s logo files, branding guides, and other important marketing and messaging materials to prepare for Round JUDGING & WINNER DECISIONS Round 1 A jury hand-picked by New York Festivals executive directors will evaluate all entries and choose 5 Finalist Teams based on the ideas submitted. Round 2 Each Finalist Team will arrive in NYC with prepared storyboards or other representative executions based on their original submission. Finalist teams will rigorously prepare for their presentation through an intensive mentoring session with their pitch guru, a member of the New York Festivals International Advertising Awards 2015 Executive Jury some of the most awarded and accomplished chief creative officers on the planet. They will then have 10 minutes to pitch their work to a panel consisting of representatives from The Project Solution and other members of the 2015 New York Festivals International Advertising Awards Executive Jury, followed by a ten-minute Q&A session with the judging panel. 6. SCORING Round 1 judges will evaluate entries based on the following criteria and choose 5 Finalists: Relevance to and understanding of The Project Solution brand and mission A clear demonstration of campaign goals and strategy Adherence to the brief, including scope and budgets Creative idea Round 2 judges will evaluate each Finalist Team based on all the above criteria, plus additional considerations for their presentation performance. 7. CEREMONY & WINNER PRESENTATION The winner will be announced live from the stage at the 2015 New York Festivals New York Show SM gala on Thursday, May 21, 2015 at Jazz at Lincoln Center s Frederick P. Rose Hall, Broadway at 60th Street, New York City. 3

4 8. AWARDS Each Finalist Team will receive a certificate honoring their participation and Finalist status. The Grand-winning team will receive a trophy, and could also see their work go live as an official campaign for The Project Solution s pending final client approval and determination of execution expenses. 9. DISPOSITION OF ENTRY AND EXPOSITION RIGHTS By entering the 2015 Torch Awards 60-Second Spot Challenge (the Contest ), you and your fellow team members (individually and collectively, the Entrant ) grant International Awards Group, LLC, Your Awards Company, Inc, and New York Festivals (collectively, the Torch Awards ), and The Project Solution (the Nonprofit ) a non-exclusive, worldwide, irrevocable, royalty-free, perpetual, sub-licensable and transferable license of all rights to use, edit, modify, include, incorporate, adapt, record, publicly perform, display, transmit and reproduce your entry and, should you be selected as the Grand-winning Team, your final creative work (collectively, the Entry ) for any purpose including editorial, advertising, publicity, promotion, marketing, trade and/or other commercial purpose, in any and all media now known or hereafter created, including, without limitation, print, television, and online via any Sponsor website, third party distribution channels or otherwise, without your prior approval and for no additional compensation beyond the allotted budget. In addition, you waive any so-called moral rights in and to your Entry, to the extent permitted by applicable law. By entering you further agree to sign any necessary documentation that may be required for Sponsors and its designees to make use of the rights you granted. By entering the Contest and/or submitting an Entry, Entrant warrants and represents that the Entry is 100% the original creation/work by the Entrant and that use of the Entry as described herein will not violate any law or infringe upon the rights, title, claim or interest of any third party and certifies that Entrant is the creator and sole copyright owner of the Entry. Entrant agrees to indemnify, defend, and hold harmless Torch Awards from and against any loss, expense, liability, damage, or claim (including reasonable attorneys fees) from any third party claim. By entering, the Entrant grants the Torch Awards and the Nonprofit rights to showcase, display, exhibit, publish and or to reproduce submitted work for educational, promotional and entertainment purposes in perpetuity. The Entrant also grants the Torch Awards and the Nonprofit the right to adapt the Entry to enable use, reproduction, display and/or publication for purposes connected with future marketing campaigns (including to shorten or edit it for such purposes), and you hereby irrevocably waive, for the benefit of the Torch Awards and the Nonprofit, all moral rights in the entry to which you are entitled in perpetuity. The Torch Awards and the Nonprofit reserve the right to publish the Grand-winning campaign at their discretion pending execution costs and viability. Grand Winner status does not guarantee campaign publication. 4

5 The final creative piece submitted to the Nonprofit must be wholly and completely the work of the members of record of the Grand-winning Team. Any outside contributions necessary to the completion of the work (including, but not limited to, voice talent, musical scoring, etc.) must be presented to and approved by the Nonprofit and the Torch Awards. Any talent or services outside the Team will be considered work for hire and will not be due any additional compensation. 10. OTHER LEGAL CONDITIONS No liability or responsibility is assumed by the Torch Awards or the Nonprofit resulting from any user s participation in or attempt to participate in the Contest or ability or inability to upload or download any information in connection with participating in the Contest. No responsibility or liability is assumed by the Torch Awards or the Nonprofit for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Contest: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any transmissions to be sent or received; lost, late, delayed or intercepted transmissions; inaccessibility of the website, in whole or in part for any reason; traffic congestion on the Internet or the website; unauthorized human or non-human intervention in the operation of the Contest, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Contest, or loss, miscount, misdirection, inaccessibility or unavailability of an account used in connection with the Contest. The Torch Awards and the Nonprofit are not responsible for any typographical errors in the announcement of prizes or these official rules and regulations, or any inaccurate or incorrect data contained on the website. Use of the website is at user s own risk. The Torch Awards and the Nonprofit are not responsible for any personal injury or property damage or losses of any kind which may be sustained by Entrant s or any other person s computer equipment resulting from participation in the Contest, use of the website or the download of any information from the website. By participating in the Contest, the Entrant releases the Torch Awards and the Nonprofit from any and all claims, damages or liabilities arising from or relating to such Entrant s participation in the Contest. By accepting a prize, winners agree that the Torch Awards and the Nonprofit shall not be liable for any loss or injury resulting from participation in the Contest, or the acceptance or use of any prize. The Torch Awards and the Nonprofit are not liable in the event that any portion of the Contest or scheduled events are cancelled due to weather, fire, strike, acts of war or terrorism, or any other condition beyond their control. THIS CONTEST IS VOID WHERE PROHIBITED. Entrants agree that the Contest shall be subject to and governed by the laws of the State of New York and the forum for any dispute shall be in New York County in the State of New York, United States of America. To the extent permitted by law, the right to litigate, to seek injunctive relief or to make any other recourse to judicial or any other procedure in case of disputes or claims resulting from or on connection with this Contest are hereby 5

6 excluded and any entrant expressly waives any and all such rights. Certain restrictions may apply. By entering, entrants also agree (a) to be bound by these official Rules & Regulations; (b) that the decisions of the Judges are final and binding with respect to all matters relating to the Contest; and (c) if the entrant wins, the Torch Awards may use winners full name and photographed image in any publicity or advertising relating to the Contest or future promotions without compensation or further approval (except where prohibited by law). All federal, state/provincial/territorial, and local taxes, fees and surcharges and taxes (whether foreign or domestic, and including import, income and VAT taxes) on prizes are the sole responsibility of the prizewinners. In the event that the selected winner(s) of any prize is/are ineligible, cannot be traced or does/do not respond within forty eight (48) hours to a winner notification as required by the Rules & Regulations above, or refuses the prize, the prize will be forfeited and the Torch Awards, in its sole discretion, may choose whether to award the prize to another entrant. The Torch Awards reserves the right to disqualify any entrant who submits an entry that is not in accordance with these Rules & Regulations or who tampers with the entry or judging process. Failure by the Torch Awards to enforce any of its rights at any stage does not constitute a waiver of those rights. No prize transfer, assignment, or substitution by winners permitted. If a prize (or part of a prize) is unavailable, The Torch Awards, at its discretion, reserves the right to substitute an alternative prize of equal or lesser value, unless to do so would be prohibited by law. Right to Cancel or Suspend Contest If for any reason the Contest is not capable of running as planned, due to infection by computer virus, bugs, worms, Trojan horses, denial of service attacks, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Torch Awards that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, the Torch Awards reserves the right, at its sole discretion, to disqualify any individual(s) who tamper with the entry process, and/or to cancel, terminate, modify, or suspend the Contest if necessary. Data Privacy Entrants agree that personal data, especially name, address and company affiliation, may be used for the purposes and within the context of the Contest and any other purposes outlined in these rules & Regulations. The data may also be used by the Torch Awards in order to verify the participant s identity, address, and telephone number or to otherwise verify the participants eligibility to participate in the Contest. Participants have the right to access, review, rectify, or cancel any personal data held by the Torch Awards by writing to Your Awards Company, Inc., 260 West 39th Street, New York, NY 10018, USA. Personal data will be used by the Torch Awards and International Awards Group, LLC, exclusively for the purposes stated herein. 6

7 Liability The Torch Awards shall not be liable to you for any loss of profit, loss of or damage to data, loss of anticipated savings or interest, loss of or damage to reputation or goodwill or any indirect, special or consequential damages, loss, costs, claims or expenses of any kind. You agree to indemnify the Torch Awards, its staff and affiliates and to hold them harmless to the fullest extent permitted by law, against all loss, costs, claims or expenses of any kind arising from any act or omission by you (including your delegates) during or otherwise in relation to the Contest. Nothing in these Rules & Regulations shall limit or exclude either party s liability for death or personal injury caused by that party s negligence, or the negligence of that party s employees, agents or subcontractors; fraud or fraudulent misrepresentation; or any other liability, which cannot be limited or excluded by applicable law.
