Smith Mr. Jake Beamer Having determined a quorum present, Chair Ramsey called the meeting to order at 3:01 p.m. Consent Agenda Chairman Ramsey read the consent agenda as follows: Consent Agenda Approval of Minutes, April 28, 2016 From the Finance and Budget Committee, June 6, 2016 Approval of the Operating Budget Prof. Tolson made a motion, which Mr. Stone seconded, to approve the consent agenda. The motion passed. II. Report of the Personnel Committee Chairman Heishman reported the Personnel Committee of the University of Louisville Athletic Association, Inc., Board of Directors met on May 24, 2016 for the annual evaluation of Athletic Director Tom Jurich. Highlights from the review included: Under the leadership of the Athletic Director, academic performance records were once again impressive. He has assembled an extremely capable team headed by Marvin Mitchell that has put in place the support needed for our student athletes to excel. Additionally, the Athletic Director s Honor Roll leads in prestige and accomplishment: the number of student-athletes with a GPA over 3.0 in Fall 2015 is 371 out of 578; and 362 out of 532 in Spring 2016 (two of the highest rates ever). Concerning compliance, the Athletic Department continues to provide all necessary support to Compliance staff to continue its exemplary record in that area. Tom has stated this particular goal will never change as long as he remains Athletic Director. Regarding the NCAA investigation, he, along with President Ramsey, immediately alerted the NCAA the moment allegations were made. The Athletic Director and his staff believe compliance is the solution to rogue individuals who do not hold the same values as the University.

3 After joining the ACC and under Tom s direction, UofL athletics staff members invested in a thorough process of preparing to enter the ACC and implement initiatives to immediately compete for championships. The Cardinals have responded and have been competitive in arguably the finest all-sports conference in the nation. UofL currently ranks 25th in the nation in the latest Learfield Sports Director s Cup national all-sports standings through the winter sports. The Cardinals are one of seven ACC universities among the top 25, the most in the nation from one conference. Eleven of UofL s sports programs have been ranked among the nation s top 25 during the season including baseball (which clinched the Louisville Regional yesterday and now heads to its fourth straight NCAA Super Regional), men s and women s basketball, men s cross country, field hockey, women s lacrosse, rowing, men s and women s swimming, softball and volleyball. Louisville was one of just three schools in the nation and the only one in the ACC with both the men s and women s basketball teams ranked among the nation s top 16 teams. With many spring sports teams still competing, eleven teams have reached postseason competition including women s basketball, field hockey, football, men s and women s golf, women s lacrosse, men s and women s swimming, men s and women s indoor track and field, and volleyball. Construction of the Thorntons Academic Center began on June 18, 2015 and the target opening date is August Work will continue on the North End of Papa John s Cardinal Stadium, expanding the stadium s seating capacity. Tom and his staff will work alongside Aramark to provide an elite level, performance-based, training table at Papa John s Cardinal Stadium for the daily use by student athletes. This is intended to keep UofL as a forerunner of Sports Nutrition within all of Division I athletics. As an avid advocate of gender equity, the AD and Athletics staff continue to work with Helen Grant, Title IX & Gender Equity consultant, to ensure that all opportunities be equivalent for all studentathletes. Following the AD s directives, the Athletic Department continues to implement a robust marketing and business growth plan for UofL Golf Club while engaging large and loyal audiences (from alumni to Cardinal Athletic Fund donors) to grow revenues and membership. The Cardinal Pride Pep Band and Pep Squads continue to succeed averaging between 85 and 100 members. This year s 77 performances bring the total number of performances to 1,192 over the past 9 years.

4 Chairmen Ramsey and Heishman then fielded questions from the Board. Chairman Ramsey thanked Mr. Heishman for his committee s report. III. Report of the Committee for Academic Performance Prof. Wise presented the following report: The Committee on Academic Performance, made up of the faculty members of the ULAA Board and chaired by the Faculty Athletics Representative, is charged with oversight of the eligibility and academic performance of UofL s studentathletes. It serves as the faculty oversight committee for athletics at U of L. The Committee meets on the second or third Tuesday of the month at noon in the Bingham Humanities Building, Room 300, throughout the academic year. Among its regular duties, the Committee received reports about and/or acted upon the following matters: U of L Cohort reports for Summer, Fall, and Spring, tracing studentathlete grade point averages and graduation rates for the last five years; NCAA Academic Performance Rate (APR) and Graduation Rate Reports, as they apply both to student-athletes and head coaches; Annual Review of Compliance Operations Annual Review of Athletic Academic Advising Services and of Student- Athlete Exit Interviews, concerning academic issues and student-athlete welfare; Review of Provost Admits: Student-Athletes admitted under special conditions; Administration and Review of End-of -Year Student Athlete Questionnaires. In addition, the Committee: Updated protocols for Contact between Faculty and Coaches; Reviewed courses in which student-athletes comprise over 10%; Wrote guidelines for the Transfer Appeal Process. The Committee participated in the annual Red and Black Reception for Scholar Athletes and their Faculty Mentors, which was held on 31 January 2016 at the KFC Yum! Center. The Athletics Department sponsored the reception and luncheon, at which time the second annual award for the Outstanding Faculty Mentor was given. Over 300 student-athletes and spirit team members earned an invitation (with a cumulative GPA) and over 80 faculty members joined them as their faculty mentors.

5 The End of Year Questionnaire for Student-Athletes gathers pertinent and timely information related to missed class time and academic satisfaction of studentathletes. This sixth annual questionnaire was completed by over 450 studentathletes from all teams. Based on data received, the committee continues to monitor student-athlete choice of major and the factors which limit studentathletes from choosing some majors. The data also enables the committee to assess the effectiveness of the University Excused Absence Policy in its application to student-athletes. Acting for the Committee, the Faculty Athletics Representative reviewed and monitored the missed class time policy and schedule of competitions in order to conduct a more effective review of the academic impact of missed class time in Men s Basketball and other high profile sports. Members of the SAAC Sub- Committee met with the Student Athlete Advisory Committee twice to discuss student concerns. The ULAA Election Sub-Committee reviewed the election process and conducted an on-line election of faculty members to serve on the Board. Additional FAR Activities for : In addition to her role as FAR, chair of CAP, and a member of all ULAA committees, Prof. Wise served the Provost as the Liaison to Athletics. In that capacity, she scheduled bi-monthly meetings with the Provost to review every team s performance and confer on matters pertinent to student-athlete performance and well-being. As Faculty Athletics Representative, during AY , Prof. Wise administered the NCAA Coaches Certification Exam to all coaches, including assistant coaches, and discussed with them U of L academic procedures and policies in order to promote their inclusion in the academic mission of the University; met with every athletic team at its first Compliance meeting to discuss the role of the FAR and strategies for achieving academic excellence; reviewed and signed off on eligibility reports for each student-athlete, on waiver appeals, and on formal reports to the NCAA; reviewed secondary violation reports; attended at least one competition in every sport at U of L; wrote nominations for student-athlete for NCAA Postgraduate Scholarships and submitted four U of L nominations for ACC Postgraduate Scholarships; met with many seniors to discuss graduate and professional school opportunities; served on the Financial Aid Review Committee; advised the President about proposed Autonomy and NCAA legislation and other matters of concern in college athletics; advised the AD on issues related to student athlete welfare and academic integrity; reported monthly

6 to the Faculty Senate; reviewed proposed NCAA legislation with Compliance staff and met with compliance staff and the Associate AD for Athletics to monitor various academic and compliance matters; mediated faculty/student-athlete concerns in relation to the Excused Absence Policy for University Sanctioned Functions; and coordinated the activities of the FAR and CAP with the Vice Provost for Undergraduate Education and other university administrators. Prof. Wise noted this second year as full members of the ACC was especially busy, as she has represented U of L in all pertinent legislative and governance meetings of the Atlantic Coast Conference, attending six meetings of the ACC FAR Council, participating in numerous conference calls, and representing U of L at the NCAA Convention in San Antonio. In the ACC, Faculty Athletics Representatives cast the vote for their institutions and serve on all major committees. Prof. Wise serves on the ACC Autonomy Committee as U of L s representative and also on the Sportsmanship and Infractions Review Committee. In addition, she is a member of the Division 1A FAR Council that meets each September in Dallas and reviews pertinent issues throughout the year. As FAR, Prof. Wise is also serving on the University s Investigative Committee related to major infractions that pertain to the Men s Basketball program. In conclusion, Prof. Wise thanked the members of CAP for their dedication and hard work on behalf of the student-athletes: Professors Eric Berson, Speed Engineering; Carmine Esposito, Dentistry; Dawn Heinecken, A&S; Mary Hums, Education; Bruce Kemelgor, Business; Jessica Stumbo, Medicine; Jerry Tolson, Music; and Enid Trucios-Haynes, Law. Their work on behalf of the University of Louisville s student-athletes has been diligent and exemplary. Professor Kemelgor has completed his term and has earned the committee s special thanks for his longtime service. At its last meeting, he was recognized him with a Certificate of Appreciation from the Committee. Chairman Ramsey thanked Prof. Wise for her committee s report. IV. Report of the Athletic Director Mr. Jurich applauded the Athletic Department for moving forward despite the selfimposed, post-season ban on the Men s Basketball Team. He stated that, athletically, this was another great year for both individual and team accomplishments. He thanked the coaches, administrators, and student-athletes for their continued hard work and determination.

7 Additional updates from the Athletic Director s report included the: Thornton s Academic Center in which Mr. Jurich thanked Matt Thornton and his family for their support; Expansion of Papa John s Cardinal Stadium; NCAA Investigation; Student-athletes participating in the 2016 Summer Olympics; and the Baseball program and the contract extension for Coach McDonnell. Chairman Ramsey thanked Mr. Jurich for his report. V. Report of the Chair Chairman Ramsey stated that, despite the year s distractions and noise, the Athletic Association Board of Directors continues to be an integral part of the University and never wavers from its commitment to the students of UofL. He briefly updated the Board on incoming student statistics and awards (14 Fulbright scholars and the only Truman Scholar in Kentucky). VI.
